NDA - Payroll and IT
1. “Confidential Information” means any secret or trade secret or know-how of COMPCO or any
information relating to COMPCO or to any person, firm or other entity with which COMPCO does
business which is not known to persons outside COMPCO, including the identity of customers of
COMPCO; any information, process or idea that is not generally known outside of COMPCO; all
proprietary and financial information relating to COMPCO; customer lists and records; personal
information of employees and contractors including social insurance numbers, financial, banking,
health, payment orders and any other information of a personal nature.
2. COMPCO is subject to strict legal and contractual obligations to protect and safeguard the
Confidential Information that it collects and maintains.
3. In order to perform the responsibilities of their job, the Employee may be permitted access to
Confidential Information. By having access to this information, the Employee agrees to be
responsible for the maintenance of the security and confidentiality of the Confidential Information
maintained in the IT systems (including the safeguarding of system passwords and identifications)
or stored in paper form, or which the Employee may acquire verbally or through any other means.
4. The Confidential Information the Employee has access to will be treated in a professional and
confidential manner and only used for approved purposes associated with performing the
responsibilities of the Employee’s job and may not be misused, stored, or processed for
inappropriate purposes or disclosed to unauthorized persons.
6. If the Employee becomes aware of any improper disclosure, or any risk of potential improper
disclosure, the Employee must report the disclosure to their supervisor immediately.
8. This agreement is considered by both COMPCO and the Employee as a binding contract and shall
remain in effect until terminated by mutual agreement . Without restricting the generality of the
foregoing, this agreement shall survive any termination of the Employee's employment with COMPCO.
9. If any provision of this agreement or the application thereof to any person or circumstance shall, to any
extent, be declared invalid or unenforceable, the remainder of this agreement, or the application
otherwise of the provision to persons or circumstances, shall not be affected by these declarations.
10. This Agreement will be governed by the laws in force in the Province of New Brunswick.
