We, JOSEPH EDWARD B. NALLAS and LIA FATIMA A. NALLAS both of
legal age, Filipino and American citizens, respectively, married to one another and with
address at Unit 9J, Seibu Tower Condominium, 24th Street corner 6th Avenue BGC
Taguig, do hereby name, appoint and constitute EDGARDO T. NALLAS of legal age,
Filipino, married and with address at 28F Bellagio Tower 1 Condominium Forbestown
Center BGC Taguig, as our true and lawful attorney-in-fact to appear and act in our
behalf to do and perform the following acts and deeds:

1. To represent us before any private and/or public person/s, office/s


and/or entity/ies in negotiating and finalizing the terms and conditions
for the lease and/or sale and transfer of the above mentioned subject
real properties,

2. To sign and execute documents in our behalf for the lease and/or sale
and transfer of the above mentioned subject real properties in favor of
any private and/or public person/s, office/s and/or entity/ies,

3. To accept payments in our behalf payable by cash or bank deposit,

4. To accept payments through check payable under his name or in our


name and encash the same before any banking and/or private and/or
public person/s, office/s and/or entities,

5. To process, register and appear in our behalf before any branch of the
Bureau of Internal Revenue, Registry of Deeds, Office of the City
Assessor and any and all public offices for the transfer and/or process
of registration of the above mentioned subject real properties,

6. To pay any and all fees and taxes necessary to effect the above
mentioned authorities, and

7. To do and perform any and all other act and deeds necessary for the
execution and finalization of the above mentioned authorities.

HEREBY GIVING AND GRANTING unto our said attorney in fact full power
and authority to do and perform all and every act and things whatsoever necessary to be
done in and about the premises, with full power to appoint, substitute and authorize
anyone he deems proper in our place and stead, as fully, to all intents and purposes, as we
might or could do if personally present.

HEREBY GIVING AND GRANTING ratification and confirmation all that our
said attorney in fact shall lawfully do or cause to be done by virtue thereof.
