 Assist and support senior counsel in corporate-commercial and tax matters

 Handle commercial closings or provide support to senior lawyers in respect of closings;
draft closing documents; draft APA, SPA’s
 Incorporate corporations; prepare shareholders agreements; loan agreements;
reorganizations; tax planning; commercial leasing
 Prepare pleadings, motions, and other litigation material
 Attend hearings, EFD and trials
 Prepare a variety of tax submissions
 Meet with clients re signing various documents
 Research matters; prepare research memorandum
 Other routine tax and corporate matters
 Time docket
 good oral advocacy skills
 Drafting and negotiation of commercial agreements such as asset and share purchase
agreements, and closing documents related to same
 Drafting and negotiation of loan agreements, promissory notes, general security
agreements, asset or share rollover agreements, shareholders’ agreements and other
business agreements
 Assisting with research with respect to corporate / commercial disputes and drafting of
documents for litigation files
 Proactive and professional carriage of files
 Managing and closing real estate and corporate/commercial transactions in a timely
manner
 Drafting legal documents
 Serving as a point of contact for clients, agent and other lawyers
 Coordinating with staff to ensure deadlines and client expectations are met or exceeded
 Conducting legal research and analysis
 Reviewing searches of title
