1. (a) Remuneration:

After you have joined Spurrin, you will be oriented towards the working conditions, etiquette and culture
of Spurrin. As part of it, you may also be provided with some training to hone your expertise. After
successful completion of the program and beginning of the assignment, your Annual CTC will be as per
the Annexure 1.

The following terms and conditions along with the personal policies of the company in vogue will guide
your appointment.

1. (b) Termination of employment:

Spurrin is an at-will employer, and, as such, the employee may choose to resign from his job by giving at
least two months’ written notice to Spurrin. Similarly, Spurrin may terminate employment at any time with
one month written notice or at discretion of the company in respect to pre-decided terms of employment.

If the above regulations and benefits are acceptable to you, please sign and submit this letter, indicating
your acceptance of employment with Spurrin.

Our policy is to provide assignments that will enhance your skills and offer professional growth. Spurrin
welcomes you and we look forward to a mutually beneficial working relationship. We believe this will be
the start of a long term and successful relationship between us.

2. (a) Protection of Interest:

If you conceive any new or advanced methods of improving process/systems in relation to the operation
of the Company, such developments will be fully communicated to the Company and will remain the sole
right of the Company.

2. (b) Code of Conduct:

Spurrin has set the standard for ethical business conduct and as part of your employment, you will abide
by all the rules and regulations of the Company, including the personal conduct guidelines. The Company
has the right to vary and modify the said rules and regulations/guidelines, or all or any of the terms and
conditions of your appointment, at any time, which will be binding on you, in the former case, upon such
variation or modification being made, and in the latter case, on our giving such variation or modification.

If any declaration given or information furnished by you to the Company prove to be false or if you are
found to have willfully suppressed any material information, or found misbehaving while representing at
client’s site you will be liable to be removed from services of the Company without any notice or
compensation whatsoever. You are expected to put in your best at all times. You will be required to
undertake travel on Company work and you will be paid travel expenses for this as per Company rules.

You will not at any time without the written consent of the Company disclose or divulge or make public
except on legal obligations any information regarding the Company’s affairs or that of its clients or
administration or research carried out whether the same may be confided to you or become known to
you in the course of your service or otherwise.

2. (d) Notice Period:

After confirmation, this contract of employment is terminable by giving at least two-month notice from
the employee or one month from employer. Either party is not bound to give any reason thereof. On
giving such notice, you will immediately return to the Company all documents, correspondence,
specifications, books, accessories, etc. of whatsoever nature in your custody or charge and obtain
clearance from the relevant person, on production of which alone will the Company settle what are due
to you.

2. (e) Positions:

Your position is a whole time employment with the Company and you shall devote yourself exclusively to
the business of the Company.

2. (f) Fidelity Clause:

You undertake and agree that except with the prior written consent of the Company, you are not
permitted to undertake any other business, assume any public office, honorary or remunerative, whether
directly or indirectly and whether alone or in conjunction with, or on behalf of, any other person, be
engaged or interested in any business identical, similar or competing with the business or the business
being or that will in future be carried on by Company in any manner whatsoever.

2. (g) Reviews:

Salary review and your other benefit perquisites will be reviewed after 3 months from the date of joining.
Your increments in the grade will be subject to and on basis of effective performance and results.
