Aha psychological service (APS), and


Feyera Abera
For the consultancy work to

“Provide Recommendations and Standards on Child Care Service Provision for PSNP
Mothers in Targeted Rural Communities of Amhara, SNNP and Tigray”
This agreement is made effective on November 6, 2018 by and between Aha Psychological
Services (hereinafter referred to as “Client”) as one part and Mr. Feyera Abera referred as the
‘‘Business Development Specialist” or “Consultant”) as the other part.
WHEREAS the Client is desirous of obtaining consulting services described in this agreement.
WHEREAS the Business Development Specialist is willing to participate in such services to the
Client under the terms and conditions as set forth in this agreement;
NOW, THEREFORE, in consideration of the mutual covenants hereinafter contained, the parties
agree as follows:

ARTICLE 1: Engagement and services


The Client intends to give the Business Development Specialist / Consultant all the mandates to
coordinate the whole research work from the inception to the final report. He is expected to
engaged and provide the following services:-
 Support in the Development and submission of inception report to client including tools
design and development
 Conduct field visit
 Lead in the preparation of business model for each study areas (10 woredas)
 Take part in the meeting session with other team members to enrich the report

ARTICLE 2: PERIOD OF EXECUTION OF SERVICE


2.1 The Consultant shall commence the service as of the date of this agreement is signed and
complete the service within 2-month time before January 15, 2019.
2.2 The Consultancy work should be up to the standard and consider the etiquettes presented
on the technical proposal, contractual agreements with CARE Ethiopia and general
research protocols.
2.3. The Team Leader shall do all communications on behalf of APS and shall give all
correspondences, documents and any other documents generated in due process of the
research to Aha Psychological Services
ARTICLE 3: ACCEPTANCE OF THE SERVICE
The client shall accept the service upon submission of deliverables stipulated in ARTICLE 1 if it
complies with this agreement. If such service is not accepted by the client, the Business
development specialist shall work with the Team leader on the revision of the models within a
deadline set by the client and shall report it again to client for its acceptance. If the submitted
data or report is not accepted, Aha Psychological Service shall review the data, the report and
performance of the Team Leader. If APS evaluation and recommendation does not accept the
works of the Team Leader, the contract terminates and it cannot be subjected for any other third
party expert evaluation. The Team Leader will not be also liable to payments for non-accepted
works or deliverables.
ARTICLE 4: CONSULTANCY FEE

In consideration of the full and satisfactory completion of the service, the client shall pay 2000
Birr per day in Addis Ababa and 2800 birr for per day in out of Addis Ababa which is the total
amount of ETB 22, 800 (Twenty -Two Thousand Eight Hundred Birr) for the Business
Development Specialist. This payment represents and covers the entire obligation of Aha
Psychological Services under the present agreement to the consultant including 30% withholding
tax (If the consultant doesn’t have business license).
ARTICLE 5: PAYMENT SCHEDULE
The client shall pay the consultancy fee stipulated in ARTICLE 4 of this agreement based on
deliverables and payment schedules stated in table 2.

ARTICLE 6: ASSIGNMENT OF CONSULTANT


Neither of the parties hereto shall assign this agreement or any part thereof to any third party
without prior written consent of the other party.
ARTICLE 7: DOUBTS OR UNSPECIFIED ITEMS
Any doubts and/or disputes in connection with this agreement or anything not specified in this
agreement shall be resolved amicably by mutual agreement from both parties. If it is not resolved
by the two parties, the case will be seen by land law.
ARTICLE 8: INTELLLECTUAL PROPERTY
The copy rights of all the documents and data prepared by the Consultant in connection with this
agreement shall be transferred to the Client and the copy right will be transferred to CARE
Ethiopia.
ARTICLE 9: VALIDITY OF THE AGREEMENT
This agreement shall remain valid and effective until the Client accepts the Service done by the
Consultant.

IN WITNESS WHEREOF, the parties hereto have caused this agreement to be signed, as of the
day and year first above written, in their respective names in duplicate, each party retaining one
(1) copy thereof.
