Supplier shall provide all the technical documents including valid type tests, drawings, BOQ etc within 7 days from date of PO. ‘You will start manufacturing activities only after receipt of formal manufacturing Clearance/Notice ‘To Proceed (NTP) from us. 6) n ‘Terms of payment A) For Supply: 100% payment along with applicable taxes shall be paid through Letter of Credit with interest free usance period of 180 days and submission of PBG for 10% of CIP value of PO. LC opening charges shall be borne by Suzlon, whereas all other charges pertaining to LC ie. negotiation, discounting and interest of 180 days shall be borne by supplier. LC shall be opened as clearance for manufacturing /Notice To Proceed for individual HGIS unit for further production of HGIS unit along with receipt of correct copy of Proforma Invoice. LC usance period shall start from date of final invoice not earlier than Clear Dispatch Instruction provided by Suzlon in writing. Suzlon shall issue clear dispatch instructions subject to supplier's compliance with & clearing 100% observations during inspection carried out by PGCIL along with evidences including photographs, if any. Format of PBG will be issued by us. You will get a draft PBG validated from us before issuing final copy. PBG will be issued on our registered office address which will be communicated separately. Copy of PBG shall be issued along with invoice copy before dispatch and shall be of Nationalized bank only (No Deviation is allowed). In case of non-submission of PBG along with BOE, LC acceptance will be delayed. 8) For Services: 100% payment along with applicable taxes shall be released within 30 days from date of successful commissioning of HGIS unit in all respect duly certified by PGCIL representative, signing of MOM and work completion certificate and clearing all the punch points raised by PGCIL/Suzlon Customer/Suzlon & subsequent confirmation for successful installation and commissioning HGIS unit. Separate WO shall be placed as per the rates proposed above and actual days of your engineer shall be certified by Suzlon site in-charges before raising the final service bill ‘Supervision for erection, testing & commissioning: We have considered additional charges of € 10,000/- per day basis (inclusive to & from travel and lodging and boarding). Following activities are considered per bay for supervision of following testing & commissioning activities which shall comprise of ~ Erection of HGIS including Bushing and other accessories Vacuuming & gas filling of HGIS Functional test of HGIS (except HV test) HV test of HGIS Scheme test of HGIS including remote operations from CRP to LCC pane of HGIS. We anticipate minimum 21 days are needed to commission the HGIS unit at site considering above scope of work. Note: Supplier to ensure deputation of competent service engineer at site for supervision of testing & commissioning as mentioned above along with necessary tools and equipments. ‘Any special tools including PPEs, Gas filling device and devices that are necessary for erection, commissioning, testing of the HGIS Modules shall be provided by Supplier on returnable basis. Insurance and transportation of the same up to site shall be done by Supplier only without any additional cost & time implication to Suzlon. At site, HV testing shall be arranged by Suzlon, however supplier has to clearly indicate the schedule for cartying out these tests in order to avoid any delay/detention of HV test kit at site. In case of delay in testing & commissioning activities due to in-competency of service engineer, activity shall be completed without any additional cost & time implication to Suzlon. Suzlon shall provide 15 days advanced intimation for deputation of your competent service engineer at site In order to avoid any delay in testing activities at site, suitable check list shall be provided by supplier to Suzlon 8) Freight and insurance: Included in above offer. (Inclusive of suitable packing, forwarding, freight and insurance up to site). You shall be responsible for Safe, timely and undamaged delivery up to site, Unloading of material at site will done by Suzlon. Any damage during transit shall be rectified/replaced by you without any time and cost implication to Suzlon, You shall give advanced intimation for receipt of HGIS units and accessories so as to plan unloading activities at site & avoid delay. 9) Guarantee: HGIS unit, its accessories to be supplied shall be guaranteed for its Quality, Performance, workmanship or any other defect for 54 months from date of successful commissioning at site or 60 months from date of receipt at site in FULL and as per correct specification duly certified by our site in-charge ‘Any defect observed during guarantee period shall be rectified/defective parts shall be replaced FREE of COST along with to & fro transportation charges. 10} Liquidate Damages: 0.5% of basic contract value equivalent to undelivered material (sets) shall be deducted on per week basis for the deliveries delayed beyond agreed delivery schedule. This deduction shall be limited to 5% maximum of the basic contract value. This LO shall be applicable to reasons attributable to you such as delay in submission of drawings, delay in manufacturing after manufacturing clearance/notice to proceed, delay in offering modules for inspection and/or delay in dispatch of these modules after issuing Dispatch Clearance. In case of any delay in the deliveries due to delay in all the activities mentioned above supplier shall be liable for penalty as per the contract. 11) Type Test report: Wherever required, you shall submit all valid type test report during drawing approval. Incase, any of the Type Test reports are not valid on the date/during drawing approval, the same shall be conducted by you in NABL accredited lab only, without any additional charges to us. All expenses incurred during type test including charges for PGCIL representative shall be borne by you, whereas the expenses of our representative deputed for witnessing the test shall be borne by us. 12) Submission of execution plan: You will submit detailed activity wise execution plan to match the agreed contractual delivery period. This forms integral part of order without stating otherwise, if finalised 13) Drawing approval from PGCIL: Supplier shall depute their competent technical representative to PGCIUs office for any and all technical support needed during drawing approval. It will be an equal responsibility of supplier to support in speedy drawing approval from PGCIL, without affecting delivery schedule. 14.
