KNOW ALL MEN BY THESE PRESENTS:

This DEED OF SALE, made and executed in Manila City, on

That, for and in consideration of the sum of PESOS: FOUR

HUNDRED THIRTY THOUSAND (P430,000.00) Philippine currency,
receipt of which in full is hereby acknowledged, VENDOR hereby
SELLS, CEDES AND TRANSFERS the aforementioned motor
vehicle to VENDEE, his heirs, successors and assigns.

The VENDOR hereby warrants that the said motor vehicle is

free from any liens and encumbrances and that he will defend the title
and rights of the VENDEE from any claims of whatever kind or nature
from third persons.

IN WITNESS WHEREOF, the parties hereto have hereunto

affixed their respective signatures on the date and place first above-
