ARTICLES OF INCORPORATION

BIG BIRD INTERNATIONAL INC.

KNOW ALL MEN BY THESE PRESENTS:

The undersigned incorporators all of legal age, citizens and residents of the Republic of the
Philippines, have this day voluntarily associated ourselves together for the purpose of forming a
corporation under the laws of the Philippines;

AND HEREBY CERTIFY

FIRST : That the name of the Corporation shall be:

BIG BIRD INTERNATIONAL INC.

SECOND : That the purposes for which the said corporation is formed are:

Primary purpose:

To engage in the conservation and propagation of the world’s rarest species including exotic
(non-Philippine) parrot species and to carry out activities of breeding, importing and
exporting as well as the selling, buying, exchanging and/or donating of birds from local or
foreign countries for any consideration for breeding purposes.

Secondary purposes

a. To accept donation, aids, contributions and/or grants whether donation of animals,

personal property or money;

b. To acquire by purchase, lease, contract, concession or otherwise, subject to limitations

provided for by law, any personal or real property as may be deemed necessary and
appropriate by the Corporation relative to the development, operation and management
of the Corporation;

c. To borrow or raise money from not more than nineteen (19) lenders or its stockholders, or
enter into a loan agreement with another person, firm, association and/or corporation for
the purpose of supporting, sustaining and maintaining the needs of the safari and
attraction park, to guarantee the obligations of other corporations in which it has lawful
interest;

d. To enter as may be allowed by law, into a partnership, agreement, consortium and/or

joint venture with another person, association and/or corporation, both local and foreign,
to further develop and attain the purpose of this corporation to which it was created;

e. To exercise other powers relevant, appropriate and necessary to carry out the
aforementioned primary purpose of the corporation.

That the Corporation shall have all the express powers of a Corporation as provided under Section 36
of the Corporation Code of the Philippines.

THIRD : That the place where the principal office of the Corporation that is to
be established and/or located at

FOURTH : That the term of which the Corporation is to exist is fifty (50) years
from the issuance of the Certificate of Incorporation.

SEVENTH : That the authorized capital stock of the Corporation is FIVE

HUNDRED THOUSAND (PHP 500,000.00) PESOS in lawful
money of the Philippines, and said capital stock is divided in to FIVE
THOUSAND (5,000) shares with a par value of ONE HUNDRED
(100) per share.

EIGHTH : That the subscribers to the capital stock and the amount paid-in to

NINTH : That no transfer of stock or interest which would reduce the stock
ownership of Filipino citizens to less than the required percentage of

 the capital stock as provided by existing laws shall be allowed or
permitted to be recorded in the proper books of the Corporation.

TENTH : That NELMA D. VILLARIVERA has been elected by the

subscribers as Treasurer of the Corporation to set as such until
his/her successor is duly elected and shall have qualified in
accordance with the by-laws; and that, as such Treasurer, he/she has
been authorized to receive for the benefit of the Corporation, all
subscriptions paid in by the subscribers.

ELEVENTH : The Corporation manifests its willingness to change its corporate

name in the event another person, or firm, or entity has acquired a
prior right to use the said firm name or one deceptively or
confusingly similar to it.
