Contract of Transfer

This is to certify that the transfer of the Management of the Lollipop Nursery has been
completed between Mr.Praveen Venugopal (“First Party”), residing at Bin Ham Tower A
Sharjah and Mrs.Jyothi Gulati residing at 7B Block, C-75, Nilgiri-3, Sector-34. Mrs.Jyothi
Gulati (“Second Party”), has agreed to take over the Operations and Management of the
nursery from 1st April 2019 (“Effective Date”) . Mrs.Jyothi Gulati is aware that the sole
authority of the nursery and its licenses belongs to the Owner/Sponsor Mr. Jasim
Mohammad Ali, Holder of UAE National ID No. 784197548493945 (“National Sponsor”).

The following are the terms and conditions:

2.1. The Second party agrees to take over with effect from the Effective Date the whole
of the management of the nursery, all other assets employed in the Operation of the
nursery at the Effective Date. The assets would include all the learning resources,
play equipment’s, furnitures, electronics and others items present in the nursery at
the time of the purchase.

2.2. The First Party undertake to settle the entire Creditors’ Outstanding’s on the
respective due dates

2.3. The Second Party agrees to not hold the seller responsible for any operational issues
or other issues that may arise after the Effective Date and as a result of the Second
Party Managing the Nursery.

2.4. All expenses due after the Effective Date is the sole responsibility of the Second
Party and the First Party will not be held on contempt to complete the expense.

2.5. Any dealings with third party Companies, or Official Contracts, Licensing, Ministry
requirements, Municipality requirements or any requirements from the UAE
 Government relating to the operation of the nursery is the sole responsibility of the
Second Party and not the First Party.

2.6. After the Effective Date the First Party will not be held responsible for any issues,
loss or damage that may arise in the Nursery relating to its day to day operation,
Licensing or non renewal of Contracts, or failure to adhere to the policies of the
UAE Laws and Regulations relating to the Operations of a Nursery.

2.7. The Second Party hereby covenant and undertake that the Second Party will not
continue to execute any of the Operation Contracts or other Operations in the name
of the First Party.

2.8. The First Party or any of its shareholders/directors shall not either directly or
indirectly enter into, participate, or be interested in any operation, company,
establishment, branch, firm or association in the Emirate of Sharjah, the activities of
which are in competition with or similar to the Operation carried out by the nursery
and/or the Second Party, for a period of at least One (1) years immediately
commencing from the Effective Date.

This Contract shall not be varied or canceled, unless such variation or cancellation shall be
expressly agreed in writing by both the Parties to this Contract.

This Contract contains the entire agreement between the Parties with respect to the subject
matter hereof and supersedes/cancels all oral statements.

IN WITNESS WHEREOF the Parties hereto have hereunto set their respective hands and
seals in this Contract in the Emirate of Sharjah, on the day and year first above mentioned.
