With reference to our offer letter dated 06-05-2015 we are pleased to appoint you as
"Software Engineer” in our organization at Hyderabad.
Breakup of your annual cost to company is attached herewith in Annexure-A. 2. Checklist of
the documents you need to submit today is attached herewith in Annexure-B.
Your employment with us will be governed by the specific terms and conditions referred in
Annexure-C.
4. Incase of further clarifications, please communicate with our Human Resources
department.

• The appointment is contingent upon satisfactory reference and background checks
which may be conducted at any time from the date of offer to 90 days from your
joining date, which includes verification of your application materials, education and
employment history. Salary paid is subject to the approval of time sheets. Your
employment is also contingent upon your ability to work for company without
restriction (i.e. you do not have any non-compete obligations or other restrictive
clauses with any previous employer.)

Annexure-C: Terms & Conditions of Employment
During the term of your employment with Foray, you may not engage in any employment
or act in any way, which either conflicts with your duties and obligations to Foray, or is
contrary to the policies or the interests of Foray.
During the term of your employment with Foray, you are required to disclose all material
and relevant information which may either affect your employment with Foray currently or
in the future or may be in conflict with the terms of your employment with Foray, either
directly or indirectly. If at any time during your employment, if Foray becomes aware that
you have suppressed any material or relevant information required to be disclosed by you,
Foray reserves the right to forthwith terminate your employment without any notice and
without any obligation or liability to pay any remuneration or other dues to you
irrespective of the period that you may have been employed by Foray.
You agree to promote the interests and welfare of Foray.
You agree to conform to and comply with Foray’s Policy and such directions and orders as
may from time to time be given by Foray.
Foray may, at its sole discretion, transfer you to any other office of Foray in India or
overseas or to any of its affiliates so long as the benefit of your employment accrues to
Foray. In such case, you shall also be bound by any policy of such other office or affiliate, in
existence at the date of this Agreement or that may be subsequently framed by Foray or the
affiliate. You will also be expected to make visits and travel both within India and overseas,
as may be necessary for the proper discharge of your duties.
If Foray processes business visa to travel outside country, the employee shall continue to
work with Foray for a period of Twelve months from the date of visa issue. If the employee
decides to terminate his/her contract with the Foray with in this time period, it is agreed
upon that the employee shall compensate Foray with a sum of US $ 5,000 (Five Thousand
US Dollars only) for the opportunity and financial loss.
If employee travels outside country on a Foray business assignment/training purposes, the
employee shall continue to work with Foray for a period of Six months from the date of
completion of the assignment/training onsite. If the employee decides to terminate his/her
contract with the Foray within this time period, it is agreed upon that the employee shall
compensate Foray with a sum of US $ 5,000 (Five Thousand US Dollars only) for the
opportunity and financial loss.
You agree that during the term of your employment with Foray, you shall not be engaged
either directly or indirectly in any employment, venture or business which is directly or
indirectly in competition with Foray.
You agree that during and upon termination of your employment, you shall not in any
manner either directly or indirectly solicit or entice the other employees or customers of
Foray to join or enter into transactions, as the case may be with either you directly or
indirectly or with other entities which are in direct or indirect competition with Foray.

desire to leave the services of Foray, you will have to give two month's notice or salary in
lieu thereof and your relieving from the organization will be subject to your manager
relieving you from the ongoing project assignment. Similarly, Foray shall be entitled to
terminate your employment at any time by giving you a month's notice or salary in lieu
thereof.
Notwithstanding anything mentioned in this Agreement, Foray may terminate your
employment, with immediate effect by a notice in writing (without salary in lieu of notice),
in the event of your misconduct, including but not limited to, fraudulent, dishonest or
undisciplined conduct of, or breach of integrity, or embezzlement, or misappropriation or
misuse by you of Foray’s property, or insubordination or failure to comply with the
directions given to you by persons so authorized, or your insolvency or conviction for any
offence involving moral turpitude, or breach by you of any terms of this Agreement or
Foray Policy or other documents or directions of Foray, or irregularity in attendance, or
your unauthorized absence of from the place of work for more than five (5) working days,
or closure of the business of Foray, or redundancy of your post in Foray, or upon you
conducting yourself in a manner which is regarded by Foray as prejudicial to its own
interests or to the interests of its clients. In the event of absence from work without cause
for more than five (5) working days, you shall be liable to pay Foray an amount equivalent
to your one (1) month’s current gross salary.
Notwithstanding anything aforesaid, termination by you shall be subject to the satisfactory
completion of all your existing duties, obligations and projects etc.
At the time of termination of your employment, if there are any dues from you, the same
may be adjusted against any money due to you from Foray on account of salary, bonus or
any other such payments.
You acknowledge and agree that any work that you may be conducting either on the
premises of Foray or otherwise with regard to patents, improvements, discoveries or any
other form of intellectual property, whether protected under law or not, is being done on
behalf of Foray. In this regard, you agree to execute an Employee Invention Assignment
Agreement annexed to this Employment Agreement.
You shall execute a Non Disclosure Agreement annexed to this Employment Agreement
under which you will have an obligation to keep confidential Foray’s proprietary
information.
You agree that the interpretation and enforcement of this Agreement shall be governed by
the laws of India and all disputes under this Agreement shall be governed by the provisions
of the Indian Arbitration and Conciliation Act, 1996. The venue for arbitration will be Pune.
This employment is directed towards developing a career at Foray. However employment
at Foray will always entail the conditions of satisfactory performance and satisfactory
market conditions for Foray's products and services (as it may determine at its sole
discretion).
This is to certify that I have read this Agreement and all Annexure and understood all the
terms and conditions mentioned therein and I hereby accept and agree to abide by them.
