DELFTSHIP B.V EDUCATIONAL SOFTWARE LICENSE AGREEMENT The agreement is signed by Delfiship B.¥., Parklaan 83 2132 BM Hoofddorp ‘The Netherlands and Nha Trang University ' No. 2, Nguyen Dinh Chieu Street, Grant of License Delftship 8.\. hereby grants Nha Trang University the nonexclusive right to use DELFTship on the terms and Conditions hereinafter appearing. The nonexclusive right to use DFI FTchin ie granted solely for Non-Commercial ueage in an Educational Establishinent. 4. Nha Trang University is committed to undertake adequate measures not to permit a third party to receive the know-how or to get access to or use the Software or documents received from Deiftship B. 5. When reasonable suspicion of a breach of this agreement arises, Delftship shall undertake to, in close coordination with Nha Trang University investigate this suspicion, and may opt to temporarily or permanently suspend suspect licenses. 6. Nha Trang University shall indemnify DELFTship BV and keep DELFTship BV fully and effectively indemnified on demand from and against any and all losses, claims, damages, costs, charges, expenses, liabilities, demands, proceedings and actions which DELFTship BV may sustain or incur, or which may be brought or established against it by any person and which in any case arise out of or in relation to or by reason of: 2) any breach by Nha Trang University of its obligations under this Agreement; or b) any unauthorized action or omission of Nha Trang University its employees or its students7. Delftship B.V. has the right to technically imit the use of The Software for educational use only at the sole discretion of Nha Trang University 8. This Agreement will be in force from the date of the last signature. After the first year the ‘Agreement shall automatically be continued for one (1) year at atime, unti it is terminated by a writen notice by either party at least six (6) months in advance.
