CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL is made, executed and entered into by and

between:

YVONE MAY JUGUILON-LILOC, of legal age, Filipino, Married and a

resident of 14-A St. Jude, San Marcus, Brgy. Centro Agdao, Davao City,
Philippines, hereinafter referred to as the “VENDOR”;

-AND-

NEN BUILDERS AND DEVELOPMENT SERVICES CORP., a Juridical

Entity, duly registered with the Securities and Exchange Commission in
accordance with law, represented in this act by NOEL P. NAVARRO SR.
married and a resident of Villa Cacaho, Mankilam, Tagum City, Davao del
Norte, Philippines, hereinafter referred to as the “VENDEE”;

WITNESSETH THAT:

WHEREAS, this CONTRACT TO SELL, as well as the Parties hereto,

expressly recognizes that a CONTRACT TO SELL has been executed by and
between, YVONE MAY JUGUILON-LILOC, herein referred to as the “VENDOR”
and NEN BUILDERS AND DEVELOPMENT SERVICES CORP., a Juridical
Entity, duly registered with the Securities and Exchange Commission in
accordance with law, represented in this act by NOEL P. NAVARRO SR.
hereinafter referred to as the “VENDEE” covering a parcel of land with a total of
EIGHT THOUSAND EIGHT HUNDRED FORTY SIX (8846) SQUARE METERS,
more or less located at Barangay Tuganay, Municipality of Carmen, Province of
Davao del Norte, Philippines covered by the Transfer of Certificate of title
described as TCT no. CARP2018002584;

WHEREAS, the VENDOR, is the owner of the parcel of land located at

Barangay Tuganay, Municipality of Carmen, Province of Davao del Norte,
Philippines covered by the Transfer of Certificate of title described as TCT no.
CARP2018002584;

WHEREAS, the VENDOR, in his own right as owner, is authorized to

SELL, CEDE, TRANSFER and CONVEY, a parcel of land with a total of EIGHT
THOUSAND EIGHT HUNDRED FORTY SIX (8846) SQUARE METERS, more
or less located at Barangay Tuganay, Municipality of Carmen, Province of
Davao del Norte, Philippines covered by the Transfer of Certificate of title
described as TCT no. CARP2018002584;

WHEREAS, the VENDEE has offered to buy, and the VENDOR have agreed to
sell, a parcel of land with a total of EIGHT THOUSAND EIGHT HUNDRED
FORTY SIX (8846) SQUARE METERS, more or less located at Barangay
Tuganay, Municipality of Carmen, Province of Davao del Norte, Philippines
covered by the Transfer of Certificate of title described as TCT no.
CARP2018002584, with a technical description which is more particularly
described as follows:

BY AUTHORITY OF THE PROVISIONS OF REPUBLIC ACT NO. 6657, THERE IS

HEREBY AWARDED UNTO THE SAID YVONE MAY F. JUGUILON, SINGLE, OF
LEGAL AGE, FILIPINO, THIS CERTIFICATE OF LAND OWNERSHIP AWARD
COVERING THE PARCEL OF AGRICULTURAL LAND HEREIN DESCRIBED.

WHEREAS, the VENDEE shall pay the costs, taxes, and fees relative for
the transfer of the title unto his name, or his heirs, or his assigns; except for
the capital gains tax;
 WHEREAS, the parties hereto, expressly agreed upon that the VENDOR
will take hold the Title of the above-described property for the commencement
of this said CONTRACT TO SELL;

WHEREAS, this CONTRACT TO SELL, as well the parties hereto,

expressly, recognized the TERMS OF PAYMENT, with respect to the
aforementioned CONTRACT TO SELL, executed by and between, YVONE MAY
JUGUILON-LILOC, herein referred to as the “VENDOR” and NEN BUILDERS
AND DEVELOPMENT SERVICES CORP., a Juridical Entity, duly registered
with the Securities and Exchange Commission in accordance with law,
represented in this act by NOEL P. NAVARRO SR. hereinafter referred to as
the “VENDEE” covering a parcel of land with a total of EIGHT THOUSAND
EIGHT HUNDRED FORTY SIX (8846) SQUARE METERS, more or less located
at Barangay Tuganay, Municipality of Carmen, Province of Davao del Norte,
Philippines covered by the Transfer of Certificate of title described as TCT no.
CARP2018002584, which are particularly described as follows, to wit:

“X X X WHEREAS, the parties have agreed to following terms for the payment:

1. The actual consideration of a portion of a parcel of land of the

above-described property with a total amount of SEVEN MILLION
PESOS (P 7,000,000.00) Philippine Currency, free from liens and
encumbrances of the above mentioned parcel of land.

2. Upon signing of this instrument, the VENDEE shall pay the

VENDOR the initial amount of ONE MILLION PESOS (P
1,000,000.00);

3. The above-cited payment of ONE MILLION PESOS (P

1,000,000.00) shall be deemed as the FIRST PAYMENT, in
accordance with the schedule of payments indicated below;

4. The VENDEE shall pay the Remaining balance of SIX MILLION

PESOS (P 6,000,000.00), on twenty-four (24) installment months
and secured by individual checks

5. The remaining balance of SIX MILLION PESOS (P 6,000,000.00),

to be paid on twenty-four (24) installments months, shall be paid
in accordance with the following payment of TWO HUNDRED
FIFTY THOUSAND PESOS (P 250,000.00);

WHEREAS, upon completion of the payment of the above-mentioned

balance, both parties do hereby agreed to execute a separate from this Contract
a DEED OF ABSOLUTE SALE of the above-described property; and upon
execution of DEED OF ABSOLUTE SALE, the VENDOR shall convey the said
property in favor of the VENDEE;

WHEREAS, while the payment contract is ongoing, the VENDEE may introduce
improvement of the said property such as; filling of soil, or gravel just to elevate
the area to avoid overflow of water, especially during rainy season. However,
the VENDOR may continue to plant rice to unfilled the area until fully paid by
the VENDEE;

WHEREAS, in the event that any provision of this contract is violated by

either or both parties, they hereby agree to undergo mediation and
renegotiation first, before seeking relief from the court, Parties further agree
that the venue of the action, if any, shall be at Davao City, Philippines

NOW THEREFORE, for and in consideration of the foregoing, the parties

do hereby agree to abide the Terms and Conditions of this CONTRACT TO
SELL;
