DEED OF EXCHANGE

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed this ______________

in ______________, Philippines, by and between –

JUAN Z. DELA CRUZ, of legal age, married to JOSEFINA Z. RIZAL, Filipino

citizen, and with residence and postal address at
XXXXXXXXXXXXXXXXX, hereinafter called the PARTY OF THE FIRST
PART,

JOSE Z. REYES, of legal age, single/married to MYRA Z. LAGOS, FILIPINO

hereinafter called the PARTY OF THE SECOND PART,

WITNESSETH: THAT-

WHEREAS, the PARTY OF THE FIRST PART is the owner in fee simple of
certain real property with the buildings and improvements thereon,
situated at XXXXXXXXXX and more particularly described in
Original/Transfer Certificate of Title No. XXXXX issued by the Register of
Deeds of XXXXXXX, as follows:

WHEREAS, the PARTY OF THE SECOND PART is likewise the owner in fee
simple of certain other real property with the buildings and more
particularly described in Original/Transfer Certificate of Title No.
XXXXXXX issued by the Register of Deeds of XXXXXXXX, as follows:

WHEREAS, both parties hereto have voluntarily agreed by and between

themselves to exchange their respective properties as above described;

NOW, THEREFORE, for and in consideration of the above premises, the

PARTY OF THE FIRST PART does hereby cede, transfer and convey unto
the PARTY OF THE SECOND PART the real property including the buildings
and improvements existing thereon mentioned and described under the
first WHEREAS clause above, and by simultaneous act the PARTY OF THE
FIRST PART the other real property including the buildings and
improvements existing thereon mentioned and described in the second
WHEREAS clause above;

That both parties hereto do hereby warrant valid title to, and peaceful
possession of, their respective properties they have mutually ceded,
transferred and conveyed, and further declare that the same are free and
clear of all liens and encumbrances of any kind whatsoever.
IN WITNESS WHEREOF, the parties hereto have hereunto caused these
presents to be signed at the place and date first above written.
