AMENDED MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM of AGREEMENT entered into by and among:

THE PROVINCIAL GOVERNMENT OF LEYTE, a local government unit,


with postal address at the Provincial Capitol, Tacloban City, Province of Leyte, herein
represented by Honorable CARLOS JERICHO L. PETILLA in his capacity as
Provincial Governor, hereinafter referred to as the LOCAL GOVERNMENT UNIT;

-AND-

HELPING (Human Empowerment for Livelihood Program) FOUNDATION,


INC., a non-stock and non-government organization, duly organized and existing under
and by virtue of the laws of the Republic of the Philippines, with postal address at Road
10, Vitas, Tondo, Manila, represented in this instance by its Executive Director
RICARDO E. REYES, hereinafter known as the FOUNDATION;

-AND-

THE OFFICE OF THE PRESIDENT, through the PRESIDENTIAL


MANAGEMENT STAFF, with postal address at Malacañan, Manila, represented by its
head, Sec. SILVESTRE C. AFABLE, JR., hereinafter known as the PMS,

WITNESSETH: That—

WHEREAS, the Livelihood Training and Productivity Center in Barangay


Candahug, Palo, Leyte was established through the mutual cooperation of the Office of
the President, the Provincial Government of Leyte and Helping Foundation, Inc. under
the terms and conditions provided for in a MEMORANDUM OF AGREEMENT dated
2 September 1997, a copy of which is hereto incorporated as ANNEX “A”;

WHEREAS, Section 8 of said Memorandum (Annex A) provided that “the NGO


shall transfer the implementation of the Project and all its assets the first five (5) years of
operation of the center to the Provincial Government or on September 2002.

WHEREAS, Section 8 of said Memorandum (Annex A) was modified in a


second MEMORANDUM OF AGREEMENT executed by then Governor Remedios
Petilla dnd Foundation Executive Director Ricardo Reyes, dated 9 December 2003,
which now provided that “the NGO shall transfer the implementation of the Project and
all its assets after the first five (5) years of operation of the Center to the Provincial
Government. The turnover of the facility of the provincial government after five years of
operation will be on December 9, 2003.” (underscoring ours) a copy of this
MEMORANDUM OF AGREEMENT is hereto incorporated as ANNEX “B”.

WHEREAS, the new Leyte Governor CARLOS JERICHO L. PETILLA has


signified his intention in form of a LETTER REQUEST dated 18 September 2004 made
through the Chief Executive Officer of the Foundation in Leyte, BETTY B. GARRIDO,
for the approval of the Foundation Executive Director RICARDO E. REYES for the
extension of the turnover of the facility to the provincial government UNTIL
DECEMBER 2004 instead of December 9, 2003; and that said REQUEST was approved
in the same LETTER FORM by Executive Director RICARDO E. REYES; a copy of this
LETTER REQUEST and APPROVAL is hereto incorporated as ANNEX “C”.

WHEREAS, to ratify said LETTER REQUEST (Annex C) and in evidence of his


serious intention, Governor CARLOS JERICHO L. PETILLA has sent a LETTER dated
24 September 2004 to Foundation Executive Director RICARDO E. REYES, stating
therein that (he) “would lilke to request that the turnover of Helping Foundation, Inc.-
Leyte be extended until December 2004, to give the Province enough time to straighten
out the operational status of the Center.” (underscoring ours) A copy of the LETTER-
REQUEST is hereto incorporated as ANNEX “D”.

NOW, THEREFORE, in consideration of the above premises, the parties hereto


do hereby agree, as they have agreed, as follows:

SECTION 1. The Foundation and PMS hereby turn over the Livelihood Training
and Productivity Center in Candahug, Palo, Leyte to the Provincial Government in
accordance with Section 8 of the tripartite Memorandum of Agreement dated September
2, 1997, as amended by the second Memorandum of Agreement dated December 9, 2003,
and as further amended by this Amended Memorandum of Agreement.

SECTION 2. The Provincial Government shall operationalize the center in


accordance with the goal and objectives of its establishment as contained in the Project
description appended to the tripartite agreement, particularly that of providing skills
training for the out-of-school youth and unemployed individuals.

SECTION 3. The Provincial Government shall be given the option to adopt its
own lawful financing scheme in managing the center more efficiently and effectively;
and

SECTION 4. The Provincial Government accepts the item enumerated in the


attached MATERIAL A as turned over by the foundation for exclusive use in providing
skills and other related training for human empowerment.

IN WITNESS WHEREOF, the parties hereto have hereunto set their hands this
