MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and entered into by and between:

MR. EUSEBIO S. STA.ANA, No. 111 Batulao Street, San Jose Village III, Binan, Laguna
MR. EDMOND H. FAJARDO, No. 109 Martinez Street, San Jose Village I, Binan, Laguna
MRS. LEONISA LANSANGAN, Block 57 Lot 2 Maunlad Homes Subd., corner Malinis Street Phase 3, Mojon,
Malolos, Bulacan, all referred to as the “AGENTS”,
And

MS. FELISA GONZALES, Sulipan, Apalit, Pampanga, referred to as the “SELLER”,

WITNESSED, that

WHEREAS, the “SELLER” agreed to pay the “AGENTS” 10% of their total commission in the amount of
SEVENTEEN THOUSAND NINE HUNDRED EIGHTY FOUR AND 75/100 PESOS ONLY (P17,984.75) upon
the release of the 10% earnest money. Furthermore, the “SELLER” also agreed to return to the agents any
excess from the total amount of THREE HUNDRED FIFTY NINE THOUSAND SIX HUNDRED NINETY FIVE
PESOS (P359,695.00) she is due to receive.

WHEREAS, the “SELLER” agreed to pay the “AGENTS” 30% of their total commission in the amount of FIFTY
THREE THOUSAND NINE HUNDRED FIFTY FOUR AND 25/100 PESOS ONLY (P53,954.25) upon the
release of the 30% DOWNPAYMENT after the execution of the Deed of Conditional Sale. Furthermore, the
“SELLER” also agreed to return to the agents any excess from the total amount of ONE MILLION SEVENTY
NINE THOUSAND EIGHTY FIVE PESOS (P1,079,085.00) she is due to receive.

WHEREAS, the “SELLER” agreed to pay the “AGENTS” 30% of their total commission in the amount of FIFTY
THREE THOUSAND NINE HUNDRED FIFTY FOUR AND 25/100 PESOS ONLY (P53,954.25) upon the
release of the 30% PARTIAL PAYMENT after the release of the transferred titles. Furthermore, the “SELLER”
also agreed to return to the agents any excess from the total amount of ONE MILLION SEVENTY NINE
THOUSAND EIGHTY FIVE PESOS (P1,079,085.00) she is due to receive.

WHEREAS, the “SELLER” agreed to pay the “AGENTS” 30% of their total commission in the amount of FIFTY
THREE THOUSAND NINE HUNDRED FIFTY FOUR AND 25/100 PESOS ONLY (P53,954.25) upon the
release of the 30% remaining balance as FULL PAYMENT after the conversion of tax declaration from
agricultural to residential. Furthermore, the “SELLER” also agreed to return to the agents any excess from the
total amount of ONE MILLION SEVENTY NINE THOUSAND EIGHTY FIVE PESOS (P1,079,085.00) she is
due to receive.

WHEREAS, AGENTS AND SELLER agreed that the amount of commissions and any excess from the amount
due to be received by the SELLER shall be made under the name of EDMOND H. FAJARDO, who shall
release to AGENTS immediately upon receipt from the sellers.
