The following supplements and/or supercedes the Tender Documents dated August 24, 2018. This
Suite 250
171 W Esplanade Addendum forms part of the Contract Documents and is to be read, interpreted and coordinated with all other
North Vancouver parts. The cost of all contained herein is to be included in the contract sum. The following revisions supercede
British Columbia the information contained in the original Tender Drawings and Specifications issued for the above-mentioned
Canada V7M 3J9 project to the extent referenced and shall become part thereof. Bidders must acknowledge receipt of this

1.0 Invitation to Bid .1 Sealed Bids for the ʔaq̓am Health and Wellness Centre
Building will be received from General Contractors at the office
of the Consultant:

The Bid shall close on September 13, 2018 at 2:00pm P.S.T..
.1 Bids submitted after the above time will be returned to
the Bidder unopened.
.2 Bids will be opened in public after the time for receipt of
Bids.
The Consultant will open the Bids immediately after the
close of Bids at the Consultants Office, Suite 250 - 171
West Esplanade, North Vancouver, BC.
No indication of award will be made until all Bids are
reviewed for compliance with Bid documents.
.3 A Bid submitted in accordance with these instructions
may be revised, provided the revision is received at the
office designated for the reception of Bids, on or before
the time and date set for the closing of Bids. An unclear
facsimile will be rejected with no corroboration or
clarification being sought by the Owner.
.2 The scope of work shall include the construction of a new
single storey wood framed health centre building. The new 460
m2 (4,951 ft2) health facility will include a community health
room, lobby area, medical exam and treatment spaces, a
multipurpose room, office and administration spaces, and
general support spaces. The construction includes wood
platform framing on a concrete slab on grade with roof trusses.
New exterior site works include site clearing, grading,
landscaping, concrete sidewalk, wood deck, paved parking
area, generator and garbage enclosure, sanitary force main
and a water connection.
.3 The main funding contributors for this project will be the First
Nations Health Authority (FNHA). The owner is ʔaq̓am
Community, 7470 Mission Road, Cranbrook, B.C., V1C 7E5.

Bid Documents are also available in Hard Copy from the office

Vancouver. For each set of drawings and specifications
received, a non-refundable certified cheque in the amount of
One Hundred ($100.00) CDN Dollars shall be deposited with

.6 Bidders must verify receipt of all the documents, parts and
pages indicated by the Table of Contents and shall assume
responsibility for the set of hard copy or PDF Tender
Documents received by them as being complete. Bidders must
report any shortages to the Consultant immediately.
.7 Any Addenda issued during the Bid period will only be sent to
those parties registered with the Consultant and to the -
construction association locations mentioned in 1.4 above.
.8 A “Pre-Award Meeting” will be held with the apparent low
Bidder in the interval between the receipt of Bids and award of
the contract in order to verify the Bidders’ capability to
undertake and successfully complete the work, and to review
the requirements of paragraph 1.4 and to discuss such items
as the project schedule; labour, equipment and construction
methods; contract security; and a general review of the project
requirements.

2.0 Bid Form


Submission .1 The Bid shall be made out on the Bid Form enclosed in this
document, bearing the signature of the legal signing authority
and witnessed. The Bid must be sealed in an opaque envelope
clearly marked “Bid for ʔaq̓am Health and Wellness Centre
Building, Cranbrook, BC”.
.2 The name and address of the Bidder is to appear on the
outside of the envelope.
.3 Bids shall clearly show all applicable unit prices, separate
prices, alternate prices, and additions or deletions, to enable
review by the Owner without the need to consult with the
bidder. Bids shall include all Cash Allowances.

.4 Bidders are notified that Bids will not be considered unless


made on the Bid Form provided and unless signed as
specified.
.5 Bids that are incomplete, unsigned, improperly signed or
sealed, conditional, illegible, obscure, contain arithmetical
errors, erasures, alterations, or irregularities of any kind may
be rejected.
.6 Alterations, correction changes or erasures made to
statements for figures entered on the Bid Form by the Bidder
must be initialed by the persons signing the Bid.
.7 Failure to provide security deposit will result in the Bid being
rejected.
.8 Bidders shall be solely responsible for the delivery of their Bids
in the manner and time prescribed above.
.9 Each Bidder shall submit their Bid as a single quotation, based
on the specifications or on the pre-approved equivalents. No
alternative prices shall be quoted unless specifically called for
in the Bid Documents, or approved by addenda issued prior to
the closing date for Bids.
.10 The Owner may extend the time for receiving Bids, and may
issue addenda to the Contract Documents. Such amendments
will not be issued within three (3) working days of a Bid closing
time.
.11 Bidders are advised that their Bid shall remain open for
acceptance by the Owner for a period of forty-five (45) days
from the date of receipt of bid.

3.0 Taxes, Duties


& Invoicing .1 It is the responsibility of the Contractor to familiarize
themselves with the tax exemption requirements on reserve. All
Bidders are advised that products and services purchased by a
Ktunaxa Band and delivered to reserve lands by the vendor,
PST does not apply and GST does apply. The point of sale for
all goods and services shall be ʔaq̓am Administration 7470
Mission Road, Cranbrook BC V1C.

.2 To ensure that the Contractor is able to recover any taxes that


his suppliers may apply to materials for this project and for
purpose of schedule of values, successful Bidders will be
required to break down their bid into separate labour and
material costs based on divisions of specifications, prior to
award of the contract. All invoicing will also be required to
show the labour and materials breakdown.
(Refer to Exemption for Indians and Indian Bands in Appendix
B). It is the intention of Items 3.1 and 3.2 to describe what the
process may be to obtain tax exemption on Reserve; it is the
responsibility of the Contractor to obtain the necessary tax
advice.

.3 The owner shall take possession of materials on site prior to


installation into the building.

4.0 Contract Security .1 All Bids shall be accompanied by a Bid Bond issued by a
recognized indemnity company naming as obligee, the Owner,
or a certified cheque in the amount of ten (10) percent of the
Bid.
.2 The successful Contractor shall provide a Performance Bond
and a Labour and Material Payment Bond in favor of the
owner, each in an amount equal to 50% of the Contract
amount. The Performance Bond and the Labour and Material
Payment Bond shall cover faithful performance of the Contract,
and the payment of all obligations arising thereafter.
.3 All Bids shall be accompanied by an agreement to bond
(surety's consent) as described in section 4.2.

5.0 Insurance .1 The successful Bidder shall provide with his Bid and from time
to time thereafter proof that his personnel are fully covered
under the Work Safe BC, and that his Company and workers
carry a minimum of $2,000,000 Public Liability and Property
Damage Insurance and all other insurance requirements as per
CCDC-2 2008 and CCDC 41 and Supplementary Conditions.
.2 The Contractor shall provide certificates of insurance from an
approved company stating that they are insured as required by
the GC 11.1 Insurance, GC 12.1 Indemnification and the
Supplementary Conditions, to protect all those who have a
direct participation in the Project, for claims, which may arise
as a result of third party liability and loss or damage during the
course of construction.

6.0 Documents
Examination .1 Bidders shall examine the Tender Documents prior to
submitting a Bid, so that they are fully conversant with the
conditions which will affect the execution of the Work.
.2 Bidders shall make their own estimate therefrom of the facilities
and difficulties attending the performance and completion of
the Work. No extra payment will be considered for any claims
arising from the failure to consider the weather conditions at
the site or the remote location of the site.
.3 The Bidder, by submitting a Bid, represents and warrants that:
.1 The Bidder has not relied upon any representation or
warranty by the Owner or the Consultant with respect to
the completeness, reliability, sufficiency, accuracy or
relevance of any information, or any interpretation derived
from any such information, set out in or otherwise provided
in the Tender Documents or on any analysis or
interpretation thereof, and any reliance thereon or use
made thereof by the Bidder shall be at the sole risk of the
Bidder.

.2 The Bidder has had sufficient opportunity to investigate,


has made all such investigations as the Bidder in its sole
discretion has determined are necessary, and has fully
investigated and satisfied itself of every condition relating
to or affecting the Work, including but not limited to any
design requirements, weather, the site conditions, or the
labour, equipment, material and any other resources to be
provided to perform the Work and the Contract, and the
Bidder assumes any and all risks relating to or regarding
all such conditions, whether or not any such conditions are
revealed by any information available to, or investigations
undertaken by, the Bidder.
.3 The Bidder’s investigations have been based on its
independent examination, experience, knowledge,
information, and judgment, and not upon any statement,
representation, or information made or given by or on
behalf of the Owner.
.4 Any and all investigations made by or on behalf of the Bidder in
connection with its Bid shall be made at the Bidder’s own risk
and the Bidder shall indemnify and save harmless the Owner
and the Consultant, and their officers, employees and agents,
for any loss, damage, cost, expense (including without
limitation, legal defense costs and expenses), claim, liability,
demand, fine, penalty, assessment, or levy suffered or incurred
by the Bidder or any third party arising, either directly or
indirectly, from such investigation, including from any acts or
omissions, negligent or otherwise, of the Owner or the
Consultant, including their respective officers, employees and
agents, which indemnity shall survive subsequent to any award
of the Contract, or any cancellation or termination of this
Tender. Bidders shall examine the Bid Documents, so that
they are fully conversant with the conditions which will affect
the execution of the Work.

7.0 Examination of the


Site and Work .1 Bidders are required to visit the site prior to submitting a Bid to
become familiar with the extent of the work and actual site
conditions. This required site meeting is scheduled to take
place on Thursday, September 6th, 2018 at 12:30pm.
No extra payment will be considered for any claims arising from
failure to visit the site. The Geotechnical Report is included in
the Specifications for information.

8.0 Form of Contract .1 The successful Bidder will be required to enter into a formal
Contract with the Owner using the CCDC-2, 2008 edition,
General Conditions, Supplementary General Conditions of

which are enclosed and amended as stated in these Contract


Documents.

9.0 Inquiries and Addenda .1 All inquiries regarding Bidding requirements, drawings and
specifications shall be directed to the Consultant,

.2 Bidders who find any discrepancies, omissions, ambiguities, or
conflicts in or among Contract Documents or are in doubt as to
their meaning must bring any questions to the attention of the
Consultant no later than seven (7) days prior to date for receipt
of Bids. The Consultant will review questions and when
information sought is not clearly indicated or specified, will
issue a clarification bulletin or Addenda. Neither the Owner nor
Consultant will make or be responsible for any oral instruction.
.3 All Addenda will become part of the Contract Documents.

10.0 Alternate Materials


and Equipment .1 Materials and equipment specified in the specification and on
related drawings establish the quality standard required.
Alternative materials and equipment, to gain approval, must
meet these minimum standards.
.2 Bids shall be based on the use of materials specified in the
Drawings and Specifications.
.3 Substitutions will be allowed only by procedures described
below. All materials and/or equipment of any kind necessary for
this work are subject to approval of Consultant. The
Consultant’s judgment and decision will be final and conclusive.
.4 If Bidders wish to use materials and equipment other than
those indicated and specified, submit requests for substitution
in writing to Consultant for acceptance. Submittals must be in
Consultant’s office no later than seven (7) Working Days before
bid closing. Requests received after this time will not be
considered.
.5 Each submission must be complete with samples, data sheets,
colour charts and other additional information required by
Consultant so that a direct comparison can be made. It is the
sole responsibility of Bidders to make complete submissions so
that the Consultant can make proper appraisal. Failure to make
complete submissions may be cause for rejection of
subsequent requests.
.6 Where substitution requires change and modification of Work
from that indicated, include such information with submission.
Upon Consultant’s acceptance of requested substitution include
related costs of change and modification of Work in pricing
presented to respective trades bidding respective substitution,
to provide accurate price comparison between substitution and
that which is indicated and specified. Accepted substitutions
must incorporate into Work without additional cost to Owner.

.7 Where Products are listed as “Reference Product”, they are the


Products on which performance specification has been based.
Approval is not required before bidding other Products as all
Products supplied must meet performance criteria specified.
Such inclusions of Product names is for clarification only.
i. Where Products are listed as “Selected Product”, approved
by consultant is mandatory before bidding other Products,
following complete submission process described above.
ii. Where Products are listed as “Owner’s Standard”, these
makes and models of Products have been requested by
the Owner.
iii. Requests for substitutions of Owner’s Products must be
accompanied by a letter of approval from the Owner prior
to submission of such request to Consultant.
.8 Approved alternatives of “Selected Products” or “Owner’s
Standard” will be incorporated in the Drawings and
Specifications by issuance of an Addendum.

11.0 Permits and


Regulations .1 The Owner will arrange and pay for the cost of any necessary
development approvals, building permits, permanent
easements, rights of servitude, and all other necessary
approvals and permits as described in CCDC 2 GC 10.2.2.
except for the permits and fees referred to in CCDC 2 GC
10.2.3 or for which the Contract Documents specify as the
responsibility of the Contractor. The Contractor shall be
responsible for the procurement of permits, licences,
inspections, and certificates, which are necessary for the
performance of the Work and customarily obtained by
contractors in the jurisdiction of the Place of the Work after
issuance the building permit. The contract price includes the
costs of these permits, licences, inspections, and certificates,
and their procurement as described in CCDC 2 GC10.2.3.

12.0 Schedule of Work .1 The Contractor shall prepare a schedule indicating major
protect milestones and the sequence of operations proposed
for completing the Project within (10) working days of the
contract award. This schedule of work must be approved
by the owner and the consultant.

13.0 Local Labour/Equipment.1 Contractors are to maximize the use of qualified ʔaq̓am
Community members with appropriate level of skill, expertise
and abilities. Compensation shall be at prevailing market rates.
A detailed list of available labour shall be provided by the
owner to the successful bidder.

.2 The Contractor is required to maximize the use of “local”


equipment where available. Compensation shall be at
prevailing market rates.

.3 The Contractor is required to maximize the use of “local”


subcontractors where suitable subcontractors are available.
.4 The Contractor is specifically required to list “local” Mechanical,
Electrical, Drywalling and Framing Subcontractors.
.5 The term “local” refers to Cranbrook / Kimberley and local
surrounding region.
.6 The Contractor will participate in a “Meet & Greet” hosted by the
Owner to connect with members seeking employment on the
project.

14.0 Separate Prices


.1 Where Separate Prices are to be stated on the Bid Form the
amount is for the addition or deduction from the “Total Amount
of The Bid”. DO NOT state a Revised Total Amount of Bid.

15.0 Workers’ Compensation


Board Letter .1 After Bid Closing, the lowest compliant Bidder shall provide a
Worker’s Compensation Board Letter of Good Standing within
(10) Working Days.

16.0 Progress Breakdown .1 Within ten (10) Working Days of the contract award by the
Owner, the successful Bidder must complete and submit a
schedule of values (with initial breakdown) in accordance
with the Owner’s requirements, for approval by the
Consultant.

17.0 Acceptance of The Bid .1 The lowest or any bid will not necessarily be accepted.
.2 The Owner reserves the right to review the capability of the
Bidder to do the work. The owner reserves the right to reject
any/ all bids.
.3 Award of Tender will be subject to final funding.
.4 The Award of Tender will be based on but not limited to the
following criteria:
i) Ability to perform the works described herein including
experience with similar project types and experience with
First Nation projects.
ii) Demonstrated ability to successfully incorporate band
members into work force while working toward capacity
building with said members and offering instructional work
experience.
iii) Demonstrated ability to meet schedules.
iv) Previous experience working in remote communities.
v) Schedule to complete the work described herein.
vi) Tender Prices including alternates and deletions.

vii) Use of local resources band owner equipment.

.5 The Owner, at its sole discretion, may accept or reject any or all
of the Separate Prices called for in the Contract Documents
and offered in the Bid. If accepted prior to the selection of the
successful bidder, the Separate Prices will not be considered in
evaluation and acceptance of the bid.
.6 The Separate Prices listed in the Contract Documents shall
remain open for acceptance by the Owner for the period stated
in the Contract Documents, from the time and date specified for
the closing of Bids, notwithstanding the award of the Contract.
.7 Bids which contain qualifying conditions or otherwise fail to
conform to these Instructions to Bidders may at the sole
discretion of the Owner, be disqualified or rejected.
.8 The Owner retains the separate right to waive irregularities in
the Bid Form if, at the Owner’s discretion, such irregularities are
of a minor or technical nature and have not provided the Bidder
with a competitive advantage. Errors of a clerical or technical
nature are not grounds for a Bidder to revoke a Bid.
.9 The Owner reserves the right to review and waive bid
irregularities based on reasonable and fair standard industry
practices as identified in the attached document entitled
Process for Administering Bidding Irregularities (Refer to
Guideline For Administering Bidding Irregularities in Appendix
C) notwithstanding that the Owner may seek further legal
advice when required.
.10 In the event that a single bid is received, the bid calling
authority may open this bid on the understanding that the
Owner reserves the right to accept or reject the single bid or re-
issue the bidding documents for a new re-bid without revisions
being made to the bidding documents.
.11 Notwithstanding the requirements of the Instructions to Bidders
for this project the Owner has the right to enter into over budget
negotiations with the lowest compliant Bidder, without
cancellation of all bids or consideration to the other Bidders,
and to require that Bidder to negotiate with the subcontractors
named on their Bid Form.

18.0 Bid Documents .1 The Instructions to Bidders, General Conditions of the


Contract, and Division 1 - General Requirements, shall be
deemed to be part of all sections of the specifications and shall
be read in conjunction therewith.
.2 The Bid Documents shall consist of the following:

.3 The Bidder shall verify that these Contract Documents include
