PROCESS FOR INCORPORATION OF COMPANY

Steps to be taken to incorporate a new company:

1. Select Atleast one suitable name for the reservation of name indicating the main object of the
company.
2. Apply to the concerned ROC to ascertain the availability of name in web enabled form ‘RUN’ by
logging in to the portal. A fee of Rs. 1,000/- has to be paid alongside. If proposed name is not
available or rejected, the user has apply for a fresh name by fresh filing of the form again.
3. The registrar will reserve the proposed name for 20 days from the date of approval (in case name
is being reserved for a NEW COMPANY) and 60 days from the date of approval (in case of
change of name of an EXISTING COMPANY).
4. Name reservation can directly be applied directly through SPICE -32 Form.
5. File form SPICE-32 (Single Integrated Form) for Incorporation of Company, Name Reservation,
DIN allotment, Application of PAN and TAN linked alongwith other linked Forms.
6. Filing of linked forms SPICE-33 (MOA) and SPICE-34 (AOA) alongwith SPICE-32 [linked
forms with SPICE]
7. In case of incorporation of a company having more than seven subscribers or where any of the
subscriber to the MOA/AOA is signing at a place outside India, MOA/AOA shall be filed with
INC-32 (SPICe) in the respective formats as specified in Table A to J in Schedule I without
filing form INC-33 and INC-34”.
8. Issue of Certificate of Incorporation by the registrar in form INC-11.
9. Allotment of Corporate Identity Number.
10. Furnishing verification of Registered Office in Form INC. 22 within 30 days of incorporation, in
case change in registered office.

You are kindly requested to confirm the following information-

- Number of Proposed Directors and Promoters along with their DIN.

- Occupation, email id, phone no. of the applicant whose digital signatures will be used.
- Type of Company-
- Class of company-
- Category of company- -
- State in which it is proposed to be incorporated.
- Objects of the proposed Company to be included in its MoA. (Spice form INC-33)
- Articles Of Associations AOA (Spice Form INC-34)
- Digital Signatures of any one of the applicant.

Further, please arrange to provide us the following information/documents-

- Significance of the Proposed Name.

- Break up of Authorised and Paid up share capital of the company.

- Complete correspondence address Proof of Office address (Conveyance/ Lease deed/Rent
Agreement etc. along with rent receipts) and Copy of the utility bills i.e. electicity bill/mobile
bill/telephone bill/gas bill. (not older than two months).

- No Objection Certificate from the owner if the property is owned by any other person.

- Number of shares subscribed by each subscriber cum director along with their email id, education
qualification, current occupation, mobile number and Place of Birth.

- Duration of stay at present address of each of the Director who is not having DIN.

- Self attested copy of Proof of identity (Voter Id card/copy of Passport/Copy of Aadhar

Card/Driving License) & Residential Address Proof (Bank Statement/Electricity Bill/Mobile
Bill/Telephone Bill) of subscribers cum directors along with the details of Present Residential Address.

- Self Attested copy of Pan Card/ Self-Attested Id and address proof (in case of foreign national
must be apostilled/notarized from Its home embassy in India of all subscriber as well as directors.

- Proposed Designation (Director/Managing Director/Whole Time Director/Nominee Director),

Category (Promoter/Professional/Independent/Nominee) of each of the Director.

- Digital Signatures of all the subscribers.
