DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This agreement made and executed in the City of Quezon, Philippines, by and
between;

CYPRES EQUIPMENT GROUP INC. represented by MR. STEPHEN KHO, of

legal age, Filipino, married, with business address at 314 Rizal Avenue Extension,
Caloocan City, hereafter referred to as the VENDOR and,

MR. ARNOLD C. NATIVIDAD, of legal age, Filipino, married, with address at 51

Apolonia St., Mapulang Lupa, Valenzuela City hereafter referred to as VENDEE.

That, the VENDOR is absolute and legitimate owner of that certain: (1) one
breaker, of the sum of THREE HUNDRED THOUSAND PESOS ONLY (Php. 300,000)
Philippine Currency, receipt of which in full is hereby acknowledged VENDOR hereby
SELLS TRANSFERS and CONVEYS the aforementioned BREAKER in as is, where is
condition, NO WARRANTIES whatsoever was made expressed or implied to VENDEE,
its heirs and assigns.
That, the VENDOR warrants full and absolute ownership of the property free
from all liens and encumbrances including any and all types of whatsoever kind and
nature, undertake to same VENDEE harmless from any suit or proceeding for the
enforcement or collection, thereof and VENDOR further states under oath that this is a
legitimate and BONAFIDE SALE and not one entered into for the purpose of fraud or to
cover a stimulated sale.
 IN WITNESS WHEREOF, the parties hereto does hereby affix their signatures at

The foregoing DEED OF ABSOLUTE SALE consisting of two (2) pages,

including this whereupon the acknowledgement is written, have been signed by the
parties and witnesses on each and every page thereof.
