Public Statement

We hereby would like to provide you with an update on past and current factual information and status
pertaining to the “Visec Cloud or LPRCLOUDSA” in brief as created by Philex Enterprises Inc.

Recently Global Technology Asset Partners Inc. acquired all Visec Assets, Intellectual property,
trademarks and collectively the Visec Cloud as it’s known.

It needs to be noted first and foremost that all Agreements between Vetus Schola Boland (or any other
Vetus Schola Entities Named in the Agreements), Visec Sub Sahara (Pty) Ltd, or any other entities
claiming to have the full rights or own the Intellectual Property in South Africa has been cancelled by
Philex Enterprises Inc due to a civil matter classified as a material breach on Thursday, April 18, 2019 by
the Johannesburg based legal representation for Philex Enterprises Inc. Furthermore Global Technology
Asset Partners, Inc. only purchased the assets.

Global Technology Asset Partners communicated the asset acquisition and finalization of the Asset
Transfer to Mr. Christian Muller on April 18, 2019 providing him with the opportunity to contact us to
discuss possible opportunities going forward. To date we received no reply from Mr Muller or his
associates and welcome dialog and open communication with them

Prior to the cancellation of said agreements, Philex Enterprises Inc. placed Visec Sub Sahara (Pty) Ltd on
legal notice to on March 06, 2019 to refrain from, disseminating, or making derivative works of the
original “VISEC CLOUD.”

Visec Sub Sahara (Pty) Ltd. ignored such requests and has been actively trying to re-register clients on
their version of the Visec Cloud. Furthemore it was brought to our attention from control room
operators that Visec Sub Sahara (Pty) Ltd have accessed “Clients” computers and cameras representing
themselves as Visec Sub Sahara employees or directors to update certain software. While having access
to the client owned servers or cameras to update the software we were told they illegally redirected
information to the their “New Platform”. This was done without the clients’ authorization or knowledge,
by redirecting the information through a method of DNS Hacking which is a Criminal Offence based on
the Cyber Crime Division of South Africa. Thus stealing the clients information without their consent.

As you are aware the Cloud has remained operational since it was taken down by RSAWeb in April. The
RSAWeb “takedown” Court Order was based on documentation being supplied that the PHILEX servers
being moved from Hetzner to RSAWeb. RSAWeb complied with the Court Order as they did not want to

be in contempt of court and provided Visec Sub Sahara with access to the servers. The court order did
not give them ownership, copyrights, derivative rights or any mention whatsoever that they own the
code, branding or databases. The reason why the service was moved by Philex Enterprises Inc. from
Hetzner to RSAWeb was due to better support and financial constraints of Non Payment of owed Funds
by Visec Sub Sahara (Pty) Ltd, as well as instability of financial health from Visec Sub Sahara (Pty) Ltd.
jeopardizing the viability of the continuity of service.

The non-payment of funds owed to Philex Enterprises Inc. has been communicated and requested for
rectification by Philex Enterprises Inc. since August 2018. In response Christiaan Muller by email or
through Gary Scagell provided in writing promises to pay. Christiaan Muller in collaboration with Gary
Scagell proposed a substantial amount being paid over a 36 month period between August 2018 and
February 2019. The cancellation included any previous Shareholding Agreements signed on 06 February
2017, Work Order and Legal Agreement signed by Gary Scagell on 05 October 2017 in place and Sale Of
Shares between Philex Enterprises Inc, Gary Scagell and Visec Sub Sahara (Pty) Ltd signed on 16 May
2018, or any other claimed agreements with Vetus Schola, Visec Sub Sahara (Pty) Ltd, and / or Gary.

1. Subsequent Global Technology Asset Partners Inc. are the owners of all International Intellectual
Property Rights (Trade Secrets, Layout Designs, Industrial Property, Concepts, Inventions –
Patented (Past, Present and Future)), International Source Code (Past, Present and Future),
International Technical Documentation pertaining to Visec (Past, Present and Future), Databases
and Information Accumulated since inception to date by Philex Enterprises Inc. and Software,
International Trademarks and Copyright © material including VISEC ®(Verbal, Written, Visual
and Logos), International Publicity Rights, Visec VMS Software, Domain Name Portfolios, Camera
Applications, Servers, IOS/ Android Apps, API’s, Expert Programming Team, Including The Visec
Cloud, Application Developers, Mobile Developers, Version Control (GIT), and Administration of
all Vertical Concepts and Markets.

2. Philex Enterprises Inc no longer has any claim whatsoever on any International Property Rights
as indicated in point 1 above.

3. Global Technology Asset Partners Inc. is now the sole owners and holders of the International
Property Rights (including any claimed rights by any African or South African Entity) as indicated
under point 1 above and legally acquired the said assets and International Property Rights.

4. No Liabilities have been acquired which include any Agreements, past and present which are still
duly owned by Philex Enterprises Inc. The reason for the previous not being acquired is due to
numerous irregularities found during the Due Diligence process, including possible fraud and
corruption within the dealings by affiliated companies controlled / managed by Christiaan
Muller,, Jason Berry and Gary Scagell (Including the prior sale of the Visec Sub Sahara (Pty) Ltd
claimed rights to a third party in South Africa on 24 March 2011) and International business
dealings is also under scrutiny due to the previous mentioned.

5. All claims made by Vetus Schola or any affiliated companies of Christiaan Muller, VISEC Sub
Sahara (Pty) Ltd or any claimed Management of their organizations including but not limited to
Gary Scagell, Jason Berry, Andre Snyman or Paul Palmridge are not valid or authorised by Global
Technology Asset Partners to represent the VISEC Brand or sell its services in Africa.

The below can be confirmed in conjunction with supporting documentation. It is worth noting that all
documentation and claims are deemed as a civil matter and has been dealt with as such through an
Attorney based in Johannesburg on behalf of Philex Enterprises Inc.

Global Technology Asset Partners have been in negotiations with a Local Entity to assist with
Management of our acquired Assets, who will make contact with all the relevant stakeholders in due
course once all the required Agreements have been completed.
