CONDITIONAL DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is entered into and executed by and


between:

A, of legal age, married to { }, Filipinos, with residence at { }, Philippines;

B, of legal age, married to { }, Filipinos, with residence at { }, Philippines;

C, of legal age, married to { }, Filipinos, with residence at { }, Philippines;


and

D, of legal age, married to { }, Filipinos, with residence at { }, Philippines,


hereinafter collectively referred to as VENDORS

-AND-

NAME, a domestic juridical entity, duly organized and existing under


Philippine laws, herein represented by its NAME. Hereinafter referred to
as VENDEE

WITNESSETH:

The VENDORS/ TRANFERORS are the surviving heirs of the late (NAME),
the registered owner of a parcel of land and its improvements as evidenced
by Transfer Certificate Title no: { }(Annex “A”) particularly described as
follows:

DESCRIPTION OF THE LAND

WHEREAS, the VENDORS desire to sell the aforementioned property and


the VENDEES agree and promises to buy the aforementioned property
including the improvements therein.
WHERAS, the VENDEES are interested to purchase the above described
property subject to the following terms and conditions.

SELLING PRICE
The total agreed selling price shall be __________ (-----)

PRELIMINARY CONDITIONS:
1. An Earnest Money, which shall be part of the purchase price, in the
amount of _________ (----), shall be paid by the VENDEE.
2. Consequently, the VENDORS, shall endeavor to procure a Duplicate
Transfer Certificate of Title by filing a Petition before the proper court.
3. The VENDEE on the other hand shall update the payment of real
property and other taxes in relation to the said property.
4. Upon successful release of the Duplicate Transfer Certificate of Title,
the VENDOR shall prepare the necessary Extrajudicial Settlement with
Deed of Sale in favor of the VENDEE.

TRANSFER CONDITIONS:
5. Upon the execution of the Extrajudicial Settlement of Estate with Deed
of sale by the VENDORS, the VENDEE shall endeavor to transfer the
title in the name of NAME.
6. The processing, fees, expenses, etc. (i.e. transfer taxes, Documentary
Stamp Tax, Capital Gains Tax, etc.), in relation to the said transfer shall
be on the account of the VENDEE.

PAYMENT OF BALANCE
7. The VENDEE shall pay the balance of the purchase, amounting to
_____________ (--------), upon the successful transfer of the Transfer
Certificate of Title in the name of NAME.

WARRANTIES
8. The VENDORS warrant that:
a. They constitute and represent all the surviving heirs of ______;
b. That the property is not subject to any lease, sale, mortgage, or any
other form of encumbrance; and
c. That in case any violation, breach, or non-fulfillment of any of the
above conditions, this conditional deed of sale shall be rescinded
and the all amounts paid in relation to this sale, and the processing
of the transfer, shall be returned by the VENDOR.

BEFORE ME, appeared the above stated parties showing their identification
documents as stated below. Known to me as the parties who executed this
Deed of Conditional Sale and they acknowledged to me as their free and
voluntary act and deed.

This document, consist of five (5) pages including this page where this
acknowledgement is written, with every page thereof duly signed by the
parties including their instrumental witnesses, at the bottom or left margin
thereof and seal with notarial seal, refers to a Conditional Deed of Sale of
Real Property.
