WARRANTY

• 10 years warranty on solar panels, product defects in materials & workmanship (best in industry) with 25
years linear output warranty, 10 years warranty for 90% of warranted minimum power output, 25 years
warranty for 80% of warranted minimum power output.
• 5 years warranty on Grid Inverter against any manufacturing defects.

• Cables / Electrical switchgears –warranty shall be transferred to the project Developers as given by the
manufacturer.

 TERMS & CONDITIONS
SR Applicable Terms
No Heads
1 SOW PPV Scope is restricted to design, engineering, manufacture, supply, packing,
forwarding, erection, testing and commissioning of Equipment’s as per agreed
scope, technical offer and specifications.
This scope is for agreed timelines and in accordance with other provisions and
obligations of each party. Unless specifically agreed by us in writing, no other
supply or services shall be considered as part of our scope/ deliverable/
obligation.
2 Price Basis Deliver to site
3 Excise Duty Exemption certificate for availing concession on Excise Duty shall be arranged
by client. It will be charged extra at actuals in case certificates not made
available within timeline
4 Custom Duty Exemption certificate for availing concession on Custom Duty shall be
arranged by client, customs Duty is considered ‘nil’ for this proposal.
5 Taxes & Duties On Supply: VAT (5 %) or CST ( 2% against C form ) Excluding & will be
charged extra at actual.
On Services: S.Tax (15%) will be charged extra at actual if applicable.
Other Taxes: Entry Tax, Octroi shall be charged extra at actual by client.
Any change in taxes/duties due to statutory variation shall be to the
purchaser’s account.

6 Interest on In case Owner fails to make the due payment within the agreed stipulated
Overdue timeframe, the Contractor shall be eligible to charge an interest of @12% per
Payment annum on all overdue payments until the duration the payments are received.
7 Assumptions The Prices are quoted in INR taking into consideration the current US dollar
for Foreign Value at INR 66, (hereinafter referred to as base rate). In the event there is
Exchange change in this rate beyond 2% at the time of order and advance receipt the
price shall be deemed to be escalated to that extent (hereinafter referred to as
“Revised Value”). The Revised Value shall be also applicable at the time of
making payment to PPV.
8 Packing Packing will be done as per PPV standards. Included in offered Price.
9 Deemed If the grid is not made available by owner to PPV within 15days of the solar
Commissioning power plant being ready for grid connectivity because of which PPV cannot
conduct the final performance tests, it shall be construed as “Commissioned”
10 Approvals Any Type of approval by Government/third party is excluded from this offer,
if it is required then all the terms and conditions will be decided after mutual
understanding. And delay in projects due to any kind of approval will not be
responsibility of PPV.
11 Inspections Any Type of inspection by Government/ third party is excluded from this
offer, if it is required then all the terms and conditions will be decided after

 mutual understanding. All The cost for this inspection will be given by client.
12 Force Majeure PPV shall not be liable for any failure or delay in the performance of this
Agreement/proposal for the period that such failure or delay is due to causes
beyond its reasonable control, including but not limited to acts of God, Natural
calamities, war, strikes or labour disputes, embargoes, government orders or
any other force majeure event.

13 Confidentiality All the information exchanged between the parties, either oral or written, in

Disclose (DND) except to the extent necessary to carry out obligations under it or to comply
with applicable laws.
14 Change in Any change in standard consideration/ considerations for technical designing
