accordance with law, hereby depose and state:

1. I am the incumbent Corporate Secretary of INC. (the "Corporation"), a

corporation duly organized and existing in accordance with the laws of the

2. During a Special Meeting of the Board of Directors of the Corporation held

on October 15, 2018 at the above-stated office address, during which
meeting a quorum was present and acting throughout, the following
resolution was passed and approved:

"RESOLVED, as it is hereby resolved, that (the

"Corporation") file a Letter-Complaint with the National Bureau of
Investigation (NBI) for violation of its trademark ownership over ""
sanitary napkins against, to examine and certify that the products being sold
by are counterfeit goods. ;

"RESOLVED, FURTHER, that ATTY. be, as he is hereby,

authorized to file a Complaint for trademark infringement before the City
Prosecutor's Office, represent the company before the regular courts in all
stages of the proceedings, prepare, execute, sign pleadings, affidavits and
all other documents necessary for the institution and prosecution of the
foregoing action before the Prosecutor's Office and the Court; and

"RESOLVED, FINALLY, that ATTY., be, as she is hereby,

authorized to perform any and all consistent to and in compliance with the
foregoing resolutions.”
