Whereas the Employer and the Contractor have entered into the Contract and desire jointly to appoint
the Member to act as sole Member who is also called the “DB”.
The Employer, Contractor and Member jointly agree as follows:
1. The conditions of this Dispute Board Agreement comprise the “General Conditions of Dispute Board
Agreement”, which is appended to the General Conditions of the “Conditions of Contract for Construction”
MDB Harmonised Edition published by the Fédération Internationale des Ingénieurs-Conseils (FIDIC),
and the following provisions. In these provisions, which include amendments and additions to the General
Conditions of Dispute Board Agreement, words and expressions shall have the same meanings as are
assigned to them in the General Conditions of Dispute Board Agreement.

4. In consideration of these fees and other payments to be made by the Employer and the Contractor in

5. The Employer and the Contractor jointly and severally undertake to pay the Member, in consideration of
the carrying out of these services, in accordance with Clause 6 of the General Conditions of Dispute
Board Agreement.

Xét thấy Chủ đầu tư và Nhà thầu đã kí kết Hợp đồng và mong muốn cùng chỉ định thành viên để đảm
nhận vai trò là người xử lí duy nhất, được gọi là “Ban Xử Lí Tranh Chấp.”
Chủ đầu tư, Nhà thầu và Thành viên cùng thỏa thuận như sau:
1. Các điều kiện của Thỏa thuận Ban Xử Lí Tranh Chấp này bao gồm “ Các điều kiện chung của thỏa thuận
ban xử lí tranh chấp”, được bổ sung vào các Điều Kiện chung của “ Các điều kiện hợp đồng về xây
dựng”, - Điều kiện Hợp đồng FIDIC sách hồng - phiên bản hài hòa MDB, do Hiệp Hội quốc tế các Tư vấn
Tư Vấn (FIDIC) xuất bản, và các điều khoản sau đây. Trong các điều khoản này bao gồm cả phần sửa
đổi và bô sung cho Điều kiện chung của thỏa thuận ban xử lí tranh chấp, các từ ngữ và câu chữ có nghĩa
như nhau như đã được ấn định trong Điều kiện chung của thỏa thuận ban xử lí tranh chấp.

3. Theo điều 6 của các Điều kiện chung của thỏa thuận ban xử lí tranh chấp, thành viên sẽ được trả khoản
phí như sau:

4. Trong việc xem xét các khoản phí này và các khoản thanh toán khác do Chủ đầu tư và Nhà thầu thực

trò như Ban xử lí tranh chấp (thành viên) phù hợp với thỏa thuận ban xử lí tranh chấp.
5. Chủ đầu tư và Nhà thầu cùng cam kết chung và cam kết riêng chi trả cho thành viên, có xem xét việc
thực hiện các dịch vụ này, theo điều 6 của Điều kiện chung của thỏa thuận ban xử lí tranh chấp.
6. Thỏa thuận ban xử lí tranh chấp này sẽ được điều chỉnh theo luật của...................
