b) Whistle Blower Policy / Vigil Mechanism

Your Company promotes ethical behaviour in all its business activities and has put in place a
mechanism of reporting illegal, unethical behaviour and actual or suspected fraud or violations of
Company’s Code of Conduct. The Company has a Whistle Blower Policy wherein the employees
are free to report violations of laws, rules, regulations or unethical conduct to the Whistle Blowing
Officer of the Company. No personnel / employee of the Company has been denied access
to the Audit Committee of the Company. The confidentiality of the reported violations, if any,
is maintained and the employees reporting violations are not subjected to any discriminatory
practice. Vigil Mechanism / Whistle Blower Policy is posted on the website of your Company, viz.,
www.godrejindustries.com.

c) Policy for prevention of Sexual Harassment at the workplace

The Company is committed to creating and maintaining an atmosphere in which employees can
work together, without fear of sexual harassment, exploitation or intimidation. Every employee
is made aware that the Company is strongly opposed to sexual harassment and that such
behaviour is prohibited both by law and by the Godrej group. Your Company has formed an
Internal Complaints Committee pursuant to the provisions of Sexual Harassment of Women at
Workplace (Prevention, Prohibition and Redressal) Act, 2013 (“the said Act”) one for the Head
Office, factories in Maharashtra and branches in India and the other for the factory at Valia,
Gujarat. Ms. Shefali Kohli is the Presiding Officer for both the Committees. While the Act is
applicable only to the women employees, our Company’s policy covers all employees. The
Company has not received any complaints during the Financial Year 2018-19.

d) Details of Non-compliance on matters related to Capital Markets

There has not been any non-compliance by the Company and no penalties or strictures were imposed
on the Company by the Stock Exchanges or SEBI or any statutory authority, on any matter related to
capital markets.

e) Disclosure of Commodity Price Risk / Foreign Exchange Risk and Hedging Activities

Your Company has managed the foreign exchange risk with appropriate hedging activities in
accordance with policies of the Company. The Company uses forward exchange contracts to hedge
against its foreign currency exposures. Foreign exchange transactions are covered with strict limits
placed on the amount of uncovered exposure, if any, at any point in time.

Commodities form a major part of the raw materials required for Company’s Products portfolio and
hence Commodity price risk is one of the important market risk for the Company. Your Company has a
robust framework and governance mechanism in place to ensure that the organization is adequately
protected from the market volatility in terms of price and availability.
