4. VALIDITY
4.1This service plan agreement is valid from customer signature
and maintenance will be started as soon as sign and agreed
both parties and invoice is paid as well. This agreement will be
renewed by mutual consent or agreed and signed both parties
at the expiry of the term. An annual review will be done every
year.

4.2Either party has the right to terminate the Plan at any time by
giving 60 days notice in writing to the other party.
4.3Should Atlas Copco elect to terminate the agreement the
equipment shall be in good working order providing the
customer has performed the routine maintenance as stated in
7.l. Atlas Copco may terminate the agreement should the
customer fail to perform the prescribed maintenance in 7.1.
4.4Should the customer elect to terminate the agreement, the
customer will pay the greater of the cumulative cost of repairs
rendered by Atlas Copco at market value or the cumulative
sum of the service fees up to the termination date, whichever
is higher providing Atlas Copco has met the terms of
agreement. Repair costs and parts will be calculated at
standard rates in effect at the time. The customer may
terminate and will pay only service fees to date if Atlas Copco
has failed to meet the terms of the agreement.

5. EXTENT OF THE AGREEMENT

5.1 Atlas Copco shall carry out the inspection of the equipment
condition in accordance with the Atlas Copco instruction book, with
the exception of the daily and weekly maintenance that will be
carried out by the Customer.

o Changes in operating conditions or

o Daily and weekly maintenance

FORCE MAJEURE

The performance of any obligation under this Service plan shall be

postponed during the period that any one of the following causes
prevents, totally or partially, the due performance thereof: act of God,
storm, strike, lockout, fire, civil commotion or civil unrest, act of war,
compliance with the regulation or order of any governmental authority or
any other such cause beyond the parties’ control

6. SERVICE PLAN PRICE

6.1The basic price of the service provided pursuant to this
Preventive Maintenance Service plan shall be (per annum):
SR. 83,750.00 Saudi Riyals Only Yearly List Price

SR. 71,200.00 Saudi Riyals Only Yearly List Price After

Discounted Price

This amount represents the total costs for the equipment

mentioned in Section 3 of this agreement.
6.2The price will be adjusted after each period of twelve (12)
months to reflect the inflation rate or 5% whichever is greater.
6.3Payment should be against the invoice from Atlas Copco,
which will be issued twice a year of the agreement.
6.4 First invoice payment of 50% after contract signing and
second invoice payment 50% after six months.
6.5All taxes are extra.

7. THE PARTIES’ DUTIES & RIGHTS

7.1The Customer shall perform daily and weekly maintenance
according to the Atlas Copco daily maintenance schedule and
report any problems. The Customer shall keep a daily log of such
maintenance, which shall be made available to Atlas Copco upon
request during the course of a visit. No other companies are to
perform any type of work on the compressor without a written
prior agreement with Atlas Copco. Also only genuine Atlas Copco
parts will be accepted.
7.2Atlas Copco shall conduct a regular inspection of the equipment as
specified in the service schedule. Atlas Copco shall contact the
customer in reasonable time prior to each inspection, and the
parties shall then agree upon the exact date of the inspection, at
which time the Customer shall make the equipment available for
inspection by Atlas Copco. Atlas Copco will not stop more than one
machine at a time to perform preventive maintenance.
7.3The inspection work will normally be carried out during regular
working hours. If the Customer should so request, the inspection
work will be carried out outside regular working hours. In the
latter case, the extra costs will be invoiced to the customer
separately.
7.4Atlas Copco will fill out an inspection report on every visit and a
copy shall be given to the customer.
7.5Atlas Copco repair technicians will comply with the customers’
plant and safety rules while on the customer’s site.
7.6The installation must comply with Atlas Copco standards. Should
the unit be moved the installation would have to be inspected
before any further work is completed.
7.7The laws of the Kingdom of Saudi Arabia shall govern the Service
plan

Atlas Copco Warranty For Repaired Equipment

This Warranty warrants equipment repaired by Atlas Industrial

Equipment Co., hereinafter called ATLASCO, to be free from defects in
workmanship and parts, provided the equipment is under normal use
and service. It is only applicable to repaired components and exchanged
parts according to invoice and work order. The Warranty does not cover
the secondary damage, nor failure caused by abuse or lack of
maintenance.

This Warranty is valid to the extent of three months from the date of
final repair of the equipment. The Warranty is only valid if the invoice of
the repair is settled as per agreement with ATLASCO.

This Warranty does not extend to consumable items such as, but not
restricted to, oil, fuel, filters, hoses, belts, couplings, clamps, batteries,
tires, bulbs, light, etc.

This Warranty does not cover traveling expenses and daily allowance of
service staff who carry out repairs at the purchaser premises or work
site, nor cost of transportation of damaged parts or machinery to or from
Atlasco Service Dept.

This Warranty shall not apply, if any claim is not notified to ATLASCO in
writing within two days from the date of defect or failure.

ATLASCO makes no Warranty of merchantability of fitness for purpose.

The above Warranty constitutes the exclusive remedies hereunder. In
no event shall ATLASCO be liable for any consequential, special or other
damages.
This Warranty is not negotiable or transferable to any subsequent
purchaser save for the original purchaser.

The decision of ATLASCO in respect of any matter stated herein under

this Warranty shall be conclusive and final.
