MANAGEMENT RESOLUTION AUTHORIZING REPRESENTATIVE WHO WILL

TRANSACT WITH THE BUREAU OF INTERNAL REVENUE

We, Christopher G. Boco and Aprilene D. De Pala , both Filipino, of legal age, with office address at Unit
3C 3rd Flr. Alexandria 2 Bldg. Blk 1 Lot 9 Princeton Heights Subdivision, Molino Boulevard, Mambog 4,
Bacoor City Cavite 4102 after being sworn in accordance with law, do hereby depose and state as follows:

1. That we are the partners of BOCO, DE PALA AND CO. CPAs, a general professional partnership duly
organized and existing under Philippine laws, with principal office at Unit 3C 3rd Flr. Alexandria 2 Bldg.
Blk 1 Lot 9 Princeton Heights Subdivision, Molino Boulevard, Mambog 4, Bacoor City Cavite 4102.

2. That during our special meeting held on 15 August 2019, wherein both of us are present and acted
throughout, after being informed of the necessity of authorizing representative who will transact with the
Bureau of Internal Revenue (BIR) particularly registering the business or office situated at Unit 3C 3rd Flr.
Alexandria 2 Bldg. Blk 1 Lot 9 Princeton Heights Subdivision, Molino Boulevard, Mambog 4, Bacoor
City Cavite 4102 and any other transaction with the BIR necessary for its compliances.

The management approved the following resolution, to wit:

“RESOLVED, as it is hereby resolved, that it was unanimously approved the authorized representative of the
partnership as stated above”

“RESOLVED FURTHER, as it is hereby resolved, that Mary Cris Lynn G. Boco or Chris Anthony G.
Boco, be authorized to sign, execute, and deliver any and all necessary documents to be submitted to the
Bureau of Internal Revenue to effect the registration and other compliances of “BOCO, DE PALA AND
CO. CPAs”.

3. That the foregoing resolution remains valid and has not in any manner been novated, revoked or repealed .

4. Affiant further sayeth naught.
