DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:


This Deed of Sale, made and entered into this ____ day of ______________ at
____________________, by and between:

_______________________________________- a corporation duly organized and


existing under and by virtue of the laws of the Philippines, with office address located
_______________________________________- in this Act duly represented herein by its
President, _____________ and its _______________, ___________________, hereinafter
referred to as the VENDOR;
-and-
_______________________________________a corporation duly organized and
existing under and by virtue of the laws of the Philippines, with office address located at
________________________________________________, in this Act duly represented herein
by its President, _____________________, hereinafter referred to as the VENDEE.

WITNESSETH: That

WHEREAS, the VENDOR is the absolute and registered owner of a condominium unit
(“UNIT”) located at __________________________________________, with an aggregate are
of _________________________________________ more or less, covered by and described
in Condominium Certificate of Title No. __________ssued by the Registry of Deeds of
Manila, a copy of the title of which is attached hereto as Annex “”A and made an integral part
hereof;
WHEREAS, the VENDEE has proposed to buy and the VENDOR has agreed to sell an
undivided portion of the afore-described UNIT totaling ________________ SQUARE
METERS (____ sq. m.) per sketch plan attached hereto as Annex “B” and made an integral
part hereof;
WHEREAS, the VENDOR undertakes to secure the approvals of the Condominium
Corporation’s Board of Trustees and government agencies on the partition and titling of the
undivided portion of the aforesaid UNIT in favor of the VENDEE;
NOW, THEREFORE, for and in consideration of the foregoing premises and
specifically for the sum of Pesos: __________________MILLION (P________________),
Philippine currency, inclusive of VAT, receipt of which is hereby acknowledged in full, the
VENDOR does hereby SELL, TRANSFER and CONVEY in a manner absolute, irrevocable,
and on an “as is basis” in favor of the VENDEE the above-described undivided portion of the
aforesaid UNIT, free from all liens and encumbrances;

The VENDOR hereby warrants valid title to and peaceful possession of the said UNIT,
particularly the undivided portion subject of this Deed of Sale;
The VENDEE hereby acknowledges that it has inspected the premises and condition of
the UNIT, particularly the undivided portion subject of this Deed of Sale, and that the same are
satisfactorily acceptable to it;
The VENDEE shall be entitled to immediately occupy and take full possession of the
undivided portion of the aforesaid UNIT upon the signing of this Deed;

Pending the actual transfer of title of the undivided portion subject of this Deed of Sale
in favor of the VENDEE, the VENDEE may not assign or transfer its rights or interests in the
aforesaid undivided portion without the prior written consent of the VENDOR;
The VENDEE hereby acknowledges that it had read and understood the provisions of
the Master Deed and Declaration of Restrictions, the Articles and By-Laws of the
Condominium Corporation, and warrants to abide by the same, including payment of
association dues and such other rules and regulations of the Condominium Corporation
hereafter adopted in accordance with the pertinent provisions of Republic Act No. 4726, as
amended, otherwise known as “The Condominium Act”
The cost of documentary stamp tax, including other taxes, transfer tax, registration fees
for execution and notarization of this documents and all other expenses in connection with the
transfer of title of the above-described portion of the UNIT sold by VENDOR to VENDEE
herein shall be borne by the VENDEE. On its part, the VENDOR shall shoulder the creditable
withholding tax arising from the sale of the above-described portion of the aforesaid UNIT;
