THIS AGREEMENT (hereinafter together with the Terms and Conditions of Agreement
referred hereto and forming an integral part hereof, called “this Agreement”) is made the
_____of ______ 20__.
Between
And

WHEREAS:
A. The Successful Tenderer has by way of a tender, been awarded a contract by the
Housing and Development Board (“HDB”) for the lease and development of the land
parcel (“the Land Parcel”), more particularly delineated in grey in the drawings
annexed hereto.
C. The Parties are entering into this Agreement for the appointment of the Successful
Tenderer to carry out the obligations specified in this Agreement for the
abovementioned work.
D. The Successful Tenderer has agreed to accept the appointment upon the terms and
conditions hereinafter appearing.
1.1 The Technical Conditions of Contract for Design, Build, Operation and Maintenance
of the Underground Linkway and the Associated Works at Pasir Ris with Appendices
as set out in Schedule 1 hereof shall be deemed to form and be read and construed
as part of this Agreement. In the event of any conflict between the provisions of this
Agreement and any matter contained in Schedule 1, the provisions of this Agreement
shall prevail.
2.1 Definitions

In this Agreement, the following expressions shall have the following meaning except
where the context requires otherwise:
“Architect” refers to the person appointed by the Successful Tenderer from time to
time to act as the architect for the purposes of the Works;
“Claimed Amount” refers to the whole or part of any payment claimed in a Payment
Claim pursuant to Clause 7.1.1;
“Defects Liability Period” refers to the period of eighteen (18) months commencing
from the date that the Underground Linkway is handed over to LTA;
(b) the Successful Tenderer and/or Contractor’s proposed design drawings for
the Works submitted to the LTA;

(c) other documents and drawings submitted by the Successful Tenderer and/or
Contractor to the LTA; and
“GST” refers to the Goods and Services Tax under the Singapore Goods and
Services Tax Act, Cap. 117A;
“Interfacing Parties” refers to the parties that LTA engages to carry out the works
connecting to the Underground Linkway.
“LTA’s Requirements” refers to all requirements set out in the Technical Conditions of
Contract;
“Officer-in-charge” refers to the person or persons appointed as such by the LTA for
the purposes of this Agreement;
“Parties” refers to the Successful Tenderer and the LTA and “party” means either one
of them;
“Payment Claim” refers to a claim for payment submitted by the Successful Tenderer
pursuant to Clause 7.1.1;

“Response Amount” refers to the amount that the LTA proposes to pay as shown in
the Payment Certificate issued pursuant to Clause 7.2.1;
"Time for Completion" refers to time or times for the completion of the Construction
Contract in relation to the Works set out in the letter of acceptance issued by the
Successful Tenderer to the Contractor subject to extensions of time as the Contractor
may be allowed under the Construction Contract;
2.3 Words importing the singular number only shall include the plural and vice versa.
2.4 The headings in this Agreement are inserted for convenience only and shall not affect
the construction thereof.

3. Relationship between the Parties
4. Set-Off
4.1 In addition to any right of set-off or other general lien or similar right to which the LTA
may be entitled in law, the LTA may at any time and without prior notice to the
Successful Tenderer set-off any monies whatsoever which may at any time be due to
the Successful Tenderer for any liabilities of the Successful Tenderer arising under
this Agreement.
5.1 The Successful Tenderer hereby covenants to be jointly and severally responsible for
the successful completion of the Works and undertakes the following obligations
which shall include all works and deeds which are necessary for or incidental to the
discharge thereof:
5.1.1 To ensure that the Works are carried out by the Successful Tenderer and
Contractor in accordance with the LTA’s Requirements;
5.1.2 To liaise with the Contractor, the LTA and the Interfacing Parties on all
matters concerning the Works;
5.1.4 To ensure that the programme of the Works is carried out in accordance
with the programme schedule approved by the LTA and the Interfacing
Parties;
5.1.5 To monitor the progress of the Works and keep the LTA and the Interfacing
Parties informed thereof;

5.1.7 To provide the LTA with the names and other relevant particulars of any
person or persons who may be engaged or involved with the Works under
this Agreement;
5.1.8 To submit or procure the submission of progress report, returns and any
other document or information of the Works on a monthly basis or upon
written request of the LTA;
5.1.9 To seek the LTA’s written approval of the arrangement and details for the
Works to be incorporated into the Construction Contract;
5.1.11 To ensure that the Contractor execute all works of repair, amendment,
variation, reconstruction, rectification and making good of defects, defaults,
imperfections, shrinkages and any other faults as may arise in the Works
during the Defects Liability Period;
5.1.12 To take full responsibility for the adequacy, stability and safety of all site
operations, methods of construction and design of the Works; and
5.1.13 Not pledge the credit of the LTA in any way or permit any lien or security to
be created over any deliverables (or any part thereof) of the Works.
5.1.14 To perform diversions/ relocations for existing Services and Systems in the
MRT Station as part of enabling works to the affected area. Proper
coordination with relevant agencies and the public transport operator shall
be performed.
5.2 The Officer-in-charge may instruct the Successful Tenderer to make any necessary
variations, alterations or modifications to the Works and/or the Approved Design
(hereinafter referred to as “Variations”). Such instructions shall not however in any
way relieve the Successful Tenderer of any of his duties or responsibilities under this
Agreement. The LTA may request the Successful Tenderer to submit a minimum of 3
sealed quotations for the value of the Variations and the provision of such quotations
shall be at no cost to the LTA.

5.3 The Successful Tenderer shall not authorise or order any Variations on the LTA’s
behalf without prior written consent of the Officer-in-charge.
5.4 For the purpose of Clause 6, the Successful Tenderer shall ensure that the cost of
the Works as priced by the Contractor, forming part of the award sum of the
Construction Contract be clearly and separately identified as a fixed price lump sum
in the Construction Contract. For the shared components, Clause 6 of the Technical
Conditions of Contract shall apply.
6.1 The LTA shall reimburse, in accordance with Clause 7, the Successful Tenderer the
cost of the Works on the basis of the fixed price lump sum of the award sum of the
Construction Contract, subject to any adjustment to account for :

6.1.1 provisional items provided for in the Construction Contract but not utilised
relating to the Works; and/or
6.1.2 the value of Variations executed, provided always that such Variations :
(b) either :
(i) did not arise due to any default of the Successful Tenderer;
6.2 The Successful Tenderer shall be entitled to reimbursement for such reasonable
costs and expenses (including, without limitation, legal costs on an indemnity basis),
as the Parties may agree, arising out of or in connection with the Successful
Tenderer’ compliance with Clause 24.3.
6.3 The Officer-in-charge shall provide the Successful Tenderer with all approvals,
decisions, responses, documents and data requested by the Successful Tenderer
and needed by the Successful Tenderer for the construction and design of the Works
within the time period stipulated by the Successful Tenderer.
7. Progress Payments

7.1.1 The Successful Tenderer shall submit to the LTA progressively at such
frequency to be determined by LTA a claim for payment for the Works
(hereafter referred to as the “Payment Claim”) in such form as the LTA may
from time to time prescribe. For the purposes of payment claims made
under this Clause, the Payment Claim shall have the same meaning
ascribed in the Building and Construction Industry Security of Payment Act
2004 (hereafter referred to as the “Act”). The Payment Claim shall be made
in compliance with the requirements of the Act and shall show the amounts
(hereafter referred to as the “Claimed Amount”) to which the Successful
Tenderer considers himself to be entitled in respect of:
(b) any other sum to which the Successful Tenderer is entitled arising
out of or in connection with the Works.
7.1.2 The Successful Tenderer may submit such Payment Claims up to the
finalisation of the accounts.
(a) invoices certified by the Successful Tenderer for the Works; and
7.1.4 The Architect’s payment certificate referred to in this Clause shall show the
amounts to which the Contractor is in the Architect’s opinion entitled to
reimbursement under this Agreement in respect of the Works.

7.2 Payment Certificate
7.2.2 The Successful Tenderer, when submitting the Payment Claims required
by Clause 7.1 and any payment claims related to the finalisation of
accounts referred to in sub-Clause 7.1.2, shall also show the amount which
he considers himself to be entitled in respect of GST payable to him by the
LTA. Upon receipt of each Payment Certificate issued by the Officer-in-
charge, the Successful Tenderer shall within seven (7) calendar days,
submit an e-tax invoice to the LTA for the same amount as certified in the
Payment Certificate.

7.4 Period for Honouring Certificate
The amount due to the Successful Tenderer under any certificate issued by the
Officer-in-charge pursuant to Clause 7.2 or any other term of the Agreement shall
(subject to the LTA’s right to deduct or set-off any sum or damages for which the
Successful Tenderer is or may be liable under this Agreement or in any other way)
be paid by the LTA to the Successful Tenderer within 21 days after the date of such
certificate. In the event that the LTA fails to make payment within the times
stipulated, the LTA shall pay to the Successful Tenderer interest at the rate of 5% a
year upon all sums unpaid from the date by which the same should have been paid.
8.1 The approval by the LTA of the Time for Completion shall not relieve the Successful
Tenderer of any of his obligations to execute and complete the Works in accordance
with this Agreement.
8.2 When the whole of the Works have been completed in accordance with this
Agreement and the Successful Tenderer has received from the Architect the
Architect’s written recommendation that the whole of the Works have been completed
in accordance with this Agreement, the Successful Tenderer shall forward to the
Officer-in-charge the abovementioned Architect’s written recommendation for
approval.
8.3 A certificate of completion for the whole of the Works may not be issued by the
Architect unless the Officer-in-charge has approved the Architect’s written
recommendation for the completion for the whole of the Works.
8A.1 On completion of the Works in accordance with this Agreement and the Technical
Condition of Contract, the Successful Tenderer shall:

(a) hand-over the worksites as set out in Schedule 1 to LTA by 31 December
2022; and
(b) hand-over the LTA Owned Portion of the Underground Linkway and its
associated structures and works by 30 May 2025 (the “Handover Date”),
including the obtaining of TOP from BCA.
8B.1 The Successful Tenderer shall assign to LTA all rights and benefits under such
guarantees and warranties in relation to the LTA Owned Portion of the Underground
Linkway which have been extended to the Successful Tenderer and set out at Annex
A of the Deed of Assignment specified in clause 8B.2 (the “Guarantees and
Warranties”), within 30 days after the Handover Date when the list of Guarantees and
Warranties is finalised and the original signed copies/duplicates of the Guarantees
and Warranties are received by the Successful Tenderer.
8B.2 The Deed of Assignment shall be in the form annexed hereto as Schedule 2.
8B.3 Upon such assignment being executed by LTA and the Successful Tenderer and
dated, the Successful Tenderer shall:
8B.3.2 serve notices of assignment on the parties giving such Guarantees and
Warranties, and thereafter deliver copies of these notices to the assignee.
9. Liquidated Damages
9.1 If the Works are not completed in accordance with this Agreement, the LTA shall
have the right to deduct from any moneys due or to become due to the Successful
Tenderer or require the Successful Tenderer to pay, a sum calculated at the rates as
stated below as liquidated damages for every day or part thereof (including Sundays
and public holidays) the Works remain incomplete:

ii) Hand over LTA Owned Portion $18,500 per calendar day
of the Underground Linkway
PROVIDED ALWAYS that the total amount of liquidated damages imposed on the
Successful Tenderer by the LTA shall not exceed 100% of the contract value of the
Works. The payment or deduction of such liquidated damages shall not relieve the
Successful Tenderer from his obligation to complete the Works or from any other of
his obligations and liabilities under this Agreement.
10. Confidentiality
10.1 The Successful Tenderer shall not use any information gained in the carrying out of
this Agreement for any purpose (other than for the purpose of this Agreement)
without obtaining the prior written approval of the LTA, and the Successful Tenderer
shall not make any public announcement or divulge any material relating to the
Works without the prior written consent of the LTA.
11. Assignment
11.1 The Successful Tenderer shall not assign, transfer, subcontract or in any other
manner make over to any third party the benefit and/or burden of this Agreement
without the prior written consent of the LTA. Without prejudice to the foregoing, the
LTA acknowledges that the Successful Tenderer shall be entering into the
Construction Contract with an approved Contractor for the design and construction of
the Works.
11.2 Without prejudice to clause 11.1, this Agreement shall enure for the benefit of and be
binding on the Parties and their respective successors.
11.3 In the event of any alienation, transfer or divestment of title to the Underground
Linkway of which the Successful Tenderer is the owner and where the Underground
Linkway is comprised wholly or partly in the Land of which the Successful Tenderer is
registered under the Land Titles Act (Cap. 157) as the proprietor of the fee simple,
estate in perpetuity or leasehold estate, the Successful Tenderer shall impose on the
assignee or transferee an obligation to observe, perform and comply with the
provisions of this Agreement insofar as the same are still subsisting and remain to be
performed observed or complied with and the Successful Tenderer shall procure:

11.3.1 the acknowledgement and confirmation of the assignee or transferee that,
inter alia, their covenant to observe the provisions of this Agreement is
given for the benefit of LTA and may be enforced by LTA against them and
LTA has a right under the Contract (Rights of Third Parties) Act (Cap 53B)
to enforce such terms; and
11.3.2 an undertaking that such assignee or transferee shall in turn impose on its
assignee or transferee a similar obligation to perform, observe and comply
with the provisions of this Agreement, in the event of any subsequent
transfer, assignment or divestment of any estate, title or interest in the
Land.

12.1 Any such notice, demand or communication shall be deemed to have been duly
served (if given or made by facsimile) immediately or (if given or made by letter)
two days after posting.

13. Ownership of Documents and Copyright
13.1 As between the Parties, copyright and other intellectual property rights in the
Successful Tenderer and/or Contractor’s Proposals shall remain with the Successful
Tenderer and/or Contractor. However, the Successful Tenderer and/or Contractor
shall be deemed to have given to the LTA a non-terminable transferable non-
exclusive royalty-free licence to copy, use and communicate the Successful Tenderer
and/or Contractor’s Proposals, including making and using modifications of them, for
the purposes of completing, operating, maintaining, altering, repairing and
demolishing the Works. The abovementioned licence may be sub-licensed by the
LTA to any other person, if the LTA deems necessary, for the purposes of such
person completing, operating, maintaining, altering, repairing and demolishing the
Works.
13.2 As between the Parties, copyright and other intellectual property rights in the LTA’s
Requirements and in drawings and documents in any format whatsoever arising out
of the execution of the Works shall remain with and/or belong to the LTA. The
Successful Tenderer (and its consultants, where applicable) and/or the Contractor
are hereby granted a non-exclusive royalty-free licence to copy, use and
communicate the LTA’s Requirements and to permit their respective employees,
agents and sub-contractors approved by LTA to copy, use and communicate the
LTA’s Requirements at their costs, but only if the said copying, use and
communication is necessary for the design, execution and completion of the Works.
14. Waiver
14.1 No waiver by any party of any breach or default hereunder of the other party or the
giving of time for performance shall be deemed to be a waiver of any subsequent
breach or default.
15. Indemnity
15.1 The Successful Tenderer shall be jointly and severally liable for and indemnify the
LTA against all expenses or losses sustained by the LTA and against all losses and

claims for injuries or damages to persons or damage to any property whatsoever
which may arise out of or in consequence of any breach, non-compliance or non-
performance by the Successful Tenderer of any of the Successful Tenderer’s
obligations, representations, undertakings or warranties under this Agreement, or the
design, construction and completion of the Works. Such indemnity shall include all
claims, demands, proceedings, damages, costs, charges and expenses whatsoever
in respect of or in relation thereto.
15.2 The Successful Tenderer shall not be responsible for nor be required to indemnify the
LTA against any compensation or damages for or with respect to injuries or damage
to persons or property, where an order or judgment of a final, non-appealable court of
competent jurisdiction has attributed such injuries or damage solely to the wilful
default or gross negligence of the LTA, its agents, servants, or other contractors
employed by the LTA.
15.3 The Successful Tenderer shall be jointly and severally liable for any violation of legal
provisions or rights of third parties in respect of patents and/or copyrights and/or any
other intellectual property introduced into documents prepared by it and/or is sub-
contractors, servants or agents, and shall indemnify the LTA against any claims for
infringement or alleged infringement of patents and/or copyrights and/or any other
intellectual property rights.
15.4 The Successful Tenderer shall not cause or do or suffer to be done any act or thing in
relation to the Underground Linkway or the Land which may cause LTA to be liable to
pay, as a result thereof, any charges, land premium, fees or any sum whatsoever and
in the event that LTA shall be so liable, the Successful Tenderer shall bear the
payment of the said charges, land premium, fees or sum or indemnify LTA for the
same.

16.1 The Successful Tenderer shall grant the LTA, their successors and assigns, and
persons authorised by them or given permission by them to exercise the rights as
follows:
16.1.1 the right to enter all or any part of the land on which the Underground
Linkway is or shall be situated and shown delineated in red in HDB’s
location and site plan in HDB’s Particulars and Conditions of Tender
(hereinafter referred to as “the said Land” which term shall include any
building(s) or structure(s) thereon) at all times to (i) design, build, operate
and maintain the LTA Owned Portion of the Underground Linkway; (ii)
design and build connections between the Successful Tenderer Owned
Portion of the Underground Linkway and the LTA Owned Portion of the
Underground Linkway; and (iii) maintain the LTA Owned Portion of the
Underground Linkway;
16.1.2 the right of subjacent and lateral support and protection of the LTA Owned
Portion of the Underground Linkway and every part thereof for the purpose
of supporting, upholding and maintaining the LTA Owned Portion of the
Underground Linkway;
16.1.3 the right at all times by day or night to pass and repass on foot or enter
with vehicles over along and across arcades, corridors, staircases,
passages, walkways, ramps, escalators, lifts, lanes, driveways and
portions of the said Land including any part of the buildings erected or to
be erected thereon for ingress and egress to and from the Underground
Linkway including the LTA Owned Portion of the Underground Linkway.
Such right shall also be granted to the members of the public for the
purpose of ingress to and egress from the Underground Linkway including
the LTA Owned Portion of the Underground Linkway, and the Successful
Tenderer shall also keep the Underground Linkway open and accessible to
allow members of the public the right of free and uninterrupted passage on
and across the Underground Linkway for the purpose of access to and
from the Pasir Ris Integrated Transport Hub (ITH), and the relevant rapid
transit railway station that it connects to without any charge, payment,
hindrance or restriction at all times;
16.1.4 the right for the LTA to install cables, pipes, ducts, wires, sewers and
channels in, on and under the said Land and the Successful Tenderer

Owned Portion of the Underground Linkway and to maintain and use the
cables, pipes, ducts and channels for free and uninterrupted passage or
provision of air, drainage, gas, garbage, artificially heated or cooled air,
water, electricity, telecommunications, data and other utilities and services
(including telephone, radio and television services) to and from the said
Land and the Successful Tenderer Owned Portion of the Underground
Linkway;
16.1.5 the right at any time for the LTA to enter the said Land and the Successful
Tenderer Owned Portion of the Underground Linkway with or without
workmen and others and with or without, appliances, equipment and
materials to inspect, clean, repair, maintain, renew, remove and replace
the LTA's cables, pipes, ducts, wires, sewers and channels;
16.1.6 the right to construct, install, place and maintain on, in or under any
designated part of the said Land and the Successful Tenderer Owned
Portion of the Underground Linkway, such structures, fixtures and/or
components including without limitation any Electrical and Mechanical
Plant or System as may be required by LTA for the purposes of the
operations of operating the LTA Owned Portion of the Underground
Linkway; and
16.1.7 the right at all times without notice to the Successful Tenderer to enter onto
the said Land and the Successful Tenderer Owned Portion of the
Underground Linkway with or without workmen and others and with or
without materials, vehicles and specialist services to inspect, repair,
maintain, renew or replace any structure, fixture and/or component relating
to the LTA Owned Portion of the Underground Linkway including but not
limited to underground fuel tanks, water bulk meters and of the LTA's
Electrical and Mechanical Plant and System.

16.2 Without prejudice to anything in this Agreement and any statutory rights of LTA under
the laws, the Successful Tenderer shall, if required by LTA, at the Successful
Tenderer’ cost and expense, execute in favour of LTA and/or the owners for the time
being of the Underground Linkway all necessary instruments, deeds or documents to
give effect to the matters set out in Clause 16 of this Agreement or as may be
required by LTA in connection therewith including the grant of easement rights and
any restrictive and other covenants as may be required by LTA of the Successful
Tenderer.
16.3 For the avoidance of doubt, the Successful Tenderer hereby acknowledges and
confirms that the provisions of this Agreement are in addition to and shall not
adversely affect, limit or prejudice any statutory rights of LTA under the various Acts
including but not limited to the Street Works Act (Cap 320A).
17.1 The Parties shall in good faith endeavour to settle all disputes or differences by
mutual agreement, failing which either party shall upon prior written notification to the
other party, refer the dispute to a single arbitrator to be agreed upon between the
Parties, or failing agreement, to be nominated, on the application of either party, by
the Chairman of the Singapore International Arbitration Centre. Any such reference
shall be a submission to arbitration within the meaning of the Arbitration Act or any
other written law for the time being in force in Singapore. All arbitration shall be
conducted in Singapore in accordance with the Arbitration Rules of the Singapore
International Arbitration Centre for the time being in force, which rules are deemed to
be incorporated by reference to this clause. The award of such Arbitrator shall be
final and binding upon the Parties.
18.1.1 by giving the Successful Tenderer thirty (30) days’ written notice of
termination in the event of failure on the part of the Successful Tenderer to
comply with the terms and conditions of this Agreement which failure was
not remedied within thirty (30) days of the Successful Tenderer receiving
prior written notice of the failure from the Officer-in-charge or such other
time as the Officer-in-charge may approve upon being requested by the

Successful Tenderer; or
18.1.2 forthwith any or both Successful Tenderer shall have a receiver and/or
manager appointed over it or any part of its undertaking or assets or shall
pass a resolution for winding-up (otherwise than for the purpose of a bona
fide scheme of solvent amalgamation or reconstruction) or a court of
competent jurisdiction shall make an order to that effect or if any or both
Successful Tenderer shall become subject to a judicial management order
or shall enter into any composition or arrangement with its creditors or shall
cease or threaten to cease to carry on business or if any or both
Successful Tenderer has distress or execution levied on or against all or
any part of its property and such is not satisfied within thirty (30) days from
the last date of such levy.
18.2 Termination of this Agreement shall not prejudice the right of the LTA to claim any
damages arising from the breach of this Agreement.
18.3 Upon the termination of this Agreement, the Successful Tenderer shall:
18.3.1 be entitled to claim for all outstanding sums including reimbursement for
the costs under Clause 6 at the date of termination. All claims by the
Successful Tenderer shall be in writing;
18.3.2 deliver to the LTA all plans, as-built drawings and other documents relating
to or in connection with the Works and the Successful Tenderer hereby
acknowledges and shall ensure that all intellectual property and ownership
rights in such plans, drawings and other documents vest in the LTA without
any cost to the LTA.
Provided always that the LTA shall not be liable to pay to the Successful Tenderer
any monies on account of this Agreement until the completion of the whole of the
Works and thereafter until the costs of completion and rectification of defects,
damages for delay in completion (if any), and any and all other expenses incurred by
the LTA have been ascertained and the amount thereof certified by the Officer-in-
charge. The Successful Tenderer shall then be entitled to receive only such sum or
sums (if any) as the Officer-in-charge may certify would have been due to him upon

due completion by him after deducting the said amount. But if such amount shall
exceed the sum which would have been payable to the Successful Tenderer, the
Successful Tenderer shall upon demand pay to the LTA the amount of such excess
and it shall be deemed a debt due by the Successful Tenderer to the LTA and shall
be recoverable accordingly.
19.1 Notwithstanding any other provisions to the contrary hereof, neither party shall be
liable for any breach of its obligations under this Agreement if such non-performance
or interruption or delay in performance thereunder is caused by any war in which the
Government of Singapore is involved in, an act of God, strikes, labour disputes (other
than strikes and labour disputes induced by the Party so incapacitated) or fires. In
case of such events, the time for performance required by such party under this
Agreement shall be extended for any period during which the performance is
prevented by the event. However either party may terminate this Agreement by giving
twenty-one (21) days’ written notice if such event preventing performance continues
for more than thirty (30) days without being liable therefor to the other party in
damages or likewise, save that the termination hereunder shall be without prejudice
to liabilities accrued to either party or monies payable from one party to the other
prior to the said termination.
20.1 This Agreement represents the entire and integrated agreement between the LTA
and the Successful Tenderer with respect to the subject-matter hereof and
supersedes all prior negotiation, representations or agreement, either written or oral.
This Agreement may be amended only by the Parties in writing.
21.1 This Agreement shall be deemed to be made in Singapore and shall be subject to,
governed by and interpreted in accordance with the Laws of the Republic of
Singapore for every purpose.

21.2 Where the Building and Construction Industry Security of Payment Act 2004 applies
to this Contract, all provisions in this Contract shall be read to give effect to the
provisions of the Act. For that purpose, the Parties shall be entitled to such rights and
be subject to such obligations as may be set out in the Building and Construction
Industry Security of Payment Act 2004.
22.1 Notwithstanding any other provisions to the contrary in this Agreement, this
Agreement does not create or purport to create any right under the Contracts (Rights
of Third Parties) Act which is enforceable by any person or party who or which is not
a party to this Agreement.
23.1 For the avoidance of doubt, each party to this Agreement shall respectively discharge
their obligations under the Goods and Services Tax Act for the provision of taxable
supplies of goods or services between the Parties pursuant to this Agreement.
23.2 The Successful Tenderer shall declare whether he and the Contractor are or will be
registered for GST under the Goods and Services Tax Act and, if and when available,
furnish to the LTA a copy of his GST registration certificate, or other documentary
proof of GST registration issued by the Inland Revenue LTA of Singapore (IRAS).
The Successful Tenderer shall inform the LTA immediately of any change in his or
his Contractor’s GST registration status.
24.1 With respect to all claims, actions, suits and proceedings brought against the
Successful Tenderer in respect of personal injury to or death of any person or in
relation to any injury or damages of any kind to any property real or personal, or for
any losses, damages, costs, expenses and disbursements whatsoever, arising out of
or in connection with the Works (hereinafter collectively called the “Claims”), the
Successful Tenderer shall take all necessary action to defend against the Claims in
its own name.

24.2 Notwithstanding Clause 24.1, where, the Claims are caused by or attributable to any
negligence, misconduct or default of the LTA, its employees or agents, the LTA may,
insofar as it is legally possible and without prejudice to any of the LTA’s rights, take
all necessary action to defend against the Claims in its own name or, if that is not
possible, in the name of the Successful Tenderer. In this regard, the Successful
Tenderer shall assign or transfer to the LTA such rights or defences as the
Successful Tenderer may have against the Contractor or the relevant third party in
order to allow the LTA to do so. For all matters relating to such Claims, the LTA shall
be entitled to make all decisions.
24.3 Without prejudice to the generality of Clauses 24.1 and 24.2, the Successful
Tenderer shall, if required by the LTA:
24.3.1 allow the LTA to use the Successful Tenderer’ name(s) and if necessary
join with the LTA as defendant (s) or respondents in any proceedings by
the LTA in respect of the Claims; or
24.3.2 assign or transfer to the LTA such rights or defences as the Successful
Tenderer may have against the Contractor or the relevant third party in
order to allow the LTA to defend against the Claims in its own name.
25.1 Each of the Parties represents and warrants to and for the benefit of the other Parties
that it has the full capacity, power, and all relevant authorisations to execute and
deliver this Agreement.
25.2 The Successful Tenderer represent and warrant to and for the benefit of the LTA that
they have the full capacity, power, and all relevant authorisations to perform its
obligations under this Agreement.

1 INTRODUCTION
1.1 The Underground Linkway serves to connect and facilitate pedestrian movement from
the Successful Tenderer’s (ST) Development and the existing EW1 Pasir Ris station to
future developments south of Pasir Ris Central road. This document forms part of the
Agreement for the Design, Build, Operation and Maintenance of the Underground
Linkway and associated works at Pasir Ris.
1.3 In this document, the following expressions shall have the following meaning:

1.4 Where LTA’s approval is required, the request for approval shall be sought in writing
only. For avoidance of doubt any requests submitted via electronic mail (email) for
LTA’s approval shall not be considered as being made in writing.
2 SCOPE OF WORKS
2.1 General
2.1.1 The Works for the Underground Linkway comprise the design, construction, operation
and maintenance of the Underground Linkway and its associated works, including deep
foundation elements to support the Underground Linkway.
2.1.2 The above works are to be carried out by the ST. Any reimbursement shall be carried
out as described in Clause 6. Works that are not stated under this Section in this
document shall not be reimbursed unless otherwise approved by LTA.
2.2 Design, Construction, Operation and Maintenance of the Underground Linkway and
Associated Works
2.2.1 The layout of the Underground Linkway and associated works are shown in in
Appendices B and C. The Underground Linkway comprises two areas:
a) ST Owned Portion – the area that lies outside of LTA’s land and subterranean
space, to be designed, built, owned and maintained by the ST; and
b) LTA Owned Portion – the area that lies within LTA’s land and subterranean space.
The ST shall design and build the structure. LTA shall do the architectural and M&E
fit-out, and own and maintain the area.
2.2.2 The Underground Linkway and associated works shall be completed in tandem. The ST
must seek LTA OIC’s approval in writing for any changes made to the layout of the LTA
Owned Portion.
2.2.3 The key design parameters of the Underground Linkway are summarised as below:

required by the relevant authorities and agencies in relation

shall be located together and fully integrated with the
entrance/exit structures within the Development.
(c) Clear The ST Owned Portion at the Basement 1 level shall have a
Passage clear passage that is unobstructed at all times, with a
within ST minimum 6.0m clear width. Clear width denotes distance
Owned that is free from encumbrances e.g. queue railings, etc.
Portion Activity generating commercial uses (e.g. shops) shall be
provided at least on one side of the passage. In the event
that the ST proposes to provide activity generating
commercial uses on both sides of the clear passage, the
passage shall have a minimum of 7.0m clear width. The
clear width shall be verified with URA upon submission for
planning approval by the ST.
(d) Floor Level of ST shall ensure that the ST Owned Portion design ties back
ST Owned to the underground interface level of SHD -2.58m at the
Portion boundary adjacent to Pasir Ris Central road, as shown in
Appendix B drawings T/PSRGLS/EW01/ALS/6100 to 6104.

(e) Floor Levels The maximum vertical height from Basement 2 FFL to the
& Head FFL of the EW1 Pasir Ris station Platform to be 23,500mm.

between FFL and SFL is assumed to be 200mm.
2.2.4 Where the development encroaches into the operational boundary of the existing East-
West Line Pasir Ris Station and impact the existing E&M Services and Systems, the
Successful Tenderer shall divert/ relocate such existing E&M Services and Systems.
Where there is any impact to agencies’ requirements for the MRT Station e.g. fire
escape, interfacing and coordination with relevant agencies and public transport
operators shall be performed by the ST, including all necessary rectification works at his
own cost to ensure compliance to statutory requirements. Due considerations shall be
taken to minimise the amount of recurring works which affect the MRT Station
operations. The list of Services and Systems includes, but is not limited to, the following:
• Electrical Services
• Video Surveillance System (VSS)
• Public Address (PA ) System (including any speakers mounted on the station’s
covered walkway)
• Lightning and Earthing System
• Station Travel Information System
• Fire Protection System
As some of the Systems mentioned above are proprietary, the developer’s contractor
shall engage LTA and the incumbent Systems contractors to execute the necessary
works.

3.1.1 The design, construction, operation and maintenance of the Clear Passage within the
ST Owned Portion shall comply with the following requirements (refer to:

3.1.2 Where there is any ambiguity or difference, the latest revision shall prevail. All instances
of discrepancies are to be drawn to the attention of LTA for clarification.
3.1.3 The ST shall coordinate and reconcile the various requirements from the all relevant
LTA technical divisions, authorities, agencies, Operator, Interfacing Parties and external
parties. These include, but not limited to, seeking approval for relevant authorities etc.
3.1.4 Comparisons shall be made of various design options that shall be evaluated for, and
not limited to, architectural and signage design.
3.1.5 All design, construction, operation and maintenance concepts, drawings, studies,
reviews, methodology, costs and tender procurement procedures for the Clear Passage
shall be submitted to LTA for review and approval.
3.1.6 The presentations of the design shall be made as and when required in order to satisfy
LTA that the designs under preparation are satisfactory and that alternatives have been
properly considered. LTA will reserve the right to request further substantiation if the
submission(s) is deemed inadequate to provide a comprehensive view of the design. It
is a requisite that acceptance is obtained on the way the design is progressing.
3.1.7 The materials for the Architectural presentations shall include, but not limited to:
b. Design of surface structures, landscape and urban design, Interiors: Ceilings, walls
and floors, Sample boards and perspectives shall indicate how aesthetic design
concepts are addressed;

3.1.8 Unless otherwise stated, all materials prepared and used by the ST for the Architectural
presentations under this Agreement shall become the property of LTA. LTA shall retain
complete ownership rights to the completed video and all raw footage. The final video
as well as the raw footage shall be the property of LTA and the ST shall have no rights
to use or display such footage without the written permission of LTA.
3.1.9 Tender for all Works for the ST Owned Portion shall not begin before the clearance of
the submissions. Submissions shall be endorsed by the respective LTA technical
divisions and approved by LTA OIC.
3.2.1 All studies and reviews shall be done in a timely manner such that any
recommendations can be incorporated into the construction tender of the ST Owned
Portion.
3.2.2 The following studies, reviews and submissions shall be carried out by the ST and
submitted prior to the finalisation of the design of the ST Owned Portion:
a. Pedestrian Simulation and Modelling Study;
b. Architectural and Public Transit Signage Design and Plans;
c. Schedule of Finishes/Materials;
d. Public Lighting Study and Plans;
e. Building Services Design Study and Plans; and
f. M&E Design Study and Plans
3.2.3 Submission shall include but not limited to layout plans, sections, elevations, details of
the ST Owned Portion, etc that best demonstrate the concepts of the design. Design
reviews shall be held with LTA and its stakeholders at each stage of the design as
requested.
3.2.4 The cost of the above studies and reviews for the ST Owned Portion shall be borne by
the ST.
3.2.5.1 The design shall have the configurations of the human traffic circulation, layouts of
public areas, levels.
3.2.5.2 The design configurations of the ST Owned Portion shall illustrate the strategies of
transport nodes integration, taking into consideration the ease of use by commuters, i.e.
minimise transfer walking distance between various transport nodes, ensure
comfortable, safe and secure environment, ease of way finding, etc.
3.2.5.3 The design shall include critical examination of the geographical terrain, information/
data, drawings and to illustrate the analysis, generating ideas, concept information,
design approach/ method, options, etc. Design shall also demonstrate that all pertinent
information/ data have been fully analysed and considered. These data set the basis of
evaluation and the direction of the design development in terms of detail design,
material selection, etc.

3.2.6 Preliminary Stage
3.2.6.1 The design shall illustrate the development for the design from Concept Stage. A
general impression of the spatial experiences within the ST Owned Portion and the
transitional areas are to be illustrated.
3.2.6.2 A complete set of plan drawings showing the proposed setting out of all structural walls,
columns, shafts, partitions, doorways, stairs, escalators, lifts and other features,
together with sections and elevations, all at appropriate scale, as necessary to fully
describe the intended arrangements.
3.2.6.3 The routing of services especially the major duct works required by M&E systems and
operational requirements are to be illustrated. The strategy for integration of all M&E
systems and the routing of services associated with them shall be shown including, as
appropriate, three-dimensional zoning diagrams.
3.2.6.4 A list of all drawings, specifications, reports and all other documents are to be included
in the submission.
3.2.6.5 A Preliminary Design Status report shall be submitted, describing the extent of the
design development.
3.2.7.1 This stage is the detailed development of the design from Preliminary Stage. The
detailed spatial experiences of the ST Owned Portion and the transitional areas are to
be illustrated. These include the illustration of the ceiling design, floor wall finishes and
material use.
3.2.7.2 There shall be confirmation that all comments made on the preliminary submissions
have been addressed prior to the pre-final submissions, if not, the reasons why it has
not been possible to address.
3.2.7.3 Where a Design & Construct tender arrangement is adopted, the drawings and
documents shall be suitable for construction.
3.2.7.4 For Construction tender arrangement, submission drawings and documents shall
contain all necessary details to minimise downstream variations.
3.2.7.5 A Pre-Final Design Status report, an updated version of the Preliminary Design Status
report, shall be submitted, incorporating amendments as appropriate.
3.2.8.1 The Final Design Submission shall provide a complete design that is fully compliant with
the LTA’s Requirements.

3.2.8.2 There shall be confirmation that all comments made on the earlier submissions have
been addressed prior to the final submissions, if not, the reasons why it has not been
possible to address.
3.2.8.3 The submission shall include all drawings and specifications that describe the
architectural and signage design, and the layout of the public, non-public and
surroundings of the ST Owned Portion.
3.2.8.4 The submission shall include multi-media presentation, models, etc, to fully demonstrate
the final product.
3.2.9.1 The format of the drawings and CAD data shall comply with the requirements of the
Drafting and CAD Standards (Microstation) in accordance to LTA’s guidelines.
3.2.9.2 The format of the multi-media presentation, models, etc, shall be directly openable
(without conversion of format) with Microstation Software, 3D Studio Max or Digital
Beta.
3.2.9.3 Reports, calculations, specifications, technical data and similar documents shall be
provided.
3.2.9.4 All revisions to documents submitted shall be clearly marked in the body of the
documents and recorded in the index or title page.
a) Three full-size (A1) sets of architectural drawings at the various stages, and as-built
drawings;
b) Three full-size (A3) sets of architectural drawings at the various stages, and as-built
drawings;
c) One set of drawings in BIM and CAD digitised format;
d) One set of drawings in REVIT digitised format;
e) One set of drawings in PDF digitised format;
f) Three sets Design Status Report at the various stages;
g) One complete set of the multi-media presentation at the Final Design Stage; and
h) Drawings shall be submitted in soft and hard copies. The Qualified Persons shall
duly endorse the hard copies of the submission(s).
3.3.1 The ST Owned Portion shall be planned and designed such that the commuter
passageways and transfer between the Development, underground interface below
Pasir Ris Central road, Bus Interchange, MRT Station that connects to the Underground
Linkway, bus stops, taxi stands and nearby developments shall be sheltered, direct,
seamless and of a short distance.
3.3.2 The connectivity between these nodes shall be sheltered, clearly identifiable and free
from any encumbrances.
3.3.3 The right of access to the ST Owned Portion of the Underground Linkway shall be
maintained during the Bus Interchange and MRT Station’s operational hours.

3.4 Architectural Design Requirements
3.4.1 The architectural design of the commuter passageway at the ST Owned Portion of the
Underground Linkway shall be coordinated with LTA and its Appointed Contractors. The
design approach shall aim towards integrating high-quality spatial design with structural,
operational, and M&E systems. Strategies shall be developed from the earliest design
stages towards this objective.
3.4.2 The ST shall design the layout such that all ST Owned Portion facilities, including M&E
rooms and facilities, are within the Development’s space.
3.4.3 The physical wall at Basement 1, between the ST Owned Portion of the Underground
Linkway and the escalators within LTA’s Owned Portion of the Underground Linkway
connecting from Basement 2, shall be opaque. These walls are to be impact resistant
and to be fire rated in line with the Fire Code for compartmentation requirements. In
addition, these walls shall not be removed or altered. The wall facing the ST Owned
Portion is to be maintained by the Developer.
3.4.4 In the design of the Development, the ST shall take into consideration the ST Owned
Portion and its commuter passageways areas as part of the Development GFA
computation.
3.4.5 All connection points and areas between the development and components located
within LTA’s Land (including but not limited to connection with the Bus Interchange,
connection at the MRT Site Boundary, all interfacing locations, etc) shall be clearly
demarcated and to provide security shutters and fire-rated shutters with insulation on
both sides of the boundary (between the Development and LTA’s land) and in
compliance to all the codes by the relevant Authorities.
3.4.6 The ST shall be responsible for providing the necessary at-grade entrance/exit points to
the ST Owned Portion, as required by the relevant Competent Authorities, including but
not limited to fire evacuation, mechanical ventilation and smoke control systems and
other relevant statutory requirements. These structures and systems shall be located
within the Development’s space.
3.5.1 The ST shall propose, plan, design, supply and install the public transit signage
according to the LTA’s Signage Reference Manual.
3.5.2 There shall be clear signs within the Development pointing to Bus Interchanges, MRT
Station, bus stops and taxi stands. The costs of the signs shall be borne by ST.
3.6.1 The ST shall coordinate with LTA and its Appointed Contractors to carry out works
connecting to the ST Owned Portion. All information and technical specifications of
knock out panels, structural interfaces etc. shall be submitted to LTA.
3.6.2 The ST shall work with LTA and its Appointed Contractors on the structural design for
the subway links to ensure that proposed structures do not obstruct commuter flow and
impede in way-finding.

3.6.3 The minimum platform level (MPL) and crest levels for all the associated at-grade
structures within the ST’s space (e.g. staircases, lift lobbies, mechanical and electrical
components and structures, openings, etc) as well as the entrance/connection between
the ST Owned Portion clear passage and the Bus Interchange concourse shall comply
with the levels as prescribed in the PUB’s Codes or as determined by PUB, whichever is
higher. The ST shall be required to seek approvals from the relevant Authorities on the
required platform levels before commencement of its building layout design. All the cost
and expense in carrying out earth cutting and filling of the existing ground, if necessary,
to the proposed platform level shall be borne by the ST.
3.6.4 The ST shall conduct thorough investigations and ensure that the runoff within,
upstream of and adjacent to the said Land can be effectively drained away without
causing flooding within LTA structures and space, in compliance with the LTA’s Code of
Practice for Railway Protection and PUB’s relevant Codes of Practice. The ST shall also
ensure that any drainage for the said Land is independent of the drainage within LTA’s
land.
3.7.1 The ST shall design the layout such that all ST Owned Portion facilities, including M&E
plant rooms and facilities space, are within the Development’s space.
3.9 Construction
3.10.1 The ST shall grant access to LTA and the Operator, upon request, to enter the
Development, for maintenance and repair purposes to all parts of the Underground
Linkway and facilities at any time.
3.10.2 The ST shall ensure that the ST Owned Portion of the Underground Linkway and any
escalators/lifts connecting the ST Owned Portion to the Bus Interchange is to be publicly
accessible at least ½ hr before and after the operating hours of the MRT Station and
Bus Interchange. The ST shall liaise with LTA and its appointed Operator on the
opening hours of the ST Owned Portion of the Underground Linkway.
3.11.1 The ST shall be fully responsible for the maintenance of the ST Owned Portion of the
Underground Linkway, which includes all structural, architectural, , electrical and
mechanical equipment therein. ST shall be responsible to carry out proper repair and
maintenance works of the ST Owned Portion of the Underground Linkway so as to
ensure continued use and enjoyment of LTA Owned Portion by LTA and its appointed
Operator. The structure, finishes and all services of the clear passage shall be
maintained to a standard comparable to that carried out within the Bus Interchange.

3.11.2 The ST shall grant access to LTA and the Operator, upon request, to enter and carry
out periodic checks on the conditions of the clear passage and escalators to ensure that
a standard comparable with Integrated Bus Interchange is achieved.
3.11.3 The ST shall grant access to LTA and its appointed Operator, upon request, to enter
and carry out works and repairs to the LTA Owned Portion. If the works and repairs
arise as a result of the Development, LTA reserves the right to claim from the ST the
cost of such works and repairs and/or demand the ST to carry out such works and
repairs to the satisfaction of LTA and its appointed Operator
3.11.4 For any Development above the Underground Linkway, the structural maintenance of
the structural elements supporting the Development shall be done by the ST.
3.11.5 Upon request by LTA, the ST shall execute any cleaning, repair and replacement if so
required to ensure the safety and smooth operations of the ST Owned Portion of the
Underground Linkway.
4.1.1 The design and construction of the LTA Owned Portion and associated works shall
observe and comply with all relevant requirements, codes of practices, regulations,
guidelines, etc including from all relevant LTA technical divisions, authorities and
agencies. The ST shall coordinate and reconcile the various requirements from all the
relevant LTA technical divisions, authorities, agencies, and LTA’s appointed Operators.
These include, but not limited to, seeking approval from relevant authorities, TOL, land
allocation, etc.
4.1.2 In addition, the design and construction of the LTA Owned Portion and associated
works shall comply with the following requirements (refer to: http://www.lta.gov.sg,

4.1.4 All design and construction concepts, drawings, studies, reviews, methodology, costs
and tender procurement procedures for the LTA Owned Portion and associated works
shall be submitted to LTA for review and approval.
4.1.5 Comparisons shall be made of various design options that shall be evaluated for, and
not limited to, costs (including whole life costs), constructability, construction safety,
work sequencing, availability of materials and maintainability of the structures and
finishes.
4.1.6 There are five stages to the design of the LTA Owned Portion and associated works,
namely AIP, Concept, Preliminary, Pre-Final and Final stages. The ST shall make
various presentations to LTA and panels as appointed by LTA during each stage of the
design.
4.1.7 The presentations of the design, not limited to the five stages, as determined by LTA
shall be made as and when required in order to satisfy LTA that the designs under
preparation are satisfactory and that alternatives have been properly considered. LTA
will reserve the right to request further substantiation if the submission(s) is deemed
inadequate to provide a comprehensive view of the design.
4.1.8 The materials for the presentations shall include, but not limited to:
a. Site analysis and photographs, presentation of design proposal, structural
concept.
4.1.9 Unless otherwise stated, all materials prepared and used by the ST for the
presentations under this contract shall become the property of LTA. The ST shall have
no rights to use or display such information without the written permission of LTA.
4.1.10 Tender for all Works for the LTA Owned Portion shall not begin before the clearance of
the Final Stage submissions. Each design stage submission shall be endorsed by the
respective LTA technical divisions and approved by LTA OIC.
4.2.1 All studies and reviews shall be done in a timely manner such that any
recommendations can be incorporated into the construction tender of the LTA Owned
Portion and associated works.
4.2.2 The following studies and reviews shall be carried out by the ST and submitted prior to
the finalisation of the design of the LTA Owned Portion and associated works:

e. Construction Methodology reports
4.2.3 Submission shall include but not limited to layout plans, sections, elevations, details and
estimated construction costs of the LTA Owned Portion, etc. that best demonstrate the
concepts of the design.
4.2.4.1 After award of the development to the ST, the ST shall submit the first AIP to the
Authority one month before Concept Design Submission.
4.2.4.2 The AIP document shall include the proposed design or assessment criteria, principles,
design parameters for the design of the LTA Owned Portion. The schedule of
documents shall include compliance with the relevant standards, LTA Civil Design
Criteria, Material & Workmanship Specifications and take into consideration and
measure in ensuring sustainability, buildability, structure robustness, durability,
maintainability and accessibility.
4.2.4.3 Any changes to an accepted AIP to account for subsequent variations during design or
construction stages shall render the AIP subject to re-approval and acceptance by LTA.
This shall be confirmed either in the form of an amended version of the accepted AIP or
as a separate addendum to the accepted AIP. Submissions shall clearly indicate
deletions or additions that have been made to the accepted AIP.
4.2.5.1 The design shall have the configurations of the LTA Owned Portion, levels, civil &
structural strategies and design.
4.2.5.2 The design configurations of the LTA Owned Portion shall take into consideration the
following principles: Cost and maintenance efficiency of the LTA Owned Portion, i.e.
ensure ease of maintenance, reduce recurrent costs, provide safe and efficient layout,
etc.
4.2.5.3 The design shall include critical examination of the geographical terrain, information/
data, drawings and to illustrate the analysis, generating ideas, concept information,
design approach/ method, options, etc. Design shall also demonstrate that all pertinent
information/ data have been fully analysed and considered. These data set the basis of
evaluation and the direction of the design development in terms of detail design,
materials, etc
4.2.6.1 The design shall illustrate the development for the design from Concept Stage, including
any utility and services diversion to be carried out prior to the commencement of the
Works.
4.2.6.2 A complete set of plan drawings showing the proposed setting out of all structural walls,
columns, shafts, partitions, doorways, stairs, escalator and lift openings and structures,
and other features, together with sections and elevations, all at appropriate scale, as
necessary to fully describe the intended arrangements.

4.2.6.3 A list of all drawings, specifications, reports and all other documents are to be included
in the submission.
4.2.6.4 At this stage, all relevant authorities’ consultation and Development Control submission
and relevant land allocation/ TOL applications shall be done. This includes consulting
LTA’s Development & Building Control Division on the traffic access, roads, interfacing,
etc.
4.2.6.5 A Preliminary Design Status report shall be submitted, describing the extent of the
design development and the construction methodology being considered.
4.2.6.6 The ST shall carry out an assessment of the materials and workmanship to be adopted
in the design, to achieve the desired design intent and performance.
4.2.6.7 All constraints in respect of structural, civil, and safety requirements are to be
highlighted and addressed.
4.2.7.1 This stage is the detailed development of the design from Preliminary Stage.
4.2.7.2 There shall be confirmation that all comments made on the preliminary submissions
have been addressed prior to the pre-final submissions, if not, the reasons why it has
not been possible to address should be substantiated.
4.2.7.3 Where a Design & Construct tender arrangement is adopted, the drawings and
documents shall be suitable for construction.
4.2.7.4 For Construction tender arrangement, submission drawings and documents shall
contain all necessary details to minimise downstream variations.
4.2.7.5 At this stage, Development Control Provisional Permission shall be obtained and the
Building Plan shall be submitted and Building Plan Number allotted. Relevant land
allocation and TOL shall be obtained. Details of authorities consulted and the
information obtained from them shall be compiled.
4.2.7.6 A Pre-Final Design Status report, an updated version of the Preliminary Design Status
report, shall be submitted, incorporating amendments as appropriate.
4.2.8.1 The Final Design Submission shall provide a complete design that is fully compliant with
the relevant authorities' requirements.
4.2.8.2 There shall be confirmation that all comments made on the earlier submissions have
been addressed prior to the final submissions, if not, the reasons why it has not been
possible to address should be substantiated.
4.2.8.3 The submission shall include all drawings and specifications that describe the layout of
the LTA Owned Portion, including spatial provisions for M&E plant and equipment. The
ST shall coordinate with LTA and its Appointed Contractors on the spatial and structural
provisions for LTA’s architectural and M&E services and interfaces with ST’s works.

4.2.8.4 The submission shall include presentation, models etc, to fully demonstrate the final
product.
4.2.9.1 The format of the drawings and CAD data shall comply with the requirements of the
Drafting and CAD Standards (Microstation) in accordance to LTA’s guidelines.
4.2.9.2 Reports, calculations, specifications, technical data and similar documents shall be
provided.
4.2.9.3 All revisions to documents submitted shall be clearly marked in the body of the
documents and recorded in the index or title page.
a) Three full-size (A1) sets of civil & structural drawings at the various stages, and
as-built drawings;
b) Three full-size (A3) sets of civil & structural drawings at the various stages, and
as-built drawings;
c) One set of drawings in CAD digitised format;
d) One set of drawings in REVIT digitised format;
e) One set of drawings in PDF digitised format;
f) Two sets Design Status Report at the various stages;
g) One complete set of the presentation at the Final Design Stage; and
h) Drawings shall be submitted in soft and hard copies. The Qualified Persons shall
duly endorse the hard copies of the submission(s).
4.2.10.1 Upon completion of the Underground Linkway (both ST Owned Portion and LTA
Owned Portion) construction, the LTA shall provide the proposed legal boundary of the
facilities for the preparation of drawing(s) stated in this clause. The ST shall submit five
(5) coloured sets of the drawings endorsed by the QP (Architecture) showing the Gross
Floor Area (GFA) within the proposed legal boundary for which the LTA is required to
take alienation. Such drawing(s) shall be produced at 1:500 scale or any other scale as
approved by the LTA.
4.4.1 The ST is not required to provide architectural design and construction for the LTA
Owned Portion of the Underground Linkway.
4.4.2 The ST shall coordinate with LTA and its Appointed Contractors to ensure that the LTA
Owned Portion is designed to cater for LTA’s architectural works.

4.4.3 The ST shall design the Development’s layout such that all architectural features are
within the Development’s space. There shall not be any shared facilities within the LTA
Owned Portion which are used by the Development.
4.6.1 The ST shall provide civil & structural design and construction for the LTA Owned
Portion of the Underground Linkway. Structural layouts are shown in Appendix C. The
ST must seek LTA OIC’s approval in writing for any changes made to the structural
layouts e.g. location and dimensions of structural elements such as openings and walls.
4.6.2 The ST shall note that the civil & structural information as shown in Appendix C are
notional and for information only. The ST shall carry out all necessary structural design
and construction for the works while complying with the key design parameters of the
LTA Owned Portion as specified in the table in Clause 2.2.3.
4.6.3 The ST shall use the notional scheme in LTA’s Drawings to develop his detailed design
for submission to the relevant Authorities for approval.
4.6.4 The ST shall also take into consideration the existing structures which include existing
foundation, sub-structures, utilities and all other associated elements and constraints
imposed by the existing works and services on the surrounding areas to develop his
detailed design and construction sequence.
4.6.5 The Works shall be designed in accordance with the Authority’s Requirements,
including the Civil Design Criteria (CDC), Materials and Workmanship Specification
(M&W), SS Eurocodes Suites and the Singapore National Annexes as well as
compliance with relevant Codes of Practices and Standards under the Building Control
Act and Building Control Regulations. Any deviation from the Authority’s Design Criteria
and Specifications are not allowed unless approved by the Authority in writing.
4.6.6 The design of the civil and structural works shall comply with the current Building and
Construction Authority’s (BCA) Approved Document of Acceptable Solutions.
4.6.7 The ST shall appoint a Professional Engineer to design, submit and obtain all necessary
approvals and supervise all works as required and shall comply with the Building
Control Act and Building Control Regulations.
4.6.8 The ST’s design responsibilities shall include all the Specialist and Proprietary Trade as
stipulated in the BCA regulations.
4.6.9 Where the existing structures are designed to British Standards then the ST shall
undertake the necessary design work to demonstrate compliance with the latest
approved codes and practices under the Building Control Act and Building Control
Regulations. Under no circumstance shall mixing of design codes occur in satisfying
BCA’s design submission requirements. If any of such circumstance arise, approval in
writing shall be sought.
4.6.10 Actions for LTA Owned Portion of the Underground Linkway (if applicable)

4.6.10.1 The actions indicated shall be considered as the minimum values to be
adopted. Where higher values are considered more appropriate, based on
knowledge of the proposed usage of the structure, the higher values should be
used instead.
4.6.10.2 The following minimum actions or whichever is more onerous, shall be adopted
for the design. For others areas not listed, reference shall be made to the Civil
Design Criteria, Building Control Act and Building Control Regulations:
4.6.11 The minimum platform level (MPL) and crest levels for the associated at-grade
structures within LTA space (e.g. escalators, mechanical and electrical components and
structures, openings, etc) shall comply with the levels as prescribed in the prevailing
PUB Codes or as determined by PUB, whichever is higher. The ST shall be required to
seek approvals from the relevant Authorities on the required platform levels before
commencement of its building layout design.
4.6.12 The ST shall coordinate with LTA and its Appointed Contractors in the design and build
of LTA’s structures above the LTA Owned Portion. The ST shall design and construct

the Underground Linkway (both ST Owned Portion and LTA Owned Portion) to cater for
the loading of LTA’s structures, as shown in Clause 4.6.10.
4.6.13 The ST shall work with LTA and its Appointed Contractors on the structural design for
the subway links to ensure that proposed structures do not obstruct commuter flow and
impede in way-finding.
4.6.14 The ST shall coordinate with LTA and its Appointed Contractors to remove any
temporary or permanent structures that were constructed by the ST, which poses any
encumbrances to the completion of the ST’s Works and LTA’s works.
4.6.15 The ST shall design their independent ERSS supporting system to cater for any of the
future development if required for the connectivity at B1 and B2, subjected to approval
of LTA in writing.
4.6.16 The ST shall coordinate with LTA and its Appointed Contractors to ensure that the LTA
Owned Portion structure is designed and constructed to cater for LTA’s architectural
and M&E works e.g. provision of lifting hooks for installation of escalators.
4.6.17 The ST shall coordinate with LTA and its Appointed Contractors to design and provide
independent drainage system with seepage drain, sump and pump system to drain out
water from the LTA Owned Portion to be discharged to the public drain at ground level
during permanent stage, especially for escalator, travellator and lift pits.
4.6.18 The ST shall propose and submit the appropriate waterproofing systems for the base
slab, skin walls, pits and roof slab to LTA for review and approval.
4.6.19 The ST shall inspect and verify the existing earthmat/earth pit installed for existing
station and propose to relocate the earthmat affected including making good to existing
earthmat system due to the ST’s excavation works. If existing earthmat is affected, ST
shall carry out design, supply, installation, testing and commissioning of the earthing
system being affected. ST shall submit the design to LTA for approval prior to
commencement of work and testing shall be performed to the satisfaction of LTA. There
shall be no additional cost to the LTA to improve the soil resistivity to meet the passing
criteria of earthing resistance.
4.6.20 After completing the roof slab of the Underground Linkway, the ST shall provide backfill
up to the ground level as indicated in the Appendices B and C.
4.7.1 The ST is not required to provide M&E design and construction for the permanent works
for LTA Owned Portion.
4.7.2 The ST shall design the Development’s layout such that all M&E rooms and facilities are
within the Development’s space. There shall not be any shared facilities within the LTA
Owned Portion which are used by the Development.
4.8.1 The ST shall provide independent warranties for civil & structural and waterproofing
items for the LTA Owned Portion in accordance with the provisions in LTA Agreement
for Design, Build, Operation and Maintenance of the Underground Linkway and
Associated Works at Pasir Ris, and Schedule 2 of the Agreement. The ST’s documents
shall clearly indicate the start dates and end dates of the warranties.

4.9 Construction and Operational Requirements and Access Rights
4.9.1 The ST shall make provisions to ensure that the worksite and work areas/accesses for
the Underground Linkway is clean, dry and well-maintained until handover to LTA and
its Appointed Contractors. This includes providing water-tight knock-out panels over the
openings at the ground level, as shown in Appendix B.
4.9.2 The ST shall provide and maintain temporary lighting, power and ventilation within the
Underground Linkway worksites at B1 and B2 levels till 1Q 2027.
4.9.3 The ST shall also provide and maintain temporary pumps with floating device for flood
protection during construction stage till 1Q 2027.
4.9.4 The construction of the Underground Linkway will affect the existing perimeter drain
around the EW1 Pasir Ris station. The ST shall provide temporary drain for the affected
existing perimeter drain and coordinate with LTA and its Appointed Contractors for the
final reinstatement of the perimeter drain.
4.9.5 The ST shall allow LTA, its Appointed Contractors and Operators to utilise the service/
goods lifts and service bays and loading and unloading facilities within the
Development.
25.4
4.9.6 The ST shall grant access to LTA, its Appointed Contractors and Operators, upon
request, to enter the Development, for construction, maintenance and repair purposes
to all parts of the LTA Owned Portion of the Underground Linkway at any time.
4.9.7 The ST shall interface, work, co-operate and resolve in good faith with LTA and its
Appointed Contractors on all interfacing issues on design, construction, and traffic
diversion between the construction works of the Development , interim Pasir Ris Bus
Interchange, the construction works of the Underground Linkway, and the LTA’s
additions and alterations (A&A) works to the EW1 Pasir Ris station (see Clause 5). The
ST shall coordinate and resolve with LTA’s Appointed Contractors on all aspects of pre-
condition and post-condition surveys, foundation and superstructure works and
instrumentation and monitoring works.
4.9.8 The ST shall indemnify LTA and LTA’s Appointed Contractors against all costs,
charges, expenses and the like resulting from ST’s failure to properly coordinate with
LTA’s Appointed Contractors.
4.9.9 The ST shall allow sufficient time for obtaining all necessary approvals and clearances
from any interfacing party in the ST’s programme.
4.9.10 The ST shall comply with the Monitoring & Instrumentation requirements specified in the
Code of Practice for Railway Protection (CPRP), for working within the Railway
Protection and Safety Zones. The ST shall consult to seek and obtain LTA DBC’s
approval prior to any construction works. In addition to the typical safeguarding
requirements in the CPRP, the ST shall be fully responsible for all repairs and
remediation works necessary to make good any deterioration and damage arising
directly and indirectly from ST’s works to the acceptance of LTA.
4.9.10.1 The ST shall submit an Interpretative Report for their instrumentation and monitoring
(IM) system installed on the existing RTS infrastructure (including but not limited to,
EW1 Pasir Ris Station and viaducts, buildings, structures, utilities) to LTA on a monthly
basis (or such frequency to be determined by LTA), in a format to be agreed with LTA.

Based on the ST's instrumentation and monitoring (IM) results, the ST shall carry out the
following and include these in the report:
a) Verify the ST's design assumptions and whether design levels for existing RTS
infrastructure could be exceeded;
b) Assess the effect of ST’s Works on existing RTS infrastructure;
c) Present and review the readings for IM results for existing RTS infrastructure,
which includes interpretation and assessment of the instrumentation readings,
and identify trends of concern;
d) Provide a record of IM trend for existing RTS infrastructure and adjacent
structures; and
e) Propose and implement approved appropriate contingency and mitigation
measures, where required.
4.9.10.2 ST shall summarise the results of IM monitoring including any review level that has
been exceeded in the IM report. Where necessary, the report shall include
recommendations for altering the ST's design of the Works, or the ST's method or
sequence of construction.
4.9.10.3 The frequency of the reporting may be increased at the discretion of LTA should there
be any area of particular concern on the existing RTS infrastructure.
4.9.10.4 The Interpretative Reports shall be endorsed by the ST’s Qualified Person (QP).
4.9.10.5 The ST's QP shall inform LTA immediately upon detection of any movement or
unexpected or sudden adverse development of trends and/or readings on the
instrumentation readings on the existing RTS infrastructure, whichever occurs first.
The ST’s QP shall also give a presentation on their findings to LTA within 24 hours of
such notification by ST's QP. The ST’s QP should recommend mitigation measures to
be taken to address any adverse trends. The format of the presentation shall be similar
to that in Interpretative Report submission. The presentation shall be conducted using
Microsoft PowerPoint or any other software. Models shall be used, if necessary. A
Question and Answer Session shall be included at the end of the presentation to
answer queries posed by the LTA.
4.9.10.6 The ST shall conduct weekly instrumentation monitoring meeting with LTA and its
appointed Contractor to review any instrumentations that are reaching the critical
levels (Alert Level, Work Suspension Level), and to propose the necessary mitigation
measures.
4.9.10.7 The ST shall allow LTA’s Appointed Contractors accessing the ST’s worksite for pre-
construction and post-construction condition surveys, survey works, instrumentation
and monitoring works and/or any other urgent works where entry to ST’s worksite is
imperative for work safety without any hindrance, obstruction, fees or charges.
4.9.10.8 The ST shall be responsible for co-ordination and development of all temporary and
permanent works arrangements at the interfacing limit/boundary with LTA’s Appointed
Contractors.
4.9.10.9 The ST shall ensure that the ST’s construction sequence and methods do not
adversely impact LTA's works in the vicinity to the Development. The ST shall be
responsible to protect the LTA’s works from damage due to ST’s own works.

4.9.10.10 The ST shall coordinate with LTA and LTA’s Appointed Contractors on any
interfacing matters and/or works to minimise any interruption to the LTA’s works and
to enable the continual operation of both worksites. The ST shall initiate monthly
interfacing meetings with LTA and LTA’s Appointed Contractors (or such frequency to
be determined by LTA), and provide minutes of these interfacing meetings.
4.9.10.11 The ST shall promptly notify LTA and its Appointed Contractors in writing of all
construction works that affect access to and operation of adjacent lands and new
developments that may affect the construction work plan of the Project. The ST shall
maintain access to all adjacent lands.
4.9.10.12 The ST shall liaise and coordinate with LTA and its Appointed Contractors on the site
access and/or any diversion of the existing road network, to ensure the access and/or
diversions are synchronized with LTA’s works through daily coordination meetings.
LTA shall be consulted at least three (3) months in advance on any change to road
accesses and such changes shall not affect LTA’s works.
4.9.10.13 The ST shall give at least three (3) months prior written notice to LTA and its
Appointed Contractors when specific actions are required by any of the LTA’s
Appointed Contractors, without which the ST’s construction cannot be executed on
schedule. The notification shall include but not be limited to:
a) ST’s current status of work at affected area(s)/location(s);
b) Specific action(s) required but not done;
c) Affected ST’s programme/work; and
d) Any proposal for resolution/mitigation expected of either party.
4.9.10.14 At all times, the ST shall put in place and maintain all reasonable measures to ensure
that water and site effluent from the ST’s worksites do not enter LTA’s worksites. The
ST shall determine, put in place and maintain all drainage systems and earth control
measures at the contract interfaces to prevent any risks from flooding or water run-off
to the LTA’s Appointed Contractors' works.
4.9.10.15 The ST and LTA’s Appointed Contractors shall be fully responsible for their
respective temporary drainage systems to keep their respective worksite and work
areas dry and free from flooding. For any shared worksite that is within the ST’s land
boundary, the ST shall be fully responsible for any temporary drainage systems and
earth control measures for the shared worksite, to keep the shared worksites dry and
free from flooding.
4.9.10.16 The ST shall note that there are other contractors, consultants etc. which LTA has
engaged or will engage from time to time. The ST is required to coordinate and
interface the ST’s works with the interfacing contractors. These interfacing contracts
may commence before or during the period of the contract for LTA’s works and may
run concurrently with it for all or part of the contract period. The ST shall not make
any claims against HDB and/or LTA for such coordination and interfacing with
additional contractors or other parties not previously identified but necessary for the
completion of the LTA's works.
4.9.11 If there are any removal of the existing bicycle parking lots due to the Underground
Linkway works, the ST will be required to work with LTA to provide interim replacement
bicycle parking lots during the course of construction, if the permanent replacement
bicycling parking lots are not ready for use.

4.10 Maintenance Requirements
5.1.1 Upon the signing of the Agreement and before the design commencement, the ST shall
arrange an inaugural meeting with LTA and the ST. LTA will explain the roles and
responsibilities of various LTA divisions, the point of contact, reporting structures,
Works, LTA’s Requirements and cost reimbursement processes.
5.1.2 To guide the design, construction, operation and maintenance of the Underground
Linkway and associated works, the ST shall arrange regular progress meeting between
LTA, LTA’s Appointed Contractors and the ST.
5.1.3 Within 1 month of signing of the Agreement, the ST shall prepare and submit to LTA for
approval a programme for the design and construction of the Underground Linkway.
The programme shall stipulate the major milestones and completion dates for the
studies, reviews and submissions described under Clauses 3 and 4.
5.2.1 LTA will be carrying out advance A&A works to EW1 Pasir Ris MRT station, and will use
the worksites shown in Appendix C drawing no. T/PSRGLS/EW01/CS/0021. LTA will
hand over the worksites to the ST by 30 June 2021, with three (3) months prior notice in
writing, for the ST’s construction of the Underground Linkway.
5.2.2 During the construction of the Underground Linkway, LTA and its Appointed Contractors
intend to access and occupy the worksites shown in the Appendix C drawing no.
T/PSRGLS/EW01/CS022 for continued A&A works to EW1 Pasir Ris station, using the
Rapid Transit Systems (RTS) Act. The ST shall coordinate with LTA and its Appointed
Contractors to maintain and provide 10m wide and 3m wide construction accesses to
EW1 Pasir Ris station (as shown in Appendix C drawing no. T/PSRGLS/EW01/CS022).
Such coordination shall include daily coordination meetings between the ST and LTA
and its Appointed Contractors to discuss e.g. usage of any shared worksites or
accesses, control of vehicular movements to avoid congestions etc. to avoid affecting
LTA and its Appointed Contractors’ construction progress. The 10m wide and 3m wide
accesses shall be located as close to the EW1 station as possible, to minimize
constraints on the ST’s construction.
5.2.3 By 31 December 2022, the ST shall backfill and hand over the worksites shown in the
Appendix C drawing no. T/PSRGLS/EW01/CS/0023, including the 10m wide and 3m
wide construction accesses abutting the EW1 Pasir Ris station, to LTA and its
Appointed Contractors. The ST shall give LTA and its Appointed Contractors three (3)
months’ notice in writing prior to such handover.
5.2.4 By 30 June 2025, LTA and its Appointed Contractors will hand over the worksites shown
in Appendix C to the ST, with three (3) months prior notice in writing.
5.2.5 The LTA and its Appointed Contractors shall not be liable for any charges or fees for the
occupation and/or use of the worksites. The ST shall provide all necessary mitigating

measures at their own cost and work closely with LTA and its Appointed Contractors to
hand over worksites at the earliest possible date.
5.2.6 The completion timelines of LTA’s A&A works to EW1 Pasir Ris station, as specified in
this document, are tentative dates and are based on prevailing information. The ST shall
not hold LTA liable for any loss or damage whatsoever and howsoever arising (including
but not limited to economic, indirect or consequential losses, and/or loss of revenue,
profits or business) which the ST may suffer in the event of any delay in the handing
over of worksites by LTA to the ST.
5.2.7 By 30 May 2025, the ST shall hand over the LTA Owned Portion of the Underground
Linkway to LTA. ST shall complete construction of the Underground Linkway, submit
and obtain Temporary Occupation Permit (TOP) from BCA prior to handing over. The
ST’s QP shall seek Approval in Principle (AIP) from BCA for the aforementioned
arrangement and to obtain TOP for the shell structure without any M&E services and
architectural fit-outs and finishes. The demarcation of the TOP shall follow the contract
limit as shown in Appendix C. After obtaining TOP, the ST shall handover to LTA for
LTA and its Appointed Contractors to do the fitting out.
5.3.1 Joint inspection with LTA shall be arranged prior to handing over. LTA OIC reserves the
rights not to take over the LTA Owned Portion and worksites until all Works satisfy LTA
requirements and inspections.
5.3.2 Before the handing/ taking over of the LTA Owned Portion of the Underground
Linkway, the ST shall submit documents showing evidence of completion of all reports
and drawings stated in Clause 4.2.2. The ST shall also deliver to LTA a set of the as-
built drawings, relating to the LTA Owned Portion of the Underground Linkway. The ST
shall also remove all falsework and temporary works to the satisfaction of LTA before
handing over the LTA Owned Portion of the Underground Linkway.
5.3.3 If the above submissions are not submitted before the handing/taking over of the LTA
Owned Portion of the Underground Linkway, LTA reserves the right to hold back any
reimbursement of costs related to the design and construction of the works.
5.4.1 The ST Owned Portion shall be completed by 4Q 2027,including architectural and M&E
fit-out.
6.1.1 The ST shall bear the construction cost of the B1 level of the Underground Linkway. If
the ST’s structures extend below B1 level, the ST shall also bear the cost of the B2 level
of the Underground Linkway.
6.1.2 If the ST’s structures do not extend below B1 level, LTA will separately reimburse the
ST the incremental construction cost of the B2 level of the LTA Owned Portion. The
incremental construction cost to be reimbursed by LTA will strictly comprise the
excavation for B2 Level of the LTA Owned Portion, and construction of B2 base slab
and internal structural elements (wall, column, staircase) for B2 Level of the LTA Owned

Portion. This incremental construction cost excludes the earth retaining walls,
foundation and piling works, and all Temporary Works associated. The incremental
construction cost shall also exclude any slab between B1 and B2 Levels. The
incremental construction cost shall be obtained by competitive tender.
6.1.3 The incremental construction cost shall exclude all design fees, professional and
consultant fees, charges, fees paid to all statutory and regulatory bodies, levies, tests,
studies, reviews, tender arrangement of selection of contractors, costs of engaging
Qualified Personnel (Supervision) and his supervision team, project management cost,
co-ordination and attendance upon contractors, Instrumentation and Monitoring
contractors, and diversion cost of services and utilities and the like. The incremental
construction cost shall also exclude all other cost items that are not mentioned in clause
6.1.3.
6.2.1 Prior to the tender for implementation of the Underground Linkway and associated
works, the ST shall submit the estimated budget of the Underground Linkway’s LTA
Owned Portion and associated works to LTA for approval.
6.2.2 The ST shall structure the tender document such that the cost of the LTA Owned
Portion is clearly identified. The ST shall prepare cost breakdown in the Tender
Documents. The breakdown shall include the various systems / trades such as
architectural, civil and structural, and M&E components, etc.
6.2.3 At least one month prior to the calling of the tender for the Underground Linkway and
associated works, the ST shall submit the documents that will be used for tendering for
LTA’s approval. The Successful Tenderer shall not proceed to call the tender without
LTA’s approval. ST shall at its own costs apply for, obtain and maintain all necessary
permits, licences and approvals from all relevant regulatory bodies for its operations and
for carrying out the Works and shall at all times comply with all applicable laws of the
Republic of Singapore, LTA’s Requirements as well as any applicable directions,
guidelines, codes of practice, statutes, rules or regulations issued by LTA or other
statutory agencies for and in relation to Works (collectively known as the “Applicable
Laws”). Any costs or expenses incurred or issues arising as a result of or in connection
with ST’s non-compliance with the Applicable Laws shall be solely borne by the ST.
6.2.4 After the contract award of the LTA Owned Portion, the ST shall ensure that a further
cost breakdown for the purpose of payments is submitted for LTA’s acceptance. The
detailed breakdown shall include the various systems / trades such as architectural, civil
and structural, and M&E components, warranties etc. The incremental construction cost
component as described in Clause 6.1.2 shall also be clearly indicated.
6.2.5 The ST shall take all necessary measures to ensure that all procurement procedure is
as follows:
b. Value for Money - Procurement procedures shall yield the best returns in terms of
quality, timeliness, reliability, upgradeability, price and source.

c. Open and Fair Competition - Procurement procedures shall offer equitable access
opportunities to all tenderers, goods, services and construction services.
d. Opening of Tenders - LTA shall be informed of the opening and award of all
tenders relating to the Underground Linkway and associated Works, including
provisional sum items. Sufficient notice shall be given to LTA so as to allow LTA to
be present and witness the opening of tenders.
6.2.6 The ST shall submit to LTA three sets (one hard copy and two CDs) of all tender
evaluation and recommendation reports pertaining to the Underground Linkway’s LTA
Owned Portion and associated Works.
6.2.7 Upon award of the Underground Linkway’s LTA Owned Portion contract, the ST shall
prepare and furnish to LTA, without additional cost, three sets (one hard copy and two
CDs) of all necessary documents including tender documents and drawings, and
documents relating to tender acceptance and contract administration. The ST shall also
furnish the Letter of Acceptance to LTA for record purpose. This shall apply to all other
advanced contract or works called by the ST separately.
6.3.1 Variations
6.3.1.1 The term "variation" shall mean any change in the original Agreement intention as
deduced from the Agreement as a whole describing or defining the Works to be carried
out and shall include but is not restricted to:
(c) a change in the character, quality or nature of any part of the Works;
(d) a change in the levels, lines, positions and dimensions of any part of the Works;
(e) the demolition of or removal of any part of the Works no longer desired by the LTA
OIC;
(f) a requirement to complete the Works or any phase or part by a date earlier than the
relevant Time for Completion.
6.3.1.2 For the avoidance of doubt, the term "variation" shall include any changes as aforesaid
which may be designed to alter the use to which the Works will be put, but shall exclude
any instruction (which would otherwise be a variation) which has arisen due to or is
necessitated by or is intended to cure any default of or breach of contract by the ST.
6.3.1.3 LTA OIC may at any time, before the calling of the construction contract, amend the
design of the Works. All works as a result of such an amendment shall not be
considered a variation.
6.3.1.4 For the submission of claims, it is the ST’s responsibility to provide evidence of
completion of the variations, failing which variations shall not be reimbursed by LTA.

6.3.2.1 LTA OIC may at any time issue an instruction in writing requiring a variation. If or to the
extent that an instruction does not state that it requires a variation but the ST considers
that it does require a variation, the ST shall within 14 days from the date of receipt of the
instruction notify in writing the LTA OIC who may, if he thinks fit, within 14 days from the
date of receipt of the ST’s notification, confirm, modify, rescind or contradict in writing
the instruction and the ST shall then comply forthwith.
6.3.3.1 LTA OIC may, before issuing an instruction for any variation, require the ST to submit at
least three (3) sealed quotations for any proposed variation and the ST shall be obliged
to submit such quotations in writing at his own cost. The LTA OIC may before or after
issuing an instruction under Clause 6.3.2 accept in writing the ST's quotation and the
provisions of Clause 6.4 shall not apply to the valuation of that variation nor shall the ST
be entitled to any Loss and Expense in respect of that instruction or any other
compensation, damages or other amount whatsoever other than a valuation made in
accordance with the accepted quotation. An instruction requiring a variation shall not be
treated as an acceptance of any quotation.
6.4.1.1 Subject to Clause 6.3 and Clause 6.4.4, all variations shall be valued as follows:
(a) Where the varied work is of a similar character to, is executed under similar
conditions as and does not significantly change the quantity of work described in
the Agreement, the rates for the works as set out in the Construction Contract
shall determine the valuation; or
(b) Where the varied work is of similar character to work described in the Agreement
but is not executed under similar conditions of such work described in the
Agreement or involves significant changes in the quantity of such work described
in the Agreement, the rates for the works as set out in the Construction Contract
shall be the basis for determining the valuation but with a fair allowance for any
differences in such conditions and/or quantity; or
(c) Where (a) and (b) above do not apply, then by measurement and valuation at fair
market rates and prices;
(e) The rates for the works as set out in the Construction Contract shall determine the
valuation of items omitted; provided that if omissions vary the conditions under
which any remaining items of work are carried out, the values for such remaining
items shall be determined under Clauses 6.4.1.1 (b) or (c) or (d) as the case may
be.

6.4.2 Agreement on Valuation
6.4.2.1 The ST shall carry out all variations instructed by the LTA OIC pending the valuation of
the variations by the LTA OIC.
6.4.2.2 Upon progressive completion of the variation works, the ST may submit his claim for the
variations in his Payment Claims in accordance with Clause 6.1 of the Agreement
(provided always the claim for such variations must be substantiated with supporting
documents). The LTA OIC shall certify such amounts as are due to the ST for the
variations in accordance with Clause 6.2 of the Agreement.
6.4.2.3 When the ST considers that the respective variation works have been substantially
completed, he may give notice in writing to that effect to the LTA OIC. The LTA OIC
shall either:
(a) certify in writing that the variation works in his opinion were substantially
completed; or
(b) give instructions in writing specifying the works which in his opinion are required to
be done.
Provided that the LTA OIC may, at his discretion and without the receipt of any notice
from the ST, exercise either Clause 6.4.2.3(a) or Clause 6.4.2.3(b).
6.4.2.4 The ST shall, within 30 days from the date of the LTA OIC's certification, submit to the
LTA OIC a valuation of the said variations (with such details and particulars including
invoices and receipts as the LTA OIC may require for the purpose of valuing the said
variations) based on the completed variation works. Thereafter, the ST shall include his
claim for the said valuations in the next Payment Claim to be submitted by the ST under
Clause 6.1 of the Agreement.
6.4.2.5 The LTA OIC shall, within 60 days from the date of his certification, value the total
amount due for the said variations based on the completed variation works and shall
notify the ST in writing of the value of the variations. Thereafter, the LTA OIC shall
certify the amounts due to the ST for the said variations in the next Payment Certificate
to be issued by the LTA OIC under Clause 6.2 of the Agreement.
6.4.2.6 The ST shall, within 30 days of the receipt of the LTA OIC's notice of the value of the
variations, give notice of any disagreement in writing to the LTA OIC and shall at the
same time set out the valuation which he considers should have been made, giving full
details and particulars and the appropriate Agreement references. If the ST does not
give notice of his disagreement with the valuation of the LTA OIC within 30 days of
receipt of the LTA OIC's valuation, he shall be deemed to have accepted the valuation
and such valuation shall be final and binding on the ST and shall not thereafter be
disputed or questioned by the ST in any way whatsoever.
6.4.2.7 Following receipt of the ST’s notice of disagreement, the LTA OIC may amend the
whole or any parts of any valuation previously made and make the necessary
adjustment in the next Payment Certificate.
