DEED OF ASSIGNMENT

Know All Men By These Presents:

That this deed is entered into by and among the following:

TEODORO B. CAMARILLO, of legal age, Filipino, single and resident

of Brgy. San Juan, Santa Cruz, Laguna; hereinafter referred to as the
ASSIGNOR;

MARIA FE E. ESCANO, likewise of legal age, Filipino and with office

and resident of Brgy. Palasan, Santa Cruz, Laguna; and hereinafter
referred to as the FIRST ASSIGNEE; and,

Atty. EMMANUEL E. SANDICHO, likewise of legal age, Filipino and

with office address at 2nd Flr. GCL Bldg., 6081 National Highway,
Sambat, Labuin, Santa Cruz, Laguna; and hereinafter referred to as
the SECOND ASSIGNEE;

WITNESSETH, that –

WHEREAS, the ASSIGNOR has collectibles that are due and demandable
receivables from the following debtors: (1). Rollie Villegas; (2). Agnes Paglinawan;
(3). Agapito Dasic; (4). Marie Glo Fuentes; (5). Norvie Pabilonia; (6). Ma. Elizabeth
Platero; (7). Freddie De Jesus; (8). Jinggoy Palomique; (9). Carmen Santa Maria;
(10). Cherrie Sumague; and (11). Mario Anatulan;

WHEREAS, the ASSIGNOR cannot personally initiate and undertake efforts to

collect the receivables from the above-named persons;

WHEREAS, the FIRST ASSIGNEE and the SECOND ASSIGNEE have the
capability, knowledge and skills to initiate and undertake the collection process
by way of judicial and extra-judicial means;

NOW THEREFORE, the ASSIGNOR hereby ASSIGNS, BEQUEATHS &

CONVEYS in favor of the FIRST ASSIGNEE the amount equivalent to Thirty
Percent (30%) and to the SECOND ASSIGNEE the amount equivalent to another
Thirty Percent (30%) of the above-mentioned receivables. Provided that the
remaining Forty Percent (40%) shall remain for the benefit of the ASSIGNOR in the
event the receivables are actually collected and received by the FIRST ASSIGNEE
and SECOND ASSIGNEE;

In order to effect this sharing agreement, the PARTIES hereto further agree
and undertake to the following terms hereof, to wit—

1. The FIRST ASSIGNEE shall initiate the necessary actions, including “small
claims cases”, (the principal amounts for each debtor/obligor do not exceed
one hundred thousand pesos), in the appropriate municipal trial court/s. For
this purpose, the ASSIGNOR shall issue in favor of the FIRST ASSIGNEE the
necessary special powers of attorney (SPA). Provided further that interests
and penalties in addition to principal obligations, may also be collected;

2. The SECOND ASSIGNEE shall be responsible for preparation of complaints

and all other necessary documents, including notarial acts for this purpose;

3. The FIRST ASSIGNEE and the SECOND ASSIGNEE shall be entitled to

receive from any person concerned, whether natural or juridical, any sum
forthcoming as payment/s, settlement/s, award/s, or any other form of
compensation to cover the above-mentioned receivables. Provided that the
 distribution thereof shall be in accordance with the above stated sharing
scheme;

4. The FIRST ASSIGNEE and SECOND ASSIGNEE shall perform necessary,

incidental or implied acts pursuant to the foregoing paragraphs.

IN WITNESS WHEREFORE, the parties hereto affixed their signatures this
