SUPPLEMENTAL AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Supplemental Agreement (“Supplemental) to the Supplier Agreement made and executed
by and among:

COPS COPORATIONS., a corporation duly organized and existing under and

by virtue of the laws of the Republic of the Philippines, with principal office
address at 5___________________________________,, herein represented by its President and
Managing Director, ATTY. JUAN B. UY, hereinafter referred to as “CCC”;

-and-

WOOD PHILIPPINES, herein represented by its ________________,

___________________________, residing at ______________________ hereinafter
referred to as “SUPPLIER”;

WITNESSETH THAT:

WHEREAS, the parties executed a Supplier Agreement on __________________________________

(the “Agreement”);

WHEREAS, the parties would like to modify the Agreement in order to supplement and add
certain terms and conditions consistent with the intention and negotiation of the Parties;

NOW THEREFORE, for and in consideration of the foregoing premises, the mutual covenants
and stipulations herein contained, the Parties have agreed as follows:

1. The terms used in this Supplemental shall have the same meaning given to them in
the Agreement unless specifically defined in this Supplemental.

2. Under the Agreement, the quantity and description for all Items shall be as designated
in one or more Contract Documents that expressly relate to or identify the Items to
be purchased by CCCI, all as determined by CCCI in its sole discretion.

3. CCCI shall not pay the Contract Price to the Supplier, upon determination by CCCI, in
the reasonable exercise of its discretion that the Items (i) do not meet Supplier’s
Warranties, (ii) fail to meet TCCCI Specifications or Supplier Specifications or (iii)
otherwise are mechanically unsatisfactory.

4. In any case during the test period, the Items to be deliver have issues to be rectified,
the Supplier shall be required to submit a Certification indicating that the issues have
been resolved, prior to the delivery of the Items.

5. The terms and conditions of the Agreement not amended hereby or otherwise
inconsistent herewith shall remain and continue to be in full force and effect and
binding upon the parties.

6. If any of the term or condition of this Supplemental is declared invalid the rest shall not
affected hereby.

IN WITNESS WHEREOF, the parties, has through their aforementioned representatives, set
