MEMORANDUM OF UNDERSTANDING

This is an agreement between “Party A”, hereinafter called IDB TECHNOLOGIES PRIVATE LIMITED, No.: 185,
Lingavel Tower, 2nd Floor, 100 Feet Velachery Bypass Road, Velachery, Chennai 600042 and “Party B”,
hereinafter called (Name & address of the party B).

PURPOSE & SCOPE

The purpose of this MOU is to clearly identify the roles and responsibilities of each party, Party B (Name of
the party B) will consult and bring the business (related to IT or any other business) to party A (IDB
TECHNOLOGIES PRIVATE LIMITED).

RESPONSIBILITIES OF IDB TECHNOLOGIES PRIVATE LIMITED UNDER THIS MOU

IDB TECHNOLOGIES PRIVATE LIMITED will receive the business leads from (Name of the party B) and after
the understandings and analyzing’s, the leads will be converted into business by party A after verifying all the
corners. All other terms and conditions will be as per the mutually finalized documents of respective
business/ project.

RESPONSIBILITIES OF (Name of the party B) UNDER THIS MOU

(Name of the party B) will consult and bring IT or any business leads to IDB TECHNOLOGIES PRIVATE LIMITED
and after the understandings and analyzing’s by party A the leads will be converted into business after
verifying all the corners. All other terms and conditions will be as per the mutually finalized documents of
respective business/ project.

CONSULTATION CHARGE

Consultation charges for the leads which is converted into project will be paid by party A (IDB TECHNOLOGIES
PRIVATE LIMITED) to Party B (Name of the party B) for every projects.

EFFECTIVE DATE AND SIGNATURE

This MOU shall be effective upon the signature of Parties A and B authorized officials. It shall be in force from
DD/MM/YYYY to DD/MM/YYYY or can be call off by either party by written statement.
