MOVERS SALES POLICY

Applicable to the Dealers only on Movers
Suspension & Rubber Parts combined.
(1-11-2018 to 31-3-2019)
Wheel Movers India (P) LTD., New Delhi (herein after called THE
COMPANY) will sell its products (suspension and rubber parts)
to the above mentioned dealer (herein after called THE
DEALER) on following terms and conditions.

WHOLESALER DISCOUNT STRUCTURE:

 The company shall offer a wholesaler discount @ 50% on

companies prevailing price list. Another 5% discount is
applicable on minimum single order of `50000/- Net
value, besides this on quarterly target 3% on 3 lacs and
5% of on 5 lacs is also offered to the dealers. The credit
 note will be adjusted in the next quarter. (subject to the
receipt of payment)
 All the Govt. levies, GST and other taxes will be charged
extra.
 The Company reserves the right to revise Wholesaler
discount rate at anytime depending on the marketing
conditions etc. without any notice to the dealers.
However company will update such revisions to the
dealers time to time.

SUPPLIES/DISPATCHES:

 The company shall supply material to the dealers against

confirmed orders.
 The company reserves its right to execute order in full or
in part depending on the availability of material ordered.
Partial execution of the order shall also be acceptable to
the dealer.
 The company shall supply the material to the dealer at the
earliest, depending on the availability of materials and
other logistics.
 All the dispatches of the material will be transported on
‘TO PAY’ basis, as per dealer’s requirement.

PAYMENT TERMS:
 The dealer shall be allowed a credit period of 45 days from
the date of bill or LR whichever is later.
 If the dealer fails to make the payments within the credit
period applicable to him. The company shall be entitled to
charge and recover interest @2% per month along with
the bill amount on the delayed payments from the dealer.
The company shall also be at liberty to stop future supplies
to the dealer, till the dealer clears his full due amount to
the company.
 In order to encourage payment discipline among the
dealers. The company shall offer CASH DISCOUNT (CD) to
the dealers.
 For all payments made within 12 days of bill/LR
(Whichever is later) 2% of basic billed amount.
 For all payments made within 21 days of bill/LR
(Whichever is later) 1.5% of basic billed amount.
The CD will be available on BASIC BILLED AMOUNT (Net of
GST and other Govt. levies/charges) and on making
payment of full gross bill amount (including GST and other
levies/charges. No cash discount will be available on
making partial payment of bill.

MODE OF PAYMENT (NO CASH POLICY):

 The company will accept payment through banking
channels only. The payments have to be made to the company’s
 authorized Bank Account/s only through RTGS/NEFT/Cheque
depositing through any other mode. THE COMPANY WILL NOT BE
RESPONSIBLE OR ENTERTAIN ANY CASH DEALINGS DONE BY ITS
STAFF OR MARKETING COMMISSION AGENT.
 The dishonoring/bouncing of cheques given by the dealer
to the company for clearing his payment obligations, is
considered serious offence. In order to discourage such
practice a levy of charge of Rs 1000/- for the first time
bouncing and Rs. 2000/- for the second time bouncing of
cheque along with 2% per month interest on delayed
payment.

WARRANTY OF COMPANY’S PRODUCTS:

 The Company takes every step to ensure quality of its
products. However the company shall offer a warranty
against any manufacturing defect in the products. The
ascertainment of manufacturing defect shall be approved
by company’s quality team and its decision will be final in
this regard.

DISCREPANCY IN MATERIAL RECIEVED:

 If the dealer finds any discrepancy between the material
actually received and companies invoice t the dealer shall
report to company within 5 working days.
 SECURITY DEPOSIT:

 Dealers shall give 2 blank cheques favoring Wheel Movers

India (P) Ltd from his firm’s running bank account as
security deposit.

JURISDICTION:

 All disputes, if any shall be subject to the sole discretion of

Hon’ble Delhi Courts.
