MEMORANDUM OF UNDERSTANDING

A Contract for an Agreement between BANGSAMORO REGION DEVELOPMENT and SUN

TECHNOLOGIES CO., Ltd. (892-37 , Pureundeulpan-ro, Paltan-myeon, Hwaseong-si, Gyeonggido.

SBK SOLAR ENERGY CORP., JOHARI C. ABU (President – 1.SB Assets Corp.) , MUDJIB C. ABU
(President – Oceanic Group Oil and Gas Corp.) (‘A’) and SUN TECHNOLOGIES CO., Ltd. (‘B’)
conclude the following agreements to promote mutual business and smooth performance.

Article 1 (Purpose) The purpose of this is to provide an organic cooperative relationship for the
administrative work for power supply and power sales, distribution of business profits and remittance of
licensed transmission for the regions’ solar power plant project in Bangsamoro, Philippines.

1. Owner : SBK SOLAR ENERGY CORP.

2. Business Income and expense analysis : Revenue Share of Owner based on Bangsamoro Laws (6:4)

3. Project Area : BANGSAMORO SITE

4. Business Area : About 3,000 has

5. Business Validity : 25 years + can be extended

6. Total Capacity : 12,850MWect

7. Business Unit Construction: 50MWP (about 115,720has, about 350,000 pyung as a standard)

8. Total Project Cost : The project cost shall be procured under the responsibility of ‘B’ and will be
implemented and constructed as soon as possible.

9. The Bangsamoro Region Solar Energy business will give priority to Chairman Seung-Hyung J.

Coordination of all duties including administration related to the above persons ..

We will cooperate with the BANGSOMORO and officials more faithfully through the project with
government officials.
This agreement refers to a Memorandum of Understanding consists of two (2) pages including this page
and shall be effective on the date signed by both parties and may be added, if necessary , with mutual
agreement.
