PARTIAL DISCHARGE OF REAL ESTATE MORTGAGE

KNOW ALL MEN BY THESE PRESENTS:

I, DANIL S. SOYA, Filipino, of legal age, single, with residence and post
office address at #54 Macario Sakay St. Brgy. 1 Calauan, Laguna, having received
PARTIAL PAYMENT in the sum of FIVE HUNDRED THIUSAND Pesos (Php
500,000.00),to me in hand paid by BONG P. LANGAW, of legal age, married to
JULIET H. LANGAW with residence and post-office address at #14 Bagong
daang Masukal, Barangay Dikalayuan, Calauan, Laguna,Ahereby by these presents
PARTIALLY RELEASE and DISCHARGE that certain mortgage of real estate
with all the improvements thereon, covered~by Transfer Certificate of Title No.
648638-123 of the Registry of Deeds
Calauan which real estate mortgage was executed on the 22110' day of Iuly, 2016,
by the
said mortgagor before Notary Public NOEL OBANA, for and in Notarial register
document no. 45, Page no. 3, Book no. 20, series of 2016, and duly registered in
the Registry of Deeds of Alaminos on the 20th of Iuly, 2016 as per Primary Entry
No. 2313, Volume 3 of the Day Book of the said Registry of Deeds, said release
and discharge to apply only in so far as, and with respect only to, that certain
parcel of land particularly described as follows to wit:

One agricultural land with 800 sqm area. Located in Barangay Libliban,
Calauan, Laguna. planted therein are 500 coconut trees, and 200 lanzones
trees and without fences.

Embraced and' covered by TCT No. 648638423 of the Registry of Deeds of


Calauan;
Provided, however, that the said MORTGAGE shall remain in full force-and effect
as
regards each and all the other real property NOT released and discharged herein.

Regional Trial
Court of Calamba city, a replevin suit, entitled Lebron James versus Kevin Love,
Case
no. 78651-23, for the recovery of the possession of a certain personal property
described as follows:

Year: 2014, Engine no.: MX-10-5836874, Chassis no.: MX912MT2341-78,
Color: White, Body Type: Sedan and Plate no. DU 3016

WHEREAS, I have applied in connection with said suit for an order for the
delivery of such personal property;

WHEREAS, as a condition precedent to the issuance of such an order, the


Rules of
Court requires plaintiff to give a bond in favor of the defendant, in double the
actual
value of the property involved in the suit;

WHEREAS, the actual value of the personal property involved in the suit is
ONE
MILLION ONE HUNDRED FIFTY THOUSAND PESOS (Php 1,150,000.00);

WHEREAS, the plaintiff i is the registered owner of a certain parcel of land


together with all the improvements thereon, situated in Brgy. Tala, Rizal, Laguna,
his title
thereto ,being evidenced by Transfer Certificate of Title No. 12A-132315-34 of the
Registry of Deeds Rizal, Laguna;

WHEREAS, the assessed value of the said real property is ONE MILLION

HUNDRED THOUSAND PESOS (Php 1,500,000.00), as per certificate issued by
the
Assessor's Office, hereto attached and made a part of this bond, as Annex “A";
WHEREFORE. I LEBRON JAMES, the plaintiff in the above-mentioned
case, and by
virtueof the foregoing, hereby by these presents execute in favor of said , her heirs
and assigns, a first lien or MORTGAGE on the above-described real
property, with all the improvements thereon, and more particularly described as
follows:

One Agricultural Lot, 4 hectares, located in Brgy. Tala Rizal, Laguna, TCT
no. 12A-132315-34, with 2,000 Coconut trees, 3,000 cocoa trees„1,000
lanzones trees, and with improvements of farm house and shed on the
200 sqm portion, improvements are made of concrete and wood.

The lien or mortgage being obligated for the return to the defendant of the
possession of the personal property involved in said Civil Case no. 78651-23 if the
return thereof be
finally adjudged by the court, and for the payment to said defendant of such sum as
he may finally recover from the plaintiff in the said case.

CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE made and entered by and between: JOY M.


WET, of legal age, Filipino Citizen, married and with residence and postal address
Barangay Madulao, Lucena City, Quezon, herein after referred as the LESSOR;

- And –

MOROMORO INC., a corporation duly organized and existing under the


laws of the
Philippines, represented by FIDEL CASTRO, married, with postal address at #18
Baltazar St. San Pablo City, Laguna, and hereinafter called as the LESSEE.

WITNESSETH;

WHEREAS, the LESSOR is the lawful and legal owner of a commercial


space located at Madulao, Lucena City, Quezon, hereinafter referred to as the
"Leased Space", and which the LESSEE, a company engaged in sales, desires to
lease from the LESSOR and the
LESSOR is willing to lease to the LESSEE;

NOW, THEREFORE, for and in consideration of the foregoing premises


and of mutual covenants stated below, the LESSOR hereby leases unto the
LESSEE the Leased Space, under the following Terms and Conditions:

1. PERIOD. This lease shall be for a period of FOUR (8) YEARS commencing on
April
5 2017, TO May 5, 2022, renewable upon mutual agreement of both parties.
Either party may pre-terminate this Contract by giving the other party a
minimum
thirty [30] days notice.

2. RENT. The LESSEE shall pay the LESSOR a monthly rental of TWENTY
FIVE
THOUSAND PESOS (Php 25,000.00) NET OF TAX payable every other
month.

3. DEPOSIT: ONE (1) MONTH deposit equivalent to TWENTY FIVE


THOUSAND
PESOS (P25,000.00) and Advance Rental Payment equivalent to TWO (2)
MONTHS rental amountíng to FIFTY THOUSAND PESOS (Php50,000.00)
NET OF TAX payable every other month.

4.USE OF LEASED PREMISES. The LESSEE shall use the Leased Space for
legal
commercial purposes. lt may, at its own expense, install machines, equipment,
fixtures, furniture, and utilities necessary for the operations of its business,
including putting up of advertising or notice in, upon, or outside the Leased
Space without need of prior approval from the LESSOR, all of which shall
remain the
property of the LESSEE.

5. WARRANTY. The LESSOR shall warrant to the LESSEE the peaceful


possession of
the leased premises during the term of the lease contract.

6. IMPROVEMENTS. Permanents and improvements or renovations shall need


prior
approval from the LESSOR and shall become part of the Leased Space, those
improvement which are permanent in nature and cannot be removed without
causing damage to the lease shall belong to the LESSOR upon the termination of
this Lease without any obligation to the LESSEE.

7. UTILITIES. Installation expenses and payment for water, electricity


communication and other utilities installed, used or availed in the leased
premises by the LESSEE shall bear all costs and for the account by the LESSEE.

8. MAINTENANCE. The LESSOR will be liable for the maintenance of the leased
premises in case of damage due to wear and tear.

9. PERMITS AND LICENSES. Permits and licenses required for the legal
operations
of the LESSEE's business shall be the responsibility and for the account of the
LESSEE.

10. PROPERTY TAX. Any property taxes on the Leased Space shall be for the
account
of the LESSOR and any increase in the burden of any property tax imposed on
the
property shall in no way be transferred to the LESSEE.

11. INSPECTION ACCESS. The LESSOR or his authorized agent, by previous


arrangement with the LESSEE and during reasonable business hours, shall have
the right to enter the Leased Space to inspect the same or for purpose of repair,
preservation, conservation, improvement, or maintenance thereof.

12. NON-ASSIGNABILITY. The LESSEE shall not assign or transfer its right in
this
Contract nor sublease any part of the Leased Space, without prior written
consent
of the LESSOR.

13. SURRENDER OF PREMISES. The LESSEE shall surrender and vacate the
Leased
Space at the termination or pre-termination of the lease devoid of all the
furniture, fixtures and equipment other than those which, under this Contract,
becomes part of the Leased Space.

14. VENUE. In the event of Court action shall be in the proper courts of the
Province
of Cavite, all other venues being waived.
