WAIVER OF RIGHTS AND INTERESTS

KNOW ALL MEN BY THESE PRESENTS:

This instrument is made and executed by and among:

JINKIE H. MAYBANTING, of legal age, Filipino, married and a resident of Purok 4, Northgate, Brgy. Tibal-og, Sto.
Tomas, Davao del Norte, Philippines, hereinafter referred to as the ASSIGNOR;

- and -

JOEMAR E. TY, likewise of legal age, Filipino, married and a resident of Purok 1-B, Menzi, Brgy. Tibal-og, Sto. Tomas,
Davao del Norte, Philippines, hereinafter referred to as the ASSIGNEE;

W I T N E S S E T H:

WHEREAS, the ASSIGNOR is an Agrarian Reform Beneficiary who is of the registered owner of a certain parcel of land,
specifically identified as Lot No. 51, containing an area of Ten Thousand Two Hundred Twelve (10,212) square meters, more or less,
covered by Transfer Certificate of Title (TCT) No. C-26770, located at the Farm 1, Municipality of Sto. Tomas, Province of Davao del
Norte, Island of Mindanao, Philippines;

WHEREAS, the ASSIGNOR has an existing lease contract with Marsman Estate Plantation, Inc. (MEPI) relative to the
above-mentioned subject property;

WHEREAS, among the privileges given to ASSIGNOR under the lease is his/her entitlement to an employment in the
Marsman Estate Plantation, Inc. (MEPI) for himself or for one (1) replacement who may be from his/her household or his/her
assignee, provided that the he/she conforms with the employment qualifications imposed by the aforementioned company;

NOW, THEREFORE, for and in consideration of the foregoing premises, the ASSIGNOR hereby assigns, unto the herein
ASSIGNEE, his employment privileges with Marsman Estate Plantation, Inc. (MEPI);

ASSIGNOR, likewise, hereby releases Marsman Estate Plantation, Inc. (MEPI) and/or its assignee/s, successors-in-interest,
from any liability and responsibility pertaining to the employment privilege granted unto the ASSIGNEE;

ASSIGNOR, also undertakes to and to which the ASSIGNEE acknowledges that his privilege or employment right is only
extended to him, by any reason of the subsistence of the lease, and should the same be terminated or revoked, this privilege may,
likewise, be terminated, upon the discretion of Marsman Estate Plantation, Inc. (MEPI);

BOTH PARTIES, further agrees to execute any and all documents and to take any and all further actions as Marsman Estate
Plantation, Inc. (MEPI) and/or its assignees and successors-in-interest may reasonably request in order to effectuate fully the
provisions of this instrument;

IN WITNESS WHEREOF, the parties have hereunto set their hands this October 15 2019 at Sto. Tomas, Davao del Norte,
Philippines.
