 ANNEXURE – II : TERMS & CONDITIONS

1. BILLING AND PAYMENT TERMS:

 Bill will be raised on a monthly basis. The payment for bills raised by SWIFTLINE TRANSPORT SOLUTIONS
PVT LTD should be made within 45 days from the date of submission of bills.
 Bills submission would be without POD , Swiftline will produce POD whenever required ( original/scan)
 If the consignee does not accept the material and the same is lying in our SWIFTLINE TRANSPORT
SOLUTIONS PVT LTD godown, the material will be Re-Booked after prior intimation.
 All payments should be made by Account Payee cheques in favor of “SWIFTLINE TRANSPORT SOLUTIONS
PRIVATE LIMITED.”

2. INSURANCE CHARGES:

Consignments will be booked as agreed upon in annexure –I (Rates).

Owner’s Risk: In case of any shortage / damage, SWIFTLINE TRANSPORT SOLUTIONS PVT LTD’s liability will only
be limited to issuance of COF (Certificate of Facts). A proper claim letter along with survey report will be
submitted by the client having complete details of loss or damage along with insurance policy number. However,
the following conditions will be applicable:-
a) No claim will be entertained in case of sealed cartoon box delivery.
b) No claim will be entertained in case there is no remark on POD.
c) SWIFTLINE TRANSPORT SOLUTIONS PVT LTD liability of risk is up to maximum value of Rs.1000.00 in case of
damage.

3. VOLUMETRIC WEIGHT:
The consignments will be booked on Actual Weight or Volumetric Weight, whichever is higher. In case of
voluminous consignments, the volumetric weight will be calculated as per clause no 3 of annexure – (other
charges). The cubic feet will be calculated as per following formula:
a) In Inches : Length X Breadth X Height / 1728
b) In Centimeters : Length X Breadth X Height / 27000

4. GST / TAX LEVIES:

a) GST will be paid by Client

5. TRANSIT:
a) Transit Times are exclusive of Pickup and Delivery Day.
b) The ideal transit time will be met only if the consignments are booked within the cut-of time. Consignments
received after cut-of-time are likely to be connected the next day and all the consignments booked after
cut-of time will be considered as next day's pick-ups.
c) All locations where there are no direct Air services/ Train services their transit time should be 1-2 day extra
and depending on the location, multimodal charges will be applicable.
d) Transit Times are exclusive of Pickup and Delivery Day.
e) The ideal transit time will be met only if the consignments are booked within the cut-of time. Consignments
received after cut-of-time are likely to be connected the next day and all the consignments booked after
cut-of time will be considered as next day's pick-ups.

 f) All locations where there are no direct Air services/ Train services their transit time should be 1-2 day extra
and depending on the location, multimodal charges will be applicable.
g) That every efort is made by SWIFTLINE TRANSPORT SOLUTIONS PVT LTD to strictly adhere to the transit
time/ schedule, but it does not accept any liability for any delay due to riots, civil commotion, strikes,
bandh, disturbed conditions, accidents, detention of vehicles at check-posts or for any other reason or
reasons beyond the control of SWIFTLINE TRANSPORT SOLUTIONS. SWIFTLINE TRANSPORT SOLUTIONS
PVT LTD also does not accept any responsibility / liability for any consequential losses sufered due to
delayed delivery.
h) Once the consignment is delivered, the re-booking/re-routing of Consignment(s) is not the responsibility of
SWIFTLINE TRANSPORT SOLUTIONS. Wherever possible, the Company would extend all possible help and
assistance to help the Customers call back or re-route the Consignment(s), but without incurring any
responsibility/liability. In case of interchange of material SWIFTLINE TRANSPORT SOLUTIONS PVT. LTD will
deliver the shipment on FOC.

6. DELIVERY ASSURANCE:
All shipments carry an "Assured date of delivery". The assurance is subject to the following:

a) Proper & complete documentation by the parties is compulsorily required along with accurate details of the
consignor, consignee’s names, telephone addresses, fax- -nos., email-Ids, as specified in terms of required
forms, permits, way bills, etc. as per the statutory requirements.
b) Electronic Items, Heavy Items, which cannot be scanned, will undergo cooling for 24 hours and hence one
day extra will be added to the Transit Schedule. This is applicable to only those shipment booked on By Air
mode.
c) Delivery Assurance will not be applicable in case of accidents, Act of God, force majeure, floods, strikes,
political bandh, acts of enemies of State and events beyond control of SWIFTLINE TRANSPORT SOLUTIONS
PVT LTD
d) The Delivery of shipment would be made on payment of Freight Charges in case of "TOPAY”. In case of
Demand Draft on Delivery (DOD), shipment would be delivered only on receipt of the DOD amount as
specified by the consignor.
e) SWIFTLINE TRANSPORT SOLUTIONS PVT LTD shall not be made responsible/liable in case of any deficiency in
the documents/statutory requirements and no claim or grievance of any nature shall be entertained, if the
same is arising out of the reasons mentioned herein above.
f) Date of first delivery attempt is considered as deemed delivery date.
g) Transit time will be one day extra during monsoon (JUL-SEP) due to rain throughout the country & in winters
(DEC-FEB) due to fog in northern locations.

7. FREIGHT ESCALATION CLAUSE:

In event of any hike in input costs like Diesel during the contract period( Considering the given Rates as Base Rate),
SWIFTLINE TRANSPORT SOLUTIONS PVT LTD shall have the right to revise the rates as mentioned below:

Increase/Decrease Rs.5 hike in diesel price: Increase/Decrease 1 % increase in freight charges

8. STATUTORY LEVIES:
a) That all Government levies including Octroi, Entry Tax etc., are the direct responsibility of the Customer(s),
their vendors/consignees. The Octroi and other incidental charges paid by SWIFTLINE TRANSPORT
SOLUTIONS PVT LTD at destination stations have to be paid at the time of delivery.
b) That the Consignment(s) carried by SWIFTLINE TRANSPORT SOLUTIONS PVT LTD stand(s) cleared by the
Custom/Excise/Sales Tax authorities and its confiscation for lapses on these accounts or for non-compliance
of the statutory requirements, would be the responsibility/ liability of the customers.
c) Any form, CST No. , TIN No., Regn No. , if required, for movement of cargo in any state, will be liability of
consignee and consignor.
d) Handling, loading / unloading charges for diferent states wherever unions are there, will be paid by
consignee.

9. OPEN DELIVERY:
All Consignment(s) is accepted on 'SAID TO CONTAIN' basis and the contents are neither shown nor verified.
If the consignment is received in intact condition, open delivery would not be executed.

10. JURISDICTION:
In case of any dispute/ issue arising out of the contract or proposal by and between parties shall be subject to the
exclusive jurisdiction of the courts situated at Delhi only.

11. VALIDITY PERIOD:

This agreement is valid for a period of 1 year from the date of signing

12. SCOPE OF CONTRACT:

The terms and conditions of the docket (Consignment Note) shall be treated as part and parcel of this contract.

13. TERMINATION:
a) The parties to this contract may terminate this contract by giving one-month prior notice in writing of its
intention to do so, to each other.

b) However, it is made abundantly clear the parties will settle all dues payable to SWIFTLINE TRANSPORT
SOLUTIONS PVT LTD immediately on receipt of the notice of termination and prior to cessation of the contract
without fail.

For SWIFTLINE TRANSPORT SOLUTIONS PVT LTD we accept rates, other charges & all the above
Terms and conditions
