DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This conditional deed of sale entered into this 20th day of October 2019, in the City of
Balanga, Bataan, by and between:

AIRON MARWYN P. BENDAÑA, a Filipino, single, and legal age, and resident of 162
Cataning, Hermosa, Bataan, hereinafter referred to as VENDOR.

CARDO D. DALISAY, married to ALYANA C. SANTOS, both of legal age, Filipino, and
resident 322 Mabuco, Hermosa, Bataan hereinafter referred to as VENDEE.

WITNESSETH

That, the VENDOR do hereby sell, convey, and transfer in a manner absolute and
irrevocable unto said VENDEE, his heirs and assigns, for and in consideration of
3,800,000.00 (P) Philippine Currency, the property, including improvements therein,
situated in 499 Mandama, Hermosa, Bataan and more particularly described as follows:

Transfer Certificate of Title No.

containing an area of (3,000) Square Meters, more or less.

That the VENDOR hereby sells to the VENDEE who agreed to buy the above-described
lands under the following terms and conditions to wit:
That the total consideration of the sale is THREE MILLION EIGHT HUNDRED
THOUSAND PESOS ( P3,800,000.00);

2. That upon signing of this contract the VENDEE shall pay the VENDOR a
down payment of SEVEN HUNDRED THOUSAND PESOS (P700,000.00); that the
remaining balance shall be paid in full upon transfer of the title and tax declaration in
the name of the VENDEE;

3. That the VENDOR shall give the VENDEE absolute and complete control
and possession of the subject property thereon upon the receipt first payment;

4. That the VENDOR, reserves his right of ownership over the subject land until
full payment of the consideration;

5. Further, that in the event that the VENDOR should fail or deliberately refuse
to comply with his obligation, the VENDEE shall be reimbursed of the amount of the
purchase price paid, cost of improvements as well as beneficial interests and other
damages that the VENDEE may suffer;

6. And Finally, VENDEE shall pay for the capital gains tax, documentary stamp
tax, and cost registration.

BEFORE ME, this 20th day of October 2019 in the City of Balanga, Bataan
personally appeared name., and name, whose community tax certificate nos. 1229
and TIN described below their names, respectively, known to me and to me known to
be the same persons who executed the foregoing Conditional Deed of Sale, and he
acknowledge to me that the same is his free act and deed.

This document consisting of three (3) pages, including the page on which this
acknowledgement is written, has been signed on the left margin of each and every
page thereof by the parties and their witnesses and sealed with my notaries seal.
