MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT is made and executed by and between:

SPS. CHRISTIAN ALAMIGO LIMA and

JESSERIE MALIC LIMA, both of legal ages,
Filipinos, and residents of Laguinbanwa West,
Numancia, Aklan, herein referred to as the “FIRST
PARTY”;

-And-

CALVIN KLEIN CASTRO REPAYO, of legal

age, Filipino, and a resident of Kalibo, Aklan, herein
referred to as the “SECOND PARTY”.

WHEREAS, the FIRST PARTY are the owners of a commercial building

called BARRAKKA CAFÉ FOOD PARK located at Roxas Avenue, Poblacion,
Kalibo, Aklan. The SECOND PARTY on the other hand is the owner of a food
stall called DECADES TUNA;

WHEREAS, the FIRST PARTY allows the SECOND PARTY to occupy

portion of the second floor of their building for the latter’s business operation
under the following terms and conditions:

1. The SECOND PARTY shall pay daily an amount of TWO HUNDRED

PESOS (P200.00) to the FIRST PARTY as share in the maintenance
costs of the building and rentals to the landowner;

2. The FIRST PARTY shall have the exclusive right to sell liquors or other
such alcoholic beverages within the Cafe. The SECOND PARTY jointly
with the other concessionaires in the second floor of the Cafe shall be
entitled to a Five (5) peso per bottle share from the FIRST PARTY’s
sales from beer;

3. SECOND PARTY shall be prohibited from selling products which are

already being sold by other concessionaires in the Cafe. Introduction of
new products for sale shall be subject to prior approval by FIRST
PARTY;

4. Utility bills, which include electricity, water, cable and internet, shall be
borne by the SECOND PARTY jointly with other concessionaires. Costs
for customer, entertainment such as acoustic singers, shall likewise be
shouldered by the SECOND PARTY in the same manner;

5. The FIRST PARTY shall have control and supervision over the
appointment of entertainment providers in the Cafe;
 WHEREAS, this contract shall be effective until December 2018. Either of
the parties may pre-terminate the agreement at any time, provided there was a prior
notice of at least 30 days.

IN WITNESS WHEREOF, we have hereunto set our hands on this
