2. That at a duly convened meeting of the Board of Directors of the

Company held last Feb 5, 2018 at Mandaue City, the following resolutions were
unanimously approved:

“WHEREAS, there is need for Mandawood Plywood

Center Inc. to secure a business permit in Carcar City.

“NOW, THEREFORE, be it resolved, as it is hereby

resolved, that, the Board of Directors of the Company
authorizes Dexter Sipio Hermoso, whose signature appears
below, to be the representative of Mandawood Plywood Center
Inc. with full authority to process and secure all the necessary
requirements for the business permit.

3. That the foregoing is a true and correct copy of the resolution

appearing in the minutes of the Company and is, as of this date, has not been
revoked, amended, or modified, and remain valid, binding and in full force and
effect on the Company.
