LEAVE & LICENCE AGREEMENT

THIS LEAVE AND LICENCE AGREEMENT made at Vadodara on this 01 st day of October 2019

MR. MUNAWAR FAKHRUDDIN GARBADAWALA, Aged: Adult, Residing at: Fategunj, Vadodara
(hereinafter referred to as the Licensor, which expression shall be deemed to mean and include his legal
heirs, executors, administrators) of the .

(hereinafter referred to as the 'Licensees', which expression shall be deemed to mean and include their
legal heirs, executors, administrators) of the SECOND PART.

WHEREAS:

The Licensor is the absolute owner of the premise, being situated at 301 , Vasant Enclave, Opp. Lady of
Pillar Hospital, Bh. Fategunj Petrol Pump, Fategunj, Vadodara, admeasuring 300 Sq. Fts of Super
Buildup Area, comprising of 2 Bedroom, Hall and Kitchen. The Licensor is seized and possessed of and
is well and sufficiently entitled to the said property.

The Licensees has approached the Licensor and requested him to give the said premises for use and
occupation by them on leave and license basis for a period of Eleven Months, which the Licensor has
agreed to do and for the monthly compensation and on the terms and conditions hereinafter
mentioned.

The parties are desirous of recording the said terms and conditions in the manner hereinafter referred.

NOW, THEREFORE, THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY AND BETWEEN THE
PARTIES HERETO AS UNDER:

1. The Licensor hereby grant to the Licensees and the Licensees hereby accept from the Licensor, the
License to use and occupy the aforesaid licensed premise together with all the facilities attached to the
said premise.

2. The license fee/compensation for the use and occupation of the said Licensed property shall be Rs.
13,500/- (Rupees Thirteen Thousand Five Hundred Only) per month inclusive of all Taxes. The said
monthly license fees/compensation shall be payable in advance on or before 10th day of each English
Calendar month.

3. That in order to ensure the due compliance of the terms and conditions agreed by this Agreement,
the Licensees has given an Interest Free Security Deposit Rs. 27,000/- (Rupees Twenty-Seven Thousand
Only) as at the time of executing previous Lease Agreement. The Licensor shall return the said Deposit
amount on and after deducting the cost of damage caused if any, and/or any adjustments to be made
against non-payment of monthly License fee, and/or for any outstanding Electricity Charges of the
licensed premises.

4. The period of the license shall be for a term of Eleven Months commencing from 01s1 day of
September, 201 9 and expiring on 3161 day of July 2020. On expiry of the said term of (Eleven Months)
the Licensor shall have the option to renew the license for the further term as agreed subject to

increment of 10% of the present monthly license fee. This will not, however, gives right to any one party
to get an automatic extension.

5. In addition to payment of the Compensation as herein above, the Licensees shall pay the charges for
Electricity consumed as per the readings of the Sub-Meter provided in the licensed premises.

6. The Licensor shall pay all existing as also all future charges, taxes and out goings, being the Taxes,
Gess, dues, duties, impositions and levies, by whatever name called, imposed by the appropriate
authorities, in respect of the licensed premises, and the same shall not be recoverable from the
Licensees. However, that the Licensees shall have to pay the common maintenance charges as levied
upon by the association/society.

7. The Licensed Premises shall be used by the Licensees for the Residential purpose and occupation only
and for no other purpose whatsoever. The Licensees shall not have any right whatsoever to transfer the
Licensed Premises in part or full to anyone/any other party in any manner. The Licensees shall not let,
sub-let, or part with possession of the licensed premises in part or full to any other person/party.

8. The Licensees shall not do or suffer to be done anything therein, which is or is likely to be a nuisance
or annoyance to other neighbours or to prejudice the rights of the Licensor as the owner of the Licensed
Premises in or any part or portion of the Licensed Premises.

9. The Licensees or their guests/relatives/family shall not carry on any illegal, unlawful or prohibited
activities in or upon the Licensed Premises. The Licensor shall not be liable for the consequences of any
such activities carried on by the Licensees or his employees and guests/clients.

10. The Licensees shall have no right to make any temporary or permanent changes or alterations in the
structure of the subject premise. The Licensees shall not do any act which shall cause damage in
whatsoever manner to the walls, windows, partitioned walls and/or to the ceiling of the subject
premise. That the Licensees further undertakes and Indemnifies to keep the subject premise in given
good condition and that if the Licensees fails to do so, the Licensor shall have all the rights to
recover/adjust the amount as he deems appropriate to reinstate in such good given condition.

11. It is agreed and declared between the parties hereto that the license for the use of the Licensed
Premises hereby granted to the Licensees is not transferable and that the Licensees shall not transfer
their rights under this agreement to any other person(s).

12. It is expressly agreed by and between the parties hereto that notwithstanding anything contained
herein, the parties hereto i.e. Licensor and Licensees shall have an option to terminate this agreement
by giving 1 (One) month previous notice, in writing, to the other party and this agreement will
accordingly stand terminated on the expiry of the said period of notice. The Licensees shall then hand
over peaceful and vacant possession of the said premises to the Licensor.

13. Nothing herein contained shall construe as creating any right of easement, tenancy or sub-tenancy in
favour of the Licensees in, over or upon the Licensed Premises other than the permissive right of use
hereby granted or as entitling him the possession of the Licensed Premises. The actual juridical
possession of the Licensed Premises shall at all times remain with the Licensor.

14. It is the express intention of the parties hereto that this agreement shall be a mere license and the
use and occupation thereof by the Licensees, being restricted for the purpose of using the Licensed
Premises on the terms and conditions contained in this license.

15. The Licensor and the Licensor's authorized representatives shall have full liberty to inspect the
Licensed Premises at a reasonable hour, and shall be entitled to enter upon the Licensed Promises and
to view the condition thereof and/or affect any repairs as he may require to do, pursuant to this
agreement.

16. In the event of there being any dispute or difference between the parties hereto, or any person
claiming by or under them as to any clause or provisions of this agreement, or as to the Interpretation
thereof or ae to the rights, liabilities, acts or omissions of any party hereto arising from or relating to the
agreement or on termination, such dispute or difference shall be referred to Court of Vadodara.

17. The original copy of this agreement shall be retained by the Licensor. IN WITNESS WHEREOF, the
parties hereto have signed and delivered by the within named.
