ABS-CBN Corporation is the biggest media conglomerate in the Philippines, dominating three main

platforms: television, radio, and online media.

ABS-CBN traces its beginnings to the merger of two broadcast networks after World War II: Alto
Broadcasting System and Chronicle Broadcasting Network.

ABS was owned by then president Elpidio Quirino’s younger brother Antonio, who bought into Bolinao
Electronics Corporation, a company owned by Jewish-American businessman James Lindberg that
assembled radio-transmitting equipment. Lindenberg applied for and got the very first television
franchise in the Philippines, and, on October 23, 1953, ABS aired the first full-blown TV broadcast in the
country as DZAQ-TV.

CBN, on the other hand, stands for Chronicle Broadcasting Network and was owned by Eugenio Lopez Sr.
of the Lopez family that also owned the broadsheet Manila Chronicle.

Lopez bought ABS from the Quirinos on February 24, 1957. ABS-CBN came into existence, and was the
first Philippine network to broadcast in color.

Lopez was the elder brother of Fernando Lopez who served as Elpidio Quirino’s vice president from 1949
to 1953 and Ferdinand Marcos’ vice-president until 1972, when Marcos declared martial law and took
control of all media, including ABS-CBN and the Manila Chronicle which then ceased operations.

ABS-CBN resumed commercial operations after the People Power Revolution in 1986 when then
President Corazon Aquino, through an executive order, gave the Lopezes back the businesses that
Marcos seized from them 14 years earlier, including ABS-CBN and other companies.

On March 1, 1987, Channel 2 was relaunched as “The Star Network” and has since then produced
content that appeals to the Filipino viewing public.

Today, ABS-CBN Corporation has P38.278 billion ($817 million) declared revenue as of December 31,
2015 with the bulk of its income coming from its broadcast operations followed by its cable and satellite
operations. It has presence on TV via ABS-CBN 2, sports station Sports+Action, and regional channels. On
radio, there is DZMM on the AM band and 101.9 on the FM band, while online platform is abs.cbn.com.
The company continues to produce printed material with ABS-CBN Publishing Incorporated, a magazine
and book publisher.ABS-CBN forms a duopoly in the Philippine media landscape together with its closest
competitor, GMA Network Incorporated, with the two giants capturing 80.72 percent of the television
audience in the Philippines.

1953- After setting up a transmitter tower in San Juan and importing 300 TV sets, Alto Broadcasting
System (ABS) on October 23 airs a party that ABS co-owner Tony Quirino hosts at his home in Sitio Alto,
San Juan.

Quirino buys into Bolinao Electronics, the five-year-old firm of James Lindenberg which supplies radio
equipment to Filipino broadcasters. Bolinao Electronics was then renamed Alto,Broadcasting System
after Tony Quirino and his wife Aleli.

1957- Eugenio H. Lopez Sr., owner of Chronicle Broadcasting Network (CBN), acquires Alto Broadcasting
System (ABS) on February 24.

1961- On June 14, Eugenio “Geny” Lopez Jr. realizes his dream of “bridges on the air” with the initial
telecast of DYCB-TV Channel 3 Cebu.

1966- ELJ forges an agreement between Radio Corporation of America and ABS-CBN/Bolinao for the
establishment of its first color TV broadcast in the Philippines.

1967- Broadcasts Philippine TV’s first marathon election coverage on November 14.

“Halalan ‘67” airs poll results and updates for 36 hours straight.

1968- Begins to use live satellite transmissions from abroad, with events like the funeral of Robert
Kennedy in June and the US presidential elections.

Inaugurates its new Broadcast Center on Bohol Avenue on December 18.

1969- Delivers its “Man on the Moon” coverage, the country’s first telecast of an event via satellite; the
network airs live satellite feeds and news updates.

1970- Increases its color programming to eight hours a week. Until mid-1970, it is the only TV network
broadcasting in color.

1972- ABS-CBN and its affiliate stations are seized and its owners forcibly ejected after the country is
placed under martial law.

1986- On September 16, ABS-CBN resumes broadcasting.

1987- Relaunched as “The Star Network,” the network leaps from cellar dweller to No. 1 in less than six
months.

1988- Starts to broadcast via domestic satellite system.

1991- The Talent Center is established to develop a stable of new stars for the network.

1992- Regional stations begin producing programs for the local audience.

1993- Star Cinema debuts with “Adan Ronquillo.”


1994- Eugenio Lopez III is named ABS-CBN president, while Eugenio Lopez Jr. becomes chairman. The
Filipino Channel (TFC) is launched in April.

1996- In May, ABS-CBN launches the Sarimanok News Network, later renamed ABS-CBN News Channel
(ANC).

1997- Eugenio Lopez III takes the reins to become ABS-CBN chairman and CEO.

ABS-CBN Foundation Inc. puts up Bantay Bata 163, which makes a significant contribution in the efforts
to stop child abuse.

1998- Reaches 97% of the country’s TV households and 88% of the land area.

1999- Reaches 93% of TV households via a network of 35 TV stations and 2,000 affiliates. Embarks on
digitalization.

2002- In June, the ABS-CBN International division spins off into a wholly owned subsidiary as ABS-CBN
Global Limited. Ends the year with a 42.7% audience share nationwide, making it the country’s No. 1
network.

2007- Launches the DZMM TeleRadyo cable TV channel, merging the radio and television media.

2008- Charo Santos-Concio becomes the company’s fifth president. Goes tapeless in its TV production in
and out of the studios.

2009- Through Boto Mo, I-Patrol Mo, the world learns about the Maguindanao/Ampatuan massacre. It
was a Boto Patroller who first sent a picture from the crime scene to ABS-CBN. ANC is the first to break
the news. The “Bro, Ikaw ang Star ng Pasko” Christmas station ID becomes a household sensation.

2010- Generates unprecedented profits of P3.2 billion, almost double the net income recorded in 2009.
Changes its corporate name to ABS-CBN Corporation, dropping “Broadcasting” in response to the
changes in the media landscape.

Pioneers the use of the broadcast technology augmented reality, which combines computer-generated
imagery with live video in real time, in its “Halalan 2010” coverage.

The 10.10.10. Run for the Pasig River breaks the world record for the most participants in a footrace
with 116,086 runners.

2011- Launches the Choose Philippines travel website through the resources of the ABS-CBN Regional
Network Group.

Announces that it is set to build state-of-the-art soundstages and backlots that will enable the Kapamilya
network to meet its expansion plans and its growing needs to serve the viewing public.
DZMM marks its 25th anniversary with the yearlong “SilveRadyo” campaign.

2012- Launches the Jeepney TV archive channel on SKY, and the iWantv service and TFC.tv

Sky Cable Corporation acquires Destiny Cable, strengthening its hold as the number one cable TV service
provide in the Philippines.

Lopez Holdings Corporation (LPZ), formerly Benpres Holdings Corporation, was incorporated in 1993 by

1. LOPEZ Holdings Corp. (LHC) has 4,600,798,964 outstanding common shares of which Lopez Inc. owns
2,430,603,242 common shares, or 52.83 percent. PCD Nominee holds 1,344,728,822 common shares, or
29.228 percent, for Filipinos and 612,217,388 common shares, or 13.31 percent, for foreigners.

López Holdings Corporation (formerly Benpres Holdings Corporation) is a Filipino conglomerate


founded by the brothers Eugenio López, Sr. and Fernando López, Sr.. It has substantial holdings in the
public service and utilities sector in the Philippines and serves as the López family's publicly listed
holding company for investments in major development sectors such as broadcasting and cable;

2. FIRST Philippine Holdings Corp. (FPHC) reported in a filing 553,943,031 outstanding common shares
and 3.6 billion outstanding preferred shares. As of March 15, its ownership profile showed Filipinos and
non-Filipinos owned 484,359,297 common shares, or 87.44 percent, and 69,583,734 common shares, or
12.56 percent.

The same filing as of March 15 listed Lopez Holdings as FPHC’s largest Filipino stockholders with
257,505,381 common shares, or 46.49 percent while PCD Nominee Corp. held 164,134,184 common
shares, or 29.6246 percent, for “various” Filipinos and 67,414,883 common shares, or 12.1677 percent,
for non-Filipinos.

First Philippine Holdings Corporation (FPH) was incorporated and registered with the Securities and
Exchange Commission on June 30, 1961. The Company's principal activities consist of investments in
real and personal properties including, but not limited to, shares of stocks, notes, securities and
entities in the power generation, real estate development, manufacturing and construction, financing
and other service industries.
FPH's operating businesses are organized and managed separately according to the nature of the

shares, or 5.59 percent, for foreigners.

FPHC also owns all of FGen’s voting preferred shares totaling 1,468,553,892 while limiting the Filipino
public investor to the ownership of 61.654 million non-voting preferred shares, or 31.24 percent. In a
footnote to this ownership profile, FGen said 61.654 million non-voting preferred shares are “inclusive
of 16,754,930 shares of FPH.”

FGen has a total of 5,129,497,449 outstanding voting shares divided into 3,660,943,557 common shares
and 1,468,553,892 voting preferred shares. Of the total, First Holdings controls 3,893,544,051 voting
shares, or 75.905 percent.

First Gen was incorporated on December 22, 1998 as a subsidiary of First Philippine Holdings
Corporation (FPH), one of the oldest and largest conglomerates in the Philippines, that has interests in
power generation, power distribution, infrastructure, manufacturing, and property development.

4. ENERGY Development Corp. has authorized capital stock of 27 billion common shares with P1 par
value; 15 billion voting preferred shares with P0.01 par value, and 300 million non-voting preferred
shares with P10 par value. Of this capital stock, 18.745 billion common shares, and 9.375 billion voting
preferred shares are outstanding.

6. Rockwell Land Corp.’s outstanding capital stock of 8,866,762,198 voting shares are divided into
6,116,762,198 common shares with P1 par value and 2.75 billion voting preferred shares. Of this voting
stock, FPHC holds 5,296,015,375 common shares, or 59.73 percent, and 2.75 billion voting preferred
shares, or 100 percent. PCD Nominee holds 563,361,512 common shares, or 9.21 percent, for Filipinos,
and 91,613,870 common shares, or 1.49 percent, for foreigners.

Of Rockwell’s 8,866,762,198 voting shares, FPHC holds 8,046,015,375 shares, or 90.744 percent. In its
public ownership report, Rockwell listed FPHC as owner of 5,296,015,375 common shares, or 86.58
percent, leaving the public with 782,184,818 common shares, or 12.79 percent. Company insiders hold
38,562,005 common shares, or 0.63 percent. (Note. When added, the percentages exceed 100 percent
because of rounding of numbers.

preferred shares for total voting stock of 1,872,123,642 shares. Of the common shares, Lopez Inc. and
ABS-CBN Holdings Corp. hold 480,933,747 shares, or 55.15 percent of common and 25.6 percent of total
voting shares while 373,017,369 common shares, or 42.77 percent of common shares and 19.92 percent
of total voting shares. The former also holds 987,130,246 preferred shares, or 98.73 percent.

In an ownership filing, PCD Nominee, according to ABS-CBN, holds 373,017,369 common shares, which
“represent shares covered by Philippine Deposit Receipts issued by ABS-CBN Holdings.”

Lopez Inc. Oscar M. Lopez, Manuel M. Lopez, Presentacion L. Psinakis, and Eugenio Lopez 3rd own 40
shares each, or 10 percent each.

ABS-CBN Holdings Corporation was incorporated in the Philippines on March 30, 1999 as Worldtech
Holdings Corporation, for the primary purpose of investing, purchasing and holding real and personal
properties, including but not limited to, shares of stock, bonds, debentures, notes, evidences of
indebtedness or other securities or obligations. On September 16, 1999, the Securities and Exchange
Commission approved the change in the Company’s corporate name to ABS-CBN Holdings Corporation
(the Company).
The Company has not conducted any business other than in connection with the issuance of PDRs, the
performance of obligations under the PDRs and the acquisition and holding of shares of ABS-CBN
Broadcasting Corporation (ABS-CBN) in respect of PDRs issued.
