TALENT MANAGEMENT AGREEMENT

KNOWN TO ALL MEN BY THESE PRESENTS:

This Talent Management Agreementis made and entered into on this

1ST day of OCTOBER 2019 by and between:

MaxLevel Entertainment a company duly organized and existing under

the laws of the Philippines with principal office address at 0198
Servando Santos St., Sta. Barbara, Baliwag, Bulacan, Philippines
herein referred to as “Agency”

and

[TALENT NAME]of legal age, with residence address at [SPECIFY

ADDRESS] herein referred to as the “Talent”

WHEREAS, the AGENCY is in the business of handling TALENTS for

various projects including, but not limited to, internet, print, and personal
promotions, such as Youtube, Facebook, Twitter, Instagram, Tournaments,
Shoutcasting, Hosting, and other media and promotional platforms.
WHEREAS, the TALENT willingly agrees to become a talent for the
AGENCY and the AGENCY having exclusive rights to the talent and its
performance to GAMING, ESPORTS, EVENT HOSTING, and
SHOUTCASTING.
NOW, THEREFORE for and in consideration of the foregoing premises, the
AGENCY and TALENT hereby willingly, voluntarily, and unconditionally
agree to the following:

1.) SCOPE OF SERVICES

The TALENT hereby consents to the use of his/her name, voice, image,
likeness, and any and all attributes of his/her personality, in connection
with any video, print media, or broadcast and other relevant media
format produced by the AGENCY.
2.) TERMS OF AGREEMENT

The TALENT hereby engages the AGENCY as his/her SOLE Talent

Agency for a period of one (1) year commencing on October 1, 2019
and ending on October 1, 2020.

3.) DUTIES OF PARTIES

DUTY OF AGENCY

a.) The AGENCY’s duty herein stated shall be to exert reasonable

effort to procure for and negotiate for the Talent his/her engagement
or services through various projects such as but not limited to:
Video-Game Streaming and Promotion, Brand Endorsements,
Esports Tournaments Guesting, and Shoutcasting. The AGENCY
may provide guidance and support pertaining to the Talent’s Career
development and advancement.

b.) The AGENCY under no circumstance shall oblige the TALENT to

enter into any engagement or project acquired by the AGENCY
without the approval of the TALENT.

DUTY OF TALENT
The TALENT shall perform according to the rules and guidelines of the
agreed upon project or engagement acquired for him/her by the
AGENCY.

4.) COMPENSATION

The TALENT agrees to remit to the AGENCY an amount equal to 30%

of the gross compensation from any form of revenue that is acquired
through and by the AGENCY.

Earnings/Compensation from engagement to Facebook Gaming

through the AGENCY partner shall be reduced to 10% of the gross
compensation, to which the TALENT shall be required to remit to the
AGENCY.

Earnings/Compensation from the services/engagement made by the

TALENT shall be paid by the Agency within five (5) business days.
 CLIENT DEFAULT. In the event that MaxLevel’s client defaults
payment, Talent hereby frees MaxLevel from any liability as the
payment capability of its clients are out of its control beyond its
diligence of collection and investigation for clients payment capacity
and legitimacy.

5.) EXCLUSIVITY

The TALENT ensures to the AGENCY that the TALENT is free to

enter to this AGREEMENT without conflict from other agreements and
that the TALENT shall not enter in any contract that will conflict or
interfere with the TALENT’s obligations to the AGENCY under this
AGREEMENT.

6.) NON-COMPETE
The TALENT hereby agrees not to engage any client of MaxLevel
directly without its consent for a period of one (1) year from the date
this agreement is signed.
7.) NON-DISCLOSURE
This agreement shall remain CONFIDENTIAL between TALENT and
AGENCY. As well as other forms of information such as but not
limited to group chats, group posts, private messages, and other forms
of communication related to this agreement and any project or
engagement between TALENT and AGENCY.

8.) TERMINATION
OPTION OF ANY/BOTH PARTIES
Notice of intention of either party to terminate this agreement must be
given in writing or via e-mail.
MORAL BASIS. If at any time during the term of this agreement, the
TALENT is involved in any situation of public scandal or any activity
that directly damages the TALENT and/or AGENCY’s reputation, the
AGENCY shall have the right to terminate this agreement and to take
appropriate action that is deemed appropriate.
This AGREEMENT shall be automatically renewed for the same
period of time unless either of the party agrees for a change in contract
duration.

BREACH OF CONTRACT
In addition to any and all other rights a party has available according to
Philippine law, if a party defaults by failing to comply with any
 provision or condition contained herein this agreement (including the
failure to make a monetary payment when it is due)

9.) VENUE OF JUDICIAL COURT

The proper legal action related to this agreement or other related

documents shall be held in the Courts of Quezon City to the exclusion
of all other courts.

10.) NON DISPARAGEMENT

Throughout the effectivity of this Agreement and five (5) years

thereafter, the TALENT shall not defame or disparage the AGENCY
and its talents, officers, services, directors and other interests.

11.) INDEMNITY
The TALENT hereby warrants that he/she is over the age of eighteen
(18), and has the right to enter a contract in his/her own name and
affirms that the authorizations and rights granted herein do not conflict
or violate the rights of any third party or organization.
Should any provision of this Agreement be void or unenforceable for
any reason, such provision shall be deemed omitted and this
AGREEMENT, with such provision omitted, shall remain in full force
and effect.

the acknowledgement clause is written and signed by the parties and their
instrumental witness on each and every page hereof, sealed with my notarial
seal, pertains to the foregoing Consultancy Agreement.
