MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and entered into by and between:

TANDY E. VILLARIN, Filipino, of legal age, married, residing at Phase 5 Block

1 Lot 4, Aldea del Sol, Bankal, Lapu-Lapu City, Cebu, herein referred to as the Lot
Owner at __________________________________________________;

- and –

Adolfo Dequillo and Teresita Dequillo, both of legal ages, Filipino, residing
at ______________________________, herein referred to as the Caretakers;

WITNESSETH, that:

WHEREAS, Tandy Villarin is the owner of a unit/lot at

_____________________________________________ and of tools for rent
which he left to the Caretakers to manage. (See separate agreement appended hereto);

WHEREAS, the Caretakers also desire and wish to build their own house on the
above-mentioned lot and the lot owner consents and agrees thereto;

NOW THEREFORE, in consideration of the mutual promises and covenants

herein contained and intending to be legally bound hereby, the Lot Owner and
Caretakers agree as follows:

Section 1. Period

The caretakers shall be allowed to build their own house and live there free of
rent for a period of two years, extendible for another year by agreement and/or consent
and approval of the lot Owner;

Section2. Breach of Contract/Agreement

Should the Caretakers breach the trust and confidence repost in them by the Lot
Owner, the latter shall have the right to evict the former without payment of indemnity
or refund for the expenses of the house built without prejudice to the civil and criminal
charges that may be filed against them.

ACKNOWLEDGMENT

BEFORE ME, this _____ day of May 2019, in the City of Cebu, Philippines,
personally appeared the parties to this instrument identified through Competent
Evidence of Identity indicated above as defined by the 2004 Rules on Notarial Practice,
known to me to be the same persons who voluntarily executed and signed for the
purpose stated in the foregoing instrument and acknowledged to me that the same is
his/her/their free and voluntary act and deed, and if the party/ies herein act(s) in a
particular representative capacity, he/she/they has/have the authority to sign in that
capacity.

This instrument, refers to a MEMORANDUM OF AGREEMENT consisting of two

pages, including the page on which this acknowledgment is written, has been signed on
the left margin of each and every page thereof by the parties and their witnesses, and
sealed with my notarial seal.
