DEED OF PARTNERSHIP

This Deed of Partnership is made on this the......... the day of...............,Two Thousand and
Eighteen of the Christian era.

BETWEEN
Sk. Atiqur Rahamn, son of Late Sk. Mahbubur Rahman, adult, of Village & P.O- Noagaon,
Upazila & P.S- Sarail, District- Brahmanbaira, Bangladesh, which expression shall mean and
include His Heirs, Successor-in- Interest, Legal Reprentatives, Administrators , Assignees etc.,
hereinafter referred to/called

AND
Sk. Noman Miah, son of Later Sk. Molai Miah, adult, of Village & P.O- Noagaon, Upazila &
P.S- Sarail, District- Brahmanbaira, Bangladesh, which expression shall mean and include His
Heirs, Successor-in- Interest, Legal Reprentatives, Administrators , Assignees etc., hereinafter
referred to/called ...............................................................................................................................the
Second Party.
Whereas the First Party and the Second Party are desirous to form a Partnership Firm under
the name and style of “............................................................’’ for doing the following
businesses or any one of them:-
a) Cow Fattening Project.
b) Milking Cow Project.
c) Goat and Sheep Rearing Project.
d) Fisheries Projects.
e) Layer and Broiler Cook Project.
f) Turkey Cook Project.
g) Agro Based Food Processing Projects.
h) Quality and Human Health Friendly Vegetable Cultivation Project.
or any other Project, jointly decided and the First Parity and the Second Party
AND
Whereas the Second Party has got suitable and valuable landed property for establishing
Cow Fattening and Milking Cow Project of the Partnership.
AND
Whereas the Second party is willing to establish the Cow Fatting and Milking Cow Projects
of the Partnership Firm on the land owned by him under BS Dag No: .............., Mouza
Noagoan, P.S- Sarail, District : District- Brahmanbaira, measuring 42 decimals and he is also
willing to mortgage the above land as security of the loan sanctioned by any Bank for the
above project of the Partnership and for that purpose he, the Second Party will not demand
any extra financial benefit to the Partnership Firm beyond his Profit sharing in the
Partnership Firm.
AND
Whereas the Second Party, Sk. Noman Miah agrees to invest necessary fund if required
beyond the present Paid-up capital of the Partnership for the above Cow Fatting and Milking
Cow Project and also for futures Projects of the Partnership Firm as loan (Interest free) to
the Partnership Firm, which loan shill be re funded by the Partnership to the Second Party out
of the earning of the Partnership Firm.
AND
Whereas the First Party is willing to efficiently running and managing all affairs of the
Partnership with his long experience and knowledge, at present and if future, he will not
demand any extra financial benefit to the Partnership Firm beyond his Profit shares in the
Partnership Firm
AND
Whereas it is mutually agreed by the First Party and Second Party that the First Party shall be
designated as Managing Partner and the Second Party shall be designated as a Partner of the
Partnership Firm.
It is, therefore, mutually agree by and between the First Party and the Second Party as
follows:-
1. The name of the Partnership shall be “...........................................................’’
2. The Registered office of the Partnership shall be at Village & P.O- Nogaon, Upzaila & P.S-
Sarail, District : Brahmanbaira, Bangladesh. The Branch office to the Partnership may be
open in any where in Bangladesh as jointly decided by the First Party and the Second Party.
 3.Share Ratio of the Partnership
a) Sk. Atiqur Rahman, the First Party- 40% (Forty Percent)
b) Sk. Noman Miah, the Second Party - 60% (Sixty Percent)
4. Capital of the Partnership
Present Paid-up Capital of the Partnership shall be Tk- 50,000/- (Taka Fifty Thousand)
and in future the Capital of the Partnership may be in creased to any limit as jointly
decided by the First Party and the Second Party, in that case the contribution of the
Partners in increasing the Capital of the Partnership shall be according to share ratio of
the Partnership of the Partners.
5. Contribution in the Partners in the present paid-up Capital of Partnerships :
a) Sk. Atiqur Rahman, the First Party Tk- 20,000/- (Taka Fifty Twenty Thousand)
b) Sk. Noman Miah, the Second Party Tk- 30,000/- (Taka Fifty Thirty Thousand)
Total Tk. = 50,000/- (Taka Fifty Thousand) only.
6. Profit and Loss Sharing Ratio of the Partnership
a) Sk. Atiqur Rahman, the First Party- 40% (Forty Percent)
b) Sk. Noman Miah, the Second Party - 60%(Sixty Percent)
7. Sk. Atiqur Rahman, the First Party shall be Designated as Managing Partner of the
Partnership.
8. Sk. Atiqur Rahman, the First Party shall run and manage the whole affair of the
Partnership. SINGLY
9. Sk. Sk. Atiqur Rahman, the First Party shall have the power SINGLY to appoint and fix
the Salary/ wages of staff/ workers of the Partnership and dismiss staff / workers of the
Partnership.
10. All funds of the Partnership shall be kept in any schedule Bank/ Banks of Bangladesh
as jointly decided of the First Party and the Second Party.
11. All Bank Account / Accounts of the Partnership shall be open and operated under join
signature of the First Party and the Second Party
12. All loan Application/ Proposals of the Partnership shall have to signed jointly by the
First Party and the Second Party.
13. All Important Document /Papers, Account Books of Partnership shall remain in the safe
custody of the First Party, Managing Partner.
14. Accounting year of the Partnership shall be 1st January to 31st December of English
Year and on 31st December of every English year Profit and Loss Accounts of the
Partnership shall have to be prepared compulsorily, to accreting the profit and loss
Position of the partnership.
15. In case of resigning of any Partner from the Partnership , the Partnership shall not
dissolved. The reaming Partner alone or inducting new Partner/Partners shall run the
Partnership.
16. The Second Party, Sk. Noman Miah agrees to invest necessary fund if required beyond
the present Paid-up capital of the Partnership for the above Cow Fatting and Milking
Cow Project and also for futures Projects of the Partnership Firm as loan (Interest free)
to the Partnership Firm, which loan shill be re funded by the Partnership to the Second
Party out of the earning of the Partnership Firm.
17. As the First Party has no asset/ Landed Property and on the other hand the Second
Party, Sk. Noman Miah has asset/ landed Property, the Second Party aggress to mortgage
his asset/ landed Property as security for loan/loans extend to the Partnership, by anay
Bank/ Financial Institution/ Firm/ Individual for the Proposed Project of Caw Fatting
and Milling Caw Project of the Partnership and also for future proposed Projects of the
Partnership and for that account the Second Party shall not demand/ claim any financial
benefit to the Partnership beyond his profit sharing in the Partnership.
In witnesses whereof, both the First Party and the Second Party have set their respect
hands, on the day, the month and the year mentioned hereinabove.
