According to Article 98 of the Commercial Code, to speak of a company means
that there is by means of a company contract that has as its objective the performance of commercial acts, generally activities subject to commercial law. One of the existing societies is the society of Fact where it is a grouping that is not constituted under any particular type and that does not have an instrumentation since it does not demand any substantial or objective formality. On the contrary, it is a specific social contract which means that it is not constituted by public deed, but by means of a merely consensual contract without solemnity. The society of Fact is the union of 2 or more people to develop a commercial activity and then share the profits. This company has certain advantages such as simple registration so they are not required to be written so there are no constituent costs, tax benefits where they are the only companies that can pay taxes through the monotax (allowed up to 3 partners), nor do they pay income tax directly but through the partners. But there may be disadvantages such as unlimited liability and solidarity where not having legal personality, therefore lacks a corporate name, which means that the partners are unlimited and jointly and severally liable for the debts of the organization, this society has a precarious existence where any of the partners can request dissolution at the time you want and as a result the organization ceases to exist, another feature that does not favor the creation of a partnership is the impossibility of either movable or immovable property in its name including all partners. Therefore, in order to form the company, each member must present to the Chamber of Commerce the Single Business Register composed of the single business cover and commercial registration, the Single Tax Register (RUT), the tax identification number (NIT), citizenship card and cancel the rights of the natural person and the establishment. According to our mercantile legislation the commercial companies must be constituted by public deed and adopt corporate forms established in the code of commerce. In the case of de facto companies, it does not have specifications adopted in the Chamber of Commerce, but in terms of regulations it applies the same as any other commercial company, and each one of them is directly responsible for their own responsibilities. SOCIEDADES DE HECHO Según lo expuesto en el artículo 98 del código de comercio, hablar de una sociedad significa que hay de por medio un contrato de sociedad, donde tiene como objetivo la realización de actos de comercio que por lo general están sujetas a actividades del derecho mercantil. Una de las sociedades existentes es la sociedad de Hecho que es una agrupación que no está constituida bajo ningún tipo en particular y que no tiene una instrumentación, ya que no exige ninguna formalidad sustancial u objetiva. Por el contrario, es un contrato social y especifico lo que significa que no se constituye por escritura pública, sino por medio de un contrato meramente consensual sin solemnidad. La sociedad de Hecho es la unión de 2 o más personas para desarrollar una actividad comercial para luego repartirse las utilidades. Esta sociedad posee ciertas ventajas como la sencilla inscripción de manera que no están obligadas a escribirse por lo que no se generan gastos constitutivos, beneficios impositivos donde son las únicas sociedades que pueden tributar a través del monotributo (permitido hasta 3 socios), tampoco tributan impuesto a las ganancias de forma directa sino a través de los socios. Pero pueden existir desventajas como es la responsabilidad ilimitada y solidaria donde al no poseer personería jurídica, por ende carece de razón social, lo que significa que los socios son responsables ilimitados y solidarios frente a las deudas de la organización, esta sociedad tiene una existencia precaria donde cualquiera de los socios puede solicitar la disolución en el momento que lo desee y como resultado la organización deja de existir; otra característica que no favorece la creación de una sociedad de Hecho es la imposibilidad de bienes ya sea muebles e inmuebles a su nombre incluyendo todos los socios. Por consiguiente, para conformar la sociedad cada socio debe presentar ante la Cámara de Comercio el Registro Único Empresarial compuesto por caratula única empresarial y matricula mercantil, el registro Único Tributario (RUT), el número de identificación tributaria (NIT),cedula de ciudadanía y cancelar los derechos de la persona natural y del establecimiento. Según nuestra legislación mercantil las sociedades comerciales deben constituirse por escritura pública y adoptar formas societarias establecidas en el código de comercio. Las sociedades así constituidas forman una persona jurídica distinta de los socios individualmente considerados y para el caso de las sociedades de hecho, no tiene especificaciones adoptadas en la Cámara de comercio pero en cuanto a la normatividad aplica las mismas que cualquier sociedad comercial recayendo directamente las responsabilidades de cada uno de ellos.
