NO CLAIM / NO DUES CERTIFICATE

We Wockhardt Foundation, a Company incorporated under the laws of India having its registered
office at Wockhardt Towers, Bandra Kurla Complex, Bandra East, Mumbai-400051 were awarded
the CSR work of ‘Construction of Co-Educational Toilet Units in Schools of Andhra Pradesh by
GAIL (INDIA) LTD in reference to Work Order No- GAIL/CSR/SBSV14/6300000636/BB3 dated
04.02.2015 and FOA No. GAIL/ND/CSR/SBSV/2014/3 dated 15.01.2015

We undertake that the work of Construction of Toilets and hand pumps has been completed by us in all
respect as per terms and conditions of the aforementioned work-order and according to the standard
specifications related to civil construction and installation of hand pumps as well as those specified in the
Agreement. We undertake full responsibility of Quality and quantity during the execution of the
construction work of toilets undertaken by us.

After completion of the above said work, we have scrutinized all our claims, contentions, disputes, issues
with the project official and we hereby confirm that after adjusting all payments received by us against
our R.A. Bills, our balance entitlement under the contract is to a sum of Rs.1,41,31,329.00 (+ taxes ) as
per our Final bill towards full and final settlement of all our claims and dues for ‘construction of toilet
works’ from GAIL INDIA LTD.

We confirm and declare that with the receipt of aforesaid money, all our claims, dues, disputes,
differences between Wockhardt Foundation and GAIL INDIA LTD under and with reference to above
said contract stands full and final settled towards construction and nothing extra will be due after the
release of afore-mentioned amount towards ‘construction of toilet works’.

We further indemnify GAIL from any dispute that may arise in future from any entity related to this
project like any other contractor or agency or any other Govt./private body directly or indirectly related
to this project. We also agree to indemnify GAIL and all its employees from and against all loss, which
may arise out of any such case filed by Govt. body/pvt. agencies/workers/Labors/vendors/sub-contractors/
etc. who may have been engaged directly or indirectly with or without consent of GAIL for above works,
which may be pending before any court of Law, Labor court, Arbitration, Tribunal etc.

We further absolve GAIL INDIA LTD. from all liabilities present or future arising directly or indirectly
out of the aforementioned contract.

We further confirm that the present settlement has been arrived at and is freely and fairly entered into
between the parties. There is no economic/financial duress or any other compulsion on us in entering into
this settlement.
