(here in after referred to as "VIP English")

WHEREAS:

- Teacher is an independent individual; understanding and agreeing with the mission of VIP English
which is to bring the best possible educational quality to the learners; realizing that this is similar to
Teacher's personal passion; and therefore, desires to enter into this service agreement to teach to the
learners of VIP English.

- VIP English appreciates and values the capabilities of the teachers; desires to create the best possible
environment and benefits to the teachers (which in turn will help bring the best possible educational
quality to the learners); on the basis that the teachers shall follow the terms and policies set out by VIP
English in order to create the highest values to all sides.

- In consideration of the mutual covenants and agreements herein, Teacher and VIP English agree to
this Teaching Service Agreement, whereas Teacher is a partner providing the online English teaching
services to VIP English, and the relationships between both sides shall be governed by the terms and
conditions in this Agreement.
Article 1: Service description and fees

1.1. Description: Teacher shall perform the English teaching services to the learners of VIP English, in
accordance with the terms and policies of VIP English.

1.2. Teaching fees:

- In providing such teaching services, Teacher shall get paid with the teaching service fees as
stipulated in the Appendix 1 of this Agreement, and other separate agreements (if any) between
Teacher and VIP English.

- Teacher can also get other allowances and bonuses, depending on the performance and teaching
quality of the Teacher; the details of which are specified in the appendices of this Agreement, or
other separate agreements between Teacher and VIP English via different methods.

- The detailed payment timeline and methods are described in Article 4 of this Agreement.

Article 2: Rights and Responsibilities of Teacher

2.1. Rights of Teacher:

- Teacher shall get paid from VIP English with the teaching service fees as mentioned in Article 1 of
this Agreement.

- Teacher can request VIP English to make payment in accordance with the payment methods as
described in Article 4 of this Agreement.

- Teacher will receive the supports from VIP English before, during and after the teaching, as well as
be able to engage in various programs of VIP English with the purpose to level up the English
teaching skills of Teacher.

- Teacher can access into the database of curriculum and teaching materials of VIP English (or
supported by VIP English), on the basis of respecting the copyrights and usage purposes of such
materials.

- Teacher can participate in the "teachers' community" of VIP English, and will be considered as part
of "VIP English big family", and therefore, will have the chance to exchange and learn from each
other in terms of experience, skills and other matters.

- Teacher can request VIP English to provide necessary supporting documents for the purpose of
filing and payment of Teacher's personal income tax (if any and if required by law in Teacher's
country of residence).

2.2. Responsibilities of Teacher:

a) General responsibilities of the Teacher:

- Teacher shall follow the terms and policies of VIP English with regards to the teaching and timetable
as discussed and agreed with VIP English.
- Teacher MUST handle at least 9 hours per week which is equivalent to 3 classes.

- Teacher shall ensure that the teaching is performed in accordance with the learning roadmap,
curriculum, timeline and methods as agreed with VIP English and the learners.
 - Teacher shall ensure the teaching quality as required by VIP English and the learners.

- Teacher shall frequently update with VIP English about Teacher's available time so that VIP English
can arrange suitable learners for Teacher in those timings.

- Teacher shall teach all the classes as agreed between Teacher and VIP English, and ensure the
punctuality of the classes.

- Teacher shall conduct himself/herself properly in the provision of the teaching to VIP English's
learners.

- Teacher shall safeguard all personal information of VIP English's learners and other information
about VIP English that Teacher can access during the course of teaching. Teacher is NOT allowed to
disclose such information in any circumstances, or use such information for any purposes that are
not related to VIP English, except when required by the law. If violated, this could lead to the
termination of this Agreement as well as the payment of penalties and fines.

- Teacher shall NOT receive payments directly from the learners of VIP English or have other non-
disclosed agreements with those learners. All payments to Teacher will be made via VIP English. In
the event that any such learner wants to pay directly to Teacher, Teacher shall reject that and
immediately inform VIP English about that situation. If VIP English finds out that Teacher has
received payments directly from learners without agreed by VIP English, this could lead to the
termination of this Agreement as well as the payment of penalties and fines.

- In accordance with the nature of this Agreement and the laws of the Republic of Singapore, Teacher
shall be responsible for the filing and payment of personal income tax (if any and if required by law
in Teacher's country of residence).

b) Conducting and recording of the classes:

- Teacher shall frequently and timely input information about all the classes correctly in the online
tracking system of VIP English, according to the guidelines of VIP English, so that VIP English can
perform the necessary tracking and make payment to Teacher.

- For all classes, Teacher shall make recordings of the classes in accordance with the guidelines of
VIP English. The recordings shall then be uploaded or sent to VIP English's teacher management
department according to the guidelines. The recordings will be used by VIP English to assess the
educational quality in the classes as well as to improve the teaching skills of Teacher and the
learning experience of VIP English's learners.

- Only recorded classes will be counted by VIP English as having happened for the purpose of making
payment to Teacher (unless when there are extraordinary circumstances that would prevent such
recordings; such cases shall be made known to VIP English and agreed by VIP English).

- For all classes, Teacher shall use the Skype account provided by VIP English (unless when there are
technical or other issues that would prevent such usage; such cases shall be made known to VIP
English and agreed by VIP English).

- In conducting the teaching, Teacher shall dress smartly and avoid revealing or informal clothes, in
order to portray a professional image. VIP English encourages Teacher to be open and enthusiastic,
and to create a friendly learning environment, while ensuring the professionalism in the teaching.
 - Teacher shall be responsible for having the good and stable Internet connection that would allow for
the conducting of online English classes. (It is recommended that the Internet connection is stable
with the minimum speed of 0.3 Mbps.)

- Teacher should enable the webcam in order to optimize the effectiveness of the class. English are
encouraged to be used as much as possible during the classes (learners with low English capabilities
should be encouraged to increasingly use English in classes with Vietnamese teachers).

- Teacher confirms that Teacher has the rights to use all documents and teaching materials that
Teacher provides to VIP English or VIP English's learners, and that Teacher is responsible for the
legitimacy and properness of such documents and teaching materials.

c) Cancellation policies:

- In case Teacher is not able to perform the teaching (due to any reasons), Teacher MUST notify VIP
English's authorized staff via Skype/Phone/Email at least 3 hours before the agreed schedule:
+ If Teacher does make such notifications but less than 3 hours in advance: the penalty will be
equivalent to the payment for 1 teaching hour.
+ If Teacher does not make such notifications at all: the penalty will be equivalent to the payment for
3 teaching hours.

- In case Teacher wants to ask for a leave of more than 1 week, Teacher MUST notify VIP English's
authorized staff via Skype/Phone/Email at least 5 days in advance and the arrangement must be
agreed by VIP English.
+ If Teacher fails to make such notifications as required, the penalty will be equivalent to the
payment for 5 teaching hours.)

- If the amount of continuously cancelled classes in one (1) month is

+ 1-5 classes: Teacher will receive the first warning email.
+ 5-10 classes: Teacher will be deducted a certain percentage of the payment.
+ >10 classes: VIP English reserves the rights to suspend or terminate the Agreement with Teacher,
as well as undertake necessary actions.

- Teachers can be exempted from the penalties mentioned above if Teacher has reasonable excuses
and can provide credible evidence in extraordinary circumstances such as:
+ Loss of Internet connection
+ Loss of electricity
+ Storms or other natural disasters
+ Heavy sickness
+ Maternity leave

- However, when those above-mentioned extraordinary circumstances arise, Teacher shall undertake
all possible means in order to rectify and improve the situation. If those situations still happen
regularly and there are no evidence that Teacher can rectify or willing to rectify, or that it is unable
for the situation to be rectified or improved, VIP English reserves the right to suspend or terminate
this Agreement as well as undertake necessary actions, however, VIP English will assess the nature
of each situation in order to support the Teacher where possible.

- If Teacher wants to unilaterally terminate the Agreement, Teacher shall inform VIP English at least
30 days in advance. Failure to do so will lead to the following penalties:
 Penalty
Teacher informs VIP English 14-29 days
2 teaching hours for the students
before the cancellation.
Teacher informs VIP English 1-13 days before
5 teaching hours for the students
the cancellation.
Teacher does not inform VIP English at all
10 teaching hours for the students
before the cancellation.

Article 3: Rights and Responsibilities of VIP English:

3.1. Rights of VIP English:

- VIP English can request Teacher to perform properly and fully all the responsibilities as agreed in
this Agreement, the Appendices of this Agreement, and other separate agreements (if any) between
Teacher and VIP English.

- VIP English will be able to prescribe the terms and policies as well as programs and methods in
order to improve the English teaching quality and ensure the satisfaction of VIP English's learners.

- VIP English is allowed to use all information, documents and teaching materials provided by
Teacher in the provision of the teaching to VIP English's learners. (In case there may be any
confidential information, documents or teaching materials that shall not be used by VIP English,
Teacher shall notify VIP English.)

- VIP English shall have the rights to unilaterally terminate the Agreement with Teacher if Teacher
violates one or more responsibilities as specified in this Agreement, the Appendices of this
Agreement and other separate agreements (if any) between Teacher and VIP English. In such cases,
this may also lead to penalties and fines, depending on the severity of the situation. (In case VIP
English terminates the Agreement due to violations by Teacher, VIP English is not bound to pay the
unpaid teaching service fees to Teacher.)

3.2. Responsibilities of VIP English:

- VIP English shall make payment to Teacher with the payment timeline and methods as described in
Article 4 of this Agreement.

- VIP English shall support Teacher before, during and after the teaching, as well as build up the
programs that would support Teacher in improving the English teaching skills.

- VIP English shall support Teacher in accessing the database of curriculum and teaching materials, on
the basis of respecting the copyrights and usage purposes of such materials.

- VIP English shall build up and operate the "teachers' community" of VIP English, so that Teacher
can feel as part of the "VIP English big family", in order to create an environment where teachers
can exchange and learn from each other in terms of experience, skills and other matters.

- Teacher can request VIP English to provide necessary supporting documents for the purpose of
filing and payment of Teacher's personal income tax (if any and if required by law in Teacher's
country of residence).
 - In accordance with the nature of this Agreement and the laws of the Republic of Singapore, VIP
English does NOT withhold any personal income tax in the payment amount to Teacher. If requested
by law and/or by Teacher, VIP English shall provide the necessary supporting documents so that
Teacher can perform the filing and payment of personal income tax as well as other responsibilities
as required by law (if any and if applicable in Teacher's country of residence).

Article 4: Payment timeline and methods

4.1. Teacher shall provide complete and accurate payment information as requested by VIP English
(including personal details, bank account details, and other necessary information, if any, depending on
Teacher's country of residence). VIP English shall NOT be responsible if Teacher does not receive
payment due to incomplete or inaccurate information provided.

4.2. Teacher will receive payment in the local currency of Teacher's country of residence or Singapore
Dollars or British Pound or US Dollars, with the exchange rates determined by payment banks or third-
party payment service providers used by VIP English at the time of payment (e.g. TransferWise, PayPal,
Skrill, Payoneer, VISA/MasterCard card associations etc.). VIP English shall inform Teacher about the
exact currency used and related information before making the payment.

4.3. VIP English shall make payment to Teacher in accordance with the payment methods agreed between
Teacher and VIP English at the beginning of the teaching service agreement. Teacher understands that,
depending on Teacher's country of residence, VIP English will support certain payment methods that
can be applied. Teacher needs to be able to use one of such payment methods (supported by VIP
English) in order to receive payment. If Teacher anticipates any possible difficulties in receiving
payment, Teacher shall inform VIP English as soon as possible and in advance before providing
the teaching services.

4.4. For many countries, the payment from VIP English to Teacher will not incur any extra third-party fees.
However, for other countries, as such payment will go through one ore more third-party payment
partners (e.g. intermediary banks, VISA/MasterCard card associations, TransferWise, PayPal, Skrill,
Payoneer, etc.), certain third-party fees may be incurred. Such third-party fees will be determined by
those payment partners and may be deducted directly into the amount paid by VIP English to Teacher.
(In case there can be such third-party fees, VIP English will inform Teacher in advance before Teacher
provides the teaching, and when there are any changes, VIP English will inform Teacher as soon as
possible before the payment). Teacher can discuss with VIP English to arrange the suitable payment
methods for Teacher (among those supported by VIP English).

4.5. The "cut-off" date for payment is hereby determined to be the 20 th of each month. This means that each
payment period will be from the 21st day of a month to the 20th day of the next month.

4.6. VIP English will make payment to Teacher once a month. The payment will be made by VIP English
latest by the 7th working day AFTER the cut-off date mentioned in Article 4.5 of this Agreement (noted
that "working days" here exclude Saturdays, Sundays, and the public holidays of United Kingdom,
Singapore, Vietnam, and Teacher's country of residence). Please note that under the terms of payment
banks or third-party payment service providers, it will take some time from the time the payment is
made by VIP English until Teacher can receive payment (usually, this will be from one (1) to four (4)
working days, but sometimes this may be longer, depending on Teacher's country of residence,
receiving banks and the payment partners used). The payment will be made by VIP English in
accordance with the above- mentioned timeline if the following conditions are satisfied:

- Information about Teacher's number of teaching hours is recorded completely and accurately.
 - Teacher provides complete and accurate payment information as requested by VIP English BEFORE
the last date of the month of tutoring services. (In case Teacher is late in providing such information,
the payment amount can be added to and paid together with the payment amount of the subsequent
month.)

4.7. In the rare cases that there are unforeseen problems arise which are beyond the control of VIP English
and not due to the fault of VIP English (e.g. technical problems from payment banks or third-party
payment service providers), then the payment may be delayed, but VIP English will make all best
efforts possible so that Teacher can receive payment in the soonest time.

4.8. The payment amount each time must be larger than the minimum threshold in order to for the amount to
be paid. This minimum threshold is hereby determined to be an equivalent of 1,000 PHP (one thousand
Philippine Peso) for teachers residing in the Philippines; 450,000 VND (four hundred and fifty thousand
Vietnam Dong) for teachers residing in Vietnam; or 20 USD (twenty US Dollars) for teachers residing
in other countries. In case the payment amount is smaller than this minimum threshold, it will be added
to and paid with the payment amount for the subsequent month, until this amount is larger than the
minimum threshold to be paid.

4.9. If Teacher has good performance in providing the teaching to VIP English's learners, Teacher will
receive bonuses. The bonus amount will be added to the teaching service payment from VIP English to
Teacher. The detailed of such amounts will be specified in this Agreement, the Appendices to this
Agreement, or other separate agreements (if any) between Teacher and VIP English.

4.10. If Teacher does not comply with the terms in this Agreement, VIP English shall have the rights to
deduct certain "penalty" amounts from the teaching service fees paid to Teacher. The penalty amounts
will be specified in in this Agreement, the Appendices to this Agreement, and/or other separate
agreements (if any) between Teacher and VIP English.

Article 5: Other provisions

5.1. This Agreement does NOT create any "employer-employee" relationship between VIP English and
Teacher, because this is not an employment agreement but a service agreement. Teacher guarantees that,
in Teacher's country of residence, Teacher has the rights to engage in an independent business and enter
into this Agreement in order to provide the teaching services, and the provision of the teaching is on the
personal will of Teacher. VIP English shall not be responsible for the personal actions of Teacher during
the performance of the teaching services.

5.2. Teacher and VIP English agree to fully and properly comply with all the terms in this Agreement, in
order to create the highest values to all sides and bring the possible educational quality to the learners.

5.3. This Agreement may have a number of Appendices. Those Appendices are also inseparable parts of this
Agreement and must also be confirmed by both sides.

5.4. All changes and additions to this Agreement, including the Appendices and other separate agreements (if
any) must also be agreed by both Teacher and VIP English.

5.5. This Agreement is governed by the laws of Singapore, the laws of the United Kingdom, and the laws of
Teacher's country of residence. In case of different interpretations, the laws of Singapore shall prevail.

5.6. Teacher and VIP English agree to do everything necessary in order to ensure the best interests of both
sides, to mutually support each other, and to enforce the terms of this Agreement.
 5.7. During the course of this Agreement, if there arise any difficulties or issues, both sides shall inform each
other as soon as possible in order to quickly resolve the situation in a cooperative manner.

5.8. Any disputes or disagreements between both sides shall be resolved through negotiation and mediation
in a friendly and cooperative manner. In case of failure in reaching an acceptable solution through
negotiation and mediation, one or both sides may request for settlement in the courts in Singapore or in
Teacher's country of residence.

5.9. This Agreement shall be valid from the signing date mentioned in Page 1 of this Agreement.

 Appendix 1

Teaching rates at VIP English

1. Teaching rates

Teacher will receive a starting rate of an equivalent of 145PHP per hour.

2. Increase of teaching rates

VIP English will assess the educational quality of the classes every 3 months via the class recordings. The
teaching rates shall be increased depending on the educational quality, the number of classes, as well as the
reviews and feedbacks from the learners.

3. Decrease of teaching rates

If a course is closed (i.e. learner changing to another teacher) due to the fault of Teacher, then Teacher will
be suspended in getting classes for 2 weeks and deducted 30% of the total of payment for that month.

4. Bonus payment

The bonuses will be considered depending on the performance of Teacher and the educational qualiy of the
classes. The teacher will also get bonuses if he/she gets a large number of good reviews and feedbacks from
the learners.
