Confidentiality Agreement

I, __________________________, of legal age, single/married, and with

address at ______________________, do hereby state that:

I am an employee of Central Books Supply, Inc. (hereinafter referred to as

“employer”). In my capacity as such, I may receive confidential information, written
or unwritten, of which shall be made accessible to me in the course of my
employment with employer.

In order to protect the materials and all of its part submitted by employer’s
clients (“confidential information”) as publisher and in order to minimize the
possibility of any part of materials submitted by the its clients being leaked or
reproduced without authorization, I hereby agree as follows:

1. CONFIDENTIAL INFORMATION

For purposes of this undertaking, the term "Confidential Information" means

information and data not generally known outside the company concerning
Employer as a publisher or its businesses and the Employer's business and technical
information, including but not limited to, manuscripts, drawings, text, literary
works, customer lists, supplier identity, marketing and sales plans, financial
information, business plans, costs, pricing information, and all other concepts or
ideas involving or reasonably related to the business or prospective business of
Employer as a publisher, or information received by the Employer as to which there
is a bona fide obligation, contractual or otherwise, on Employer's part, not to disclose
same.

2. NON-DISCLOSURE OBLIGATIONS

I hereby undertake and agree to receive and hold the confidential information
in confidence, without limiting the generality of the foregoing, I further undertake:

a) Not to disclose, reveal or report to any person or publish, transfer or

otherwise, use the confidential information or any part thereof except with
prior written consent of employer;

b) Not to disclose confidential information in any released output and to protect

and safeguard the confidential information against unauthorized use,
publication or disclosure;

c) To use the confidential information only as needed to perform my duties as

employee, including but not limited to:

 I will only access confidential information for which I have a need to
know based on my job description
 I will not divulge, copy, release, sell, review, alter, destroy any
confidential information except as properly authorized within the
scope of my professional activities as employee and
 I will not misuse or carelessly handle confidential information.

e) Not to use the confidential information except during the defined time period
for which access and use of this information was given;
 f) To report activities by any individual or entity that I suspect may compromise
the confidentiality of confidential information;
g) To take all reasonable steps necessary to ensure that the confidential
information is kept confidential, including storing or disposing of all data,
information, documents and associated correspondence in a secure manner
and to prevent access to the confidential information by any third party;
h) To comply with any other reasonable security measures imposed by
employer.

3. LOSS OR DAMAGES DUE TO BREACH OF CONFIDENTIALITY.

In the event that employer suffers loss or incurs damages as a result of my

disclosure or revelation of the confidential information in violation of the
confidentiality obligations enumerated in paragraph 2 hereof, I fully understand that
it may result in employer’s disciplinary enforcement actions including termination
from employment, as well as legal actions against me.
