This Sales Contract made this 8th day of August 2019 by and between:

1. Parties.

1.1. Vendor: Spectrumed Inc., with office address at LGF, BCC House, 5046 p.
Burgos St., Brgy. Poblacion, Makati City.

"1.2. Vendee: Glamourcity Beauty & Wellness, represented

herein by, Ms.
Ma. Linda G. Lupena, with address at V40-GF-0038-g Da Vinci Bldg.,
Purok 6, Vistamall, Lakefront, Sucat, Muntinlupa City.

, The Unit. One (1) - Brand new unit MEZOTIX with One (1) Face Handpiece
and complete accessories, with FREE OF CHARGE items as follows:

3.1. The Purchase Price shall be payable to SPECTRUMED INC. under the
following terms:

\.f 3.1.1 Two Hundred Forty Thousand pesos (php240,000.00) plus Twenty
Eight Thousand Eight Hundred pesos (php28,BO0.O0) 12% VA! upon
\ signing of contract.

3.1.2 Balance payable in Eighteen (18) equal monthly payments amounting to

Fifty Three Thousand Three Hundred Thirty Three & 33/100 pesos
(PhpS3,333.33) plus Six Thousand Three Hundred Ninety

Pesos (Php6,399.99) "12% VAT. First pDC dated upon delivery of the
above units. Al1 PDCs to be submitted prior to the delivery of the above

4. Delivery. Four (4) to six (6) weeks upon signing of this contract and receipt of
payment.

5. Clinical Training:

5.1. Vendor shall provide Vendee with a one-time free basic training for fwo
(2) doctors and five (5) staff for product operations f amiliarization. Any
additional personnel who sha11 undertake basic training shall reimburse
Vendor for training expenses.

5.2. Subsequent training sessions after the initial training shall be subject of a
separate agreement.

6. Undertaking of Vendee:

6.7. Vendee undertakes that the Unit shail be used only under the supervision
of a medical practitioner at a1l times.

6.2. Afler completion of the basic clinical training, Vendee undertakes full
authority of treatment procedure which includes understanding results and
contraindications as stated or not stated in the consent form without
prejudice to such other actions available to Vendor.

Warranty & Maintenance:

7.L. The unit shall be sub,ect of a warranty period of one (1) year from date of
delivery on parts and services, excluding disposables and/or consumables.

7.2. Preventive maintenance on the Unit sha1l be undertaken every six (6)
months from the date of delivery during warranty period.

7.3. Mishandling of the Unit, unauthorized use, or use contrary to the

manufacturer's instructions will void the warranty.

7.4. Procurement by Vendee of labor and parts, including disposables and

consumables from sources other than the Vendor during the warranty
period shall likewise void the warranty.

7.5. Service or maintenance on-cal1 basis after the one (1) year warranty period
shall be subject of a separate agreement.

8. Special Conditions of Contract:

8.1. Vendor shall retain ownership and title over the Unit until such time that the
sale price is paid in full by Vendee.

8.2. All payments made are non-refundable and in case of failure on the parts of
the Vendee to pay the balance of the sale price when due, all payments sha1l
be forfeited in favor of the Vendor without prejudice to such other actions
available to Vendor.

8.3. In case of default on the part of the Vendee with respect to the payment of
the balance of the sale price for the Unit, the Vendor has the right to
repossess the Unit.

8.4. Until fully.paid, the Unit shall be insured by Vendee, with the Vendor as the
beneficiary, against any damage from a1l causes including theft, fire,
earthquake, floods, and other incidents of force majeure until the Unit is
fully paid.

8.5. Vendor may refuse to service the Unit or supply consumables in cases where
Vendee is in default or in delay of payments.
