DEED OF ASSIGNMENT OF STOCK SUBSCRIPTION

KNOW ALL MEN BY THESE PRESENTS:

This Deed, made and entered into by and between:

ALEXANDER A. TAN, of legal age, Filipino, married, and resident of 20 E. Rodriguez Sr. Ave.,
Quezon City, Philippines, hereinafter referred as ASSIGNOR;

-AND-
STEPHANIE MARIE L, TAN, of legal age, Filipino, single, and resident of 20 E. Rodriguez Sr' Ave.,
Quezon Ciiy, Philippines, hereinafter referred as ASSIGNEE;

WITNESSETH:

Whereas, ASSIGNOR is a stockholder of GOODVOY, INC. (formerly Good Voyage Shipping Lines,
Inc.), a corporation duly organized and existing under the laws of the Philippines, with principal office at
Mandaluyong City;

Whereas, ASSIGNOR has a stock subscription in said Corporation to the extent of Two Million Forty
Nine Thousand Seven Hundred (2,049,700) shares with a par value of One Peso (P1.00) per share or a total
subscription of Two Million Fofi Nine Thousand Seven Hundred (P2,049,700.00) Pesos;

Whereas, ASSIGNOR has actually paid sixty percentum (60%) or One Million Two Hundred Twenty
Nine Thousand Eight Hundred Twenty (P7,229,820.00) Pesos for the aforementioned shares which he has
subscribed in said Corporation;

Whereas, ASSIGNOR offersto sell One Hundred Twenty Seven Thousand Seven Hundred (I27,700)
shares of his stock subscription to ASSiGNEE, including the corresponding rights, title and interests as a
subscriber of GooDVoY, INC. and the latter agrees and accepts the said offer;

NOW THEREFORE, for and in consideration of the sum of SEVENTY SIX THOUSAND SIX HUNDRED
TWENTY (P76,620.00) PESOS, the receipt of SEVENTY SIX THOUSAND SIX HUNDRED TWENTY (P76'620.00)
pESOS, Philippine Currency, which is hereby acknowledged by ASSIGNOR in full, ASSIGNOR by virtue of these
presents, hereby ASSIGNS, TRANSFERS, CEDES, and CONVEYS, absolutely and forever, unto and in favor of
the aforementioned ASSIGNEE, her heirs, nominees, and assigns, all his rights, title and interests in and to
the above-mentioned stock subscription of ONE HUNDRED TWENry SEVEN THOUSAND SEVEN HUNDRED
(I27,700) SHARES, free from all liens and encumbrances;

ASSIGNOR hereby certifies that the stock subscription herein transferred is his own and exclusive
propefty and further warrants the title to the said stock subscription unto the ASSIGNEE and will defend the
same unto the ASSIGNEE against the legal claim or claims of any person or persons whomsoever;
